Description	International Development: In addition to our existing work in more than 30 countries, EDC began new education programs in Lebanon, Honduras, and Afghanistan, among others. International programs continue to focus on three areas: basic education, youth livelihood development, and the application of technologies. Our programs support national school reform efforts, HIV/AIDS prevention and other health promotion, and communities and local governing bodies. Projects include, for example, helping youth build job skills in Mali, teaching HIV/AIDS orphans in Zambia, and helping Yemeni teachers use technology. We maintain a focus also on providing education in conflict areas and improving opportunities for women and girls. We also work to help countries expand economic opportunity and build civic society. Large-scale, country wide Interactive Radio Instruction projects continue reaching millions of children and youth with primary basic education, and our youth livelihood programs deliver hands-on job development in many countries, including Haiti, the Philippines, Somalia, and Kenya. Description	Learning and Teaching: EDC programs can be found in school districts and classrooms in all 50 U.S. states. Work in school reform, mathematics, science, technology, and literacy included such projects as creation of a new National Center on Cultural and Linguistic Responsiveness, funded by the U.S. Department of Health and Human Services and the Developing Effective Schools Center, funded by the U.S. Department of Education. EDC conducted research, for example, a study of multimedia programming for PBS and a report on principal preparation for The Wallace Foundation. One of 10 education research laboratories, the Regional Educational Laboratory Northeast and Islands at EDC conducted large-scale studies and fast response reviews on requested issues such as bullying pervention and teacher retention. A leader in early childhood education and professional development for more than 20 years, EDC provided training and supoprt got Headstart and others throughout New England.	Description

Description	Health and Human Development: Health programs encompass violence prevention focused on bullying, intentional and unintentional injury, and suicide, among other issues. EDC hosted an international conference, Addressing Imbalances: Promoting Equity in Mental Health, and shared best practices from around the world. EDC continued to create and evaluate health-related curriculum, training materials, interventions and evaluation tools for policy makers, providers and consumers. For example, EDC was asked to create education resources for groups including tribal communities across the U.S. and youth and families of the Gulf Coast affected by the Deepwater Horizon oil spill. EDC continued to support practitioners at local, state, and national levels as well as operate several national centers including the Suicide Prevention Resource Center, the Center for the Application of Prevention Technologies (CAPT), and the U.S. Department of Education's Higher Education Center for Alcohol and Other Drug Abuse and Violence Prevention which supports college and university campuses. Explanation	Other Liabilities/FIN48 Footnote: EDC is exempt from income taxes under Section 501 (c) (3) of the Internal Revenue Code; however, income from certain activities not directly related to its tax-exempt purpose is subject to taxation as unrelated business income. EDC had no unrelated business income for the years ending September 30, 2010 and 2009. EDC has determined that no provision for income taxes is required. The adoption of the Standard did not have a material effect on EDC's financial position or change in net assets. Accordingly, no provision for income taxes has been included in the accompanying financial statements. EDC adopted ASC 740 " Accounting for Uncertainty in Income Taxes" for the year ending September 30, 2010. The interpretation clarifies the accounting for uncertainty in income taxes recognized in an enterprise's financial statements. The clarification prescribes recognition and measurement for a tax position taken or expected to be taken in a tax return and also provides guidance on de-recognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. EDC applies a "more likely than not" threshold to the recognition and derecognition of income tax positions. EDC recorded no unrecognized tax benefits or liabilities related to uncertain positions at September 30, 2009 or as of September 30, 2010. Interest and penalties, if any, are recognized as other expense. We do not anticipate a material change in our tax positions within the next twelve months. EDC files income tax returns in the U.S. federal jurisdiction and various state and foreign jurisdictions and is no longer subject to U.S. federal income tax examinations by tax authorities for years before 2006. Explanation	Education Development Center, Inc. (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include research, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC partners with a wide variety of organizations to implement our overseas programs, including US and Non-US Non-governmental organizations (NGOs), community based organizations, universities, and for-profit organizations through project-specific subgrants and subcontracts. The capabilities of subawardees are examined by EDC either before it submits a proposal to its sponsor or post-award. Subawardees must usually be approved in advance in accordance with EDC's sponsors' requirements. For overseas subgrant programs that are implemented post award, EDC customized a selection and evaluation RFA process that reflects the technical needs of the program and the local capacity. Selection factors include a review of technical capacity, past performance, and financial/managerial capacity, as well as an evaluation of the programmatic proposal submitted by applicants. For every EDC subgrant or subcontract a written agreement is made with the subawardee to carry out a substantive part of the work for which EDC has received its funding. These agreements are drafted by EDC's Office of Sponsored Programs, with the guidance of EDC's General Counsel as needed, with technical guidance from the EDC Project Director and local management staff. In some situations, local subgrants are drafted by EDC's field office staff using templates provided by EDC's Office of Sponsored Programs. These agreements contain detailed technical work statements, budgets, reporting requirements, audit requirements and any other flow-down clauses, terms, and conditions, necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state and local law and the terms of EDC's grants and contracts from its sponsors. Prior to issuing any subgrant, and pursuant to Executive Order 13224, EDC obtains a certification from prospective subgrantees that recipient did not provide within the previous ten years material support or resources to any individual or entity that commits, attempts to commit, advocated, facilitated, or participates in terrorist acts. EDC also confirms that the organization, official signatory, and key personnel are not listed on any of the major databases of persons and organizations linked with terrorism. The international grant agreements also contain specific provisions to protect against grant funds being used to support terrorist organizations or activities, to support or oppose any candidates for political office, for lobbying purposes, or in violation of any applicable laws. Payment provisions range from cost reimbursment, to advance and reconciliation, to fixed obligations, and payments are regularly monitored to help ensure that significant grant amounts are not at risk for improper use or diversion. Technical and Financial monitoring of Subgrantees is accomplished in several ways and could include review of programmatic and financial reports, desk reviews, periodic site visits, and review of supporting documentation. The C.E.O. works with the V.P. of Human Resources to recommend appropriate pay levels for the other senior executives based on objective comparable market data and performance information. For other employee levels, the Executive Committee will provide general oversight and monitor adherence to the approved compensation philosophy and systems through management reports and surveys. Market data is gathered on an ongoing basis from reliable and valid sources.
