EDC had no unrelated business income for the years ending September 30, 2010 and 2009. EDC has determined that no provision for income taxes is required. The adoption of the Standard did not have a material effect on EDC's financial position or change in net assets. Accordingly, no provision for income taxes has been included in the accompanying financial statements. EDC adopted ASC 740 " Accounting for Uncertainty in Income Taxes" for the year ending September 30, 2010. The interpretation clarifies the accounting for uncertainty in income taxes recognized in an enterprise's financial statements. (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include research, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC partners with a wide variety of organizations to implement our overseas programs, including US and Non-US Non-governmental organizations (NGOs), community based organizations, universities, and for-profit organizations through project-specific subgrants and subcontracts. The capabilities of subawardees are examined by EDC either before it submits a proposal to its sponsor or post-award. Subawardees must usually be approved in advance in accordance with EDC's sponsors' requirements. For overseas subgrant programs that are implemented post award, EDC customized a selection and evaluation RFA process that reflects the technical needs of the program and the local capacity. Selection factors include a review of technical capacity, past performance, and financial/managerial capacity, as well as an evaluation of the programmatic proposal submitted by applicants. For every EDC subgrant or subcontract a written agreement is made with the subawardee to carry out a substantive part of the work for which EDC has received its funding. These agreements are drafted by EDC's Office of Sponsored Programs, with the guidance of EDC's General Counsel as needed, with technical guidance from the EDC Project Director and local management staff. In some situations, local subgrants are drafted by EDC's field office staff using templates provided by EDC's Office of Sponsored Programs. These agreements contain detailed technical work statements, budgets, reporting requirements, audit requirements and any other flow-down clauses, terms, and conditions, necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state and local law and the terms of EDC's grants and contracts from its sponsors. Prior to issuing any subgrant, and pursuant to Executive Order 13224, EDC obtains a certification from prospective subgrantees that recipient did not provide within the previous ten years material support or resources to any individual or entity that commits, attempts to commit, advocated, facilitated, or participates in terrorist acts. EDC also confirms that the organization, official signatory, and key personnel are not listed on any of the major databases of persons and organizations linked with terrorism. The international grant agreements also contain specific provisions to protect against grant funds being used to support terrorist organizations or activities, to support or oppose any candidates for political office, for lobbying purposes, or in violation of any applicable laws. Payment provisions range from cost reimbursment, to advance and reconciliation, to fixed obligations, and payments are regularly monitored to help ensure that significant grant amounts are not at risk for improper use or diversion. (EDC) is a global nonprofit organization that develops, delivers and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include researach, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC partners with a wide variety of organizations, including nonprofits, universities, hospitals and for-profit organizations throughout the United States through project-specific subgrants and subcontracts. The capabilities of subawardees are examined by EDC before it submits a proposal to its sponsor or post-award. Subawardees must usually be approved in advance in accordance with EDC's sponsor requirements. For every EDC subgrant or subcontract a written agreement is made with the subawardee to carry out a substantive part of the work for which EDC has received its funding. These agreements are drafted by EDC's Office of Sponsored Programs, under the guidance of EDC's General Counsel, with technical guidance from the Project Director. These contracts contain detailed technical work statements, budgets, reporting requirements and any other terms necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state and local laws and the terms of EDC's grants and contracts from its sponsors. Performance by the subrecipient is monitored by the EDC Project Director, who is responsible for technical monitoring of subawards. The EDC Project Director is assisted by a unit financial manager to review and authorize payment of subrecipient invoices. EDC maintains one 457(f) plan for additional compensation paid to the C.E.O. The plan has been reviewed by qualified counsel and contains provisions that impose a substantial risk of forfeiture. The officers' and directors' policy requires an annual disclosure and certification with mandatory updates as potential conflicts arise. Disclosures are reviewed by the General Counsel and potential conflicts are managed and resolved by a Conflicts Committee comprised of Trustees who have no connection with the potential conflict. F990_P06_S0B_L15 Form 990, Part VI, Section B, Line 15 The Executive Committee of the Board (serving as the Compensation Committee) sets and approves the C.E.O. compensation and reviews the compensation proposed by the C.E.O. for the four senior vice presidents and the C.F.O. The Executive Committee contracts periodically with an independent compensation consultant to review the comparable organizations and provide them advice as to the appropriate pay for the C.E.O. and other senior executives. The C.E.O. works with the V.P. of Human Resources to recommend appropriate pay levels for the other senior executives based on objective comparable market data and performance information. For other employee levels, the Executive Committee will provide general oversight and monitor adherence to the approved compensation philosophy and systems through management reports and surveys.
