Income Based CriteriaPart I, Line 3c: Under the filing organization's Financial Assistance Policy, charity care eligibility is limited to those households whose income is no greater than 200% of the Federal Poverty Guidelines (FPG) unless the Hospital charges exceed 25% of the patient's yearly income up to a maximum income level of four times the household FPG income level for a family of four. In 2009, household income levels above $88,200 would have been ineligible for charity care classification.IncomeBasedCriteria
Costing Method UsedPart I, Line 7: The amounts of costs reported in the table in line 7 of Part I of Schedule H were determined by utilizing a cost-to-charge ratio derived from Worksheet 2, Ratio of Patient Care Cost-to-Charges, contained in the Schedule H instructions.CostingMethodUsed
Percent Of Total Expense ExplnPart I, Line 7f: Bad debt expense of $51,650,039 was included on Form 990, Part IX, line 25, but subtracted for purposes of calculating the percentage of total expenses in column (f) of line 7.PercentOfTotalExpenseExpln
Bad Debt FootnotePart III, Line 4: Costing Methodology:The amounts of bad debt expense, at cost, reported on line 2 and 3 of Section A of Part III were determined utilizing a ratio of patient care cost to charges as shown on Worksheet A contained in the instructions for Schedule H, Part III, line 3. Discounts and payments on patient accounts are recorded as adjustments to revenue, not bad debt expense. The estimated amount of bad debt expense (at cost) attributable to patients eligible for financial assistance under the filing organization's financial assistance policy was estimated for its tax year ended September 30, 2010. The estimate was determined by applying a derived percentage to total bad debt expense at cost for the year ended September 30, 2010. The derived percentage was based upon a methodology implemented in calendar year 2011 subsequent to the filing organization's joining Adventist Health System (AHS). As noted in other parts of this Form 990, the membership of the filing organization was transferred to Adventist Health System Sunbelt Healthcare Corporation (AHSSHC) effective September 1, 2010 pursuant to a merger and affiliation agreement. The methodology utilized by AHS to determine an estimated amount of bad debt attributable to charity care is based upon the use of a Scorer product. The Scorer product is used in those instances when self-pay patients do not comply with all reasonable attempts to have such patients complete financial assistance applications. The Scorer product utilizes publicly available data, such as credit reports, to assess an individual patient's financial viability. Patients who earn a certain score on the Scorer product are considered to qualify as non-state charity patients. The amount classified as charity care using the Scorer product for a selected time period was divided by total bad debt expense for the same time period to arrive at the percentage referenced above. Rationale for Including Certain Bad Debts in Community Benefit: The filing organization is dedicated to the view that medically necessary health care for emergency and non-elective patients should be accessible to all, regardless of age, gender, geographic location, cultural background, physician mobility, or ability to pay. The filing organization treats emergency and non-elective patients regardless of their ability to pay or the availability of third-party coverage. By providing health care to all who require emergency or non-elective care in a non-discriminatory manner, the filing organization is providing health care to the broad community it serves. As a 501(c)(3) hospital organization, the filing organization maintains a 24/7 emergency room providing care to all whom present. When a patient's arrival and/or admission to the facility begins within the Emergency Department, triage and medical screening are always completed prior to registration staff proceeding with the determination of a patient's source of payment. If the patient requires admission and continued non-elective care, the filing organization provides the necessary care regardless of the patient's ability to pay. The filing organization's operation of a 24/7 Emergency Department that accepts all individuals in need of care promotes the health of the community through the provision of care to all whom present. Current Internal Revenue Service guidance that tax-exempt hospitals maintain such emergency rooms was established to ensure that emergency care would be provided to all without discrimination. The treatment of all at the filing organization's Emergency Department is a community benefit. Under the filing organization's Charity Care Policy, every effort is made to obtain a patient's necessary financial information to determine eligibility for charity care. However, not all patients will cooperate with such efforts and a charity care eligibility determination can not be made. In this case, a patient's portion of a bill that remains unpaid for a certain stipulated time period is wholly or partially classified as bad debt. Bad debts associated with patients who have received care through the filing organization's Emergency Department should be considered to be community benefit as charitable hospitals exist to provide such care in pursuit of their purpose of meeting the need for emergency medical care services available to all in the community. Financial Statement Footnote Related to Accounts Receivable and Allowance for Uncollectible Accounts:There is no applicable footnote that describes bad debt expense as there are no audited financial statements that cover the filing organization's tax year from October 1, 2009 to September 30, 2010.BadDebtFootnote
Shortfall As Community BenefitPart III, Line 8: Costing Methodology:Medicare allowable costs were calculated using a cost-to-charge ratio.Rationale for Including a Medicare Shortfall as Community Benefit:As a 501(c)(3) organization, the filing organization provides emergency and non-elective care to all regardless of ability to pay. All hospital services are provided in a non-discriminatory manner to patients who are covered beneficiaries under the Medicare program. As a public insurance program, Medicare provides a pre-established reimbursement rate/amount to health care providers for the services they provide to patients. In some cases, the reimbursement amount provided to a hospital may exceed its costs of providing a particular service or services to a patient. In other cases, the Medicare reimbursement amount may result in the hospital experiencing a shortfall of reimbursement received over costs incurred. In those cases where an overall shortfall is generated for providing services to all Medicare patients, the shortfall amount should be considered as a benefit to the community. Tax-exempt hospitals are required to accept all Medicare patients regardless of the profitability, or lack thereof, with respect to the services they provide to Medicare patients. The population of individuals covered under the Medicare program is sufficiently large so that the provision of services to the population is a benefit to the community and relieves the burdens of government. In those situations where the provision of services to the total Medicare patient population of a tax-exempt hospital during any year results in a shortfall of reimbursement received over the cost of providing care, the tax-exempt hospital has provided a benefit to a class of persons broad enough to be considered a benefit to the community. Despite a financial shortfall, a tax-exempt hospital must and will continue to accept and care for Medicare patients. Typically, tax-exempt hospitals provide health care services based upon an assessment of the health care needs of their community as opposed to their taxable counterparts where profitability often drives decisions about patient care services that are offered. Patient care provided by tax-exempt hospitals that results in Medicare shortfalls should be considered as providing a benefit to the community and relieving the burdens of government. PART III, SECTION B, LINES 5-7The IRS instructions for Schedule H, Part III, Section B, lines 5-7 specifically indicate to include only those allowable costs and Medicare reimbursements that are reported in the organization's Medicare cost report for the year. This reporting does not take into account those costs and revenues associated with hospital employed physicians who are treating Medicare patients at hospital-owned clinic and physician practice sites. Accordingly, the net result of treating Medicare patients from a financial perspective may differ as reported for financial reporting purposes and community benefit reporting purposes from the surplus or shortfall shown on line 7 of Section B of Part III of Schedule H.ShortfallAsCommunityBenefit
Debt Collection PolicyPart III, Line 9b: At the time of patient registration, non-elective self-pay patients are informed of the minimum discount available under the filing organization's self-pay discount policy. Such patients are also informed of the filing organization's charity care policy and told that they will be required to submit necessary financial data in order to potentially receive any additional discounts. Percentage discounts are applied to a patient's account (from a 100% discount to a 30% discount) based upon the patient's household income as a percentage of the Federal Poverty Guidelines.Under the filing organization's policies, payment plans for partial charity accounts will be individually developed with the patient. Partial charity accounts result when a financial assistance eligibility determination allows for a percentage reduction but leaves the patient with a self-pay balance. If the patient complies with the agreed-upon payment plan, the filing organization does not pursue any collection action with respect to the patient. However, if a patient's balance remains unpaid after collection efforts by the Hospital, an account may be referred for further collection activity. The filing organization does not pursue collection of amounts from patients determined to qualify for a 100% reduction in charges under its Financial Assistance Policy. The patient access representative/financial counselor or medical assistance coordinator will determine the patient payment obligation in accordance with household size and income level as outlined in the filing organization's Financial Assistance Policy. All qualified uninsured patients will receive a discount (from a 100% discount to a 30% discount) based upon the patient's household size & income level.DebtCollectionPolicy

General ExplanationPart VI, Line 8:The filing organization does not file a community benefit report with any state.GeneralExplanation
Needs AssessmentPart VI, Line 2: The filing organization does not currently conduct any formal annual health care needs assessment. However, a variety of practices and processes are in place to ensure that the filing organization is responsive to the health needs of its community. Such practices and processes involve the following:1. A hospital operating/community board composed of individuals broadly representative of the community, community leaders, and those with specialized medical training and expertise;2. Post-discharge patient follow-up related to the on-going care and treatment of patients who suffer from chronic diseases; 3. Sponsorship and participation in community health and wellness activities that reach a broad spectrum of the filing organization's community; and 4. Collaboration with other local community groups to address the health care needs of the filing organization's community.NeedsAssessment
Patient Education AssistancePart VI, Line 3: University Community Hospital, Inc. (the Hospital) has a process in place whereby patients are informed about the Hospital's Financial Assistance Policy and other forms of patient account discounts, such as prompt pay discounts. Signage is posted in the Emergency Room indicating that financial assistance is available for those self-pay patients meeting eligibility requirements. After EMTALA medical screening and stabilization requirements are met, registration personnel will secure financial information on as many self-pay patients as possible at the time of service. For those who appear to qualify for Medicaid or under the Hospital's Financial Assistance Policy, the financial counselors will continue to work with those patients until final account resolution is achieved. All other self-pay patients are covered under this process. At any time during the process that data is provided showing that a patient qualifies for assistance under the Financial Assistance Policy the discounts extended under that policy will be applied. As part of the billing process, the Hospital advises patients on the initial patient bill that they can contact the Medical Assistance Department of the Hospital to apply for charity care assistance. The Hospital's charity care application is available in both an English and Spanish version. Additionally, the Hospital's financial counselors are available to work with every patient during the billing process to assist the patient with completing charity care applications and investigating other potential sources of third-party assistance. The determination of a patient's eligibility for charity care is made on a case-by-case basis. Various factors are considered in that determination. Each individual patient who is identified as potentially being eligible to receive charity care is seen by a financial counselor at the Hospital. The financial counselor will work with the patient to make sure that other sources of assistance (public or otherwise) have been sought to the fullest extent possible. When other forms of assistance are not available or have been exhausted, the Hospital will gather certain financial information from the patient to determine the patient's ability to pay based upon household size and level of income.PatientEducationAssistance
Community InformationPart VI, Line 4: The filing organization currently operates 2 hospital facilities, University Community Hospital - Medical Center and University Community Hospital - Carrollwood, a Heart Hospital, and a Long Term Acute Care Hospital on three campuses in and around the Tampa Bay Area. Combined, these facilities are a major healthcare provider caring for close to 200,000 patients each year residing in Hillsborough, Pasco and surrounding Counties. University Community Hospital - Medical Center (UCHMC), located in Hillsborough County in close proximity to the University of South Florida, is licensed for 357 acute-care beds. UCHMC is home to five Centers of Excellence that focus resources on major disease areas including cancer treatment, women's health, pediatrics, diabetes management and orthopaedics. University Community Hospital - Carrollwood (UCHCW), also located in Hillsborough County, is licensed for 120 beds and offers comprehensive medical and surgical care, many specialized services, as well as a wide range of radiological procedures available for diagnosis and treatment of injuries and illnesses. Diagnostic imaging services offered include x-rays, ultrasound, mammography, nuclear medicine, CT Scan and special procedures. UCHCW's five-story medical tower also houses a six-suite surgery unit that offers advanced technologies in gynecologic, vascular surgery and joint replacement procedures.Pepin Heart Hospital & Dr. Kiran C. Patel Research Institute (PHH), located adjacent to UCHMC, is licensed for 101 beds. Officially opening its doors on April 3, 2006, PHH became the Southeast's first all-digital cardiovascular specialty facility. This free-standing heart hospital is filled with the advancements in technology, techniques, and revolutionary patient-centered care and is raising expectations when it comes to the diagnosis, treatment, and study of cardiovascular disease. Most importantly, PHH is filled with a team of physicians, nurses, technicians, and staff who have worked together for more than 20 years to create one of the most successful heart programs in the Tampa Bay Area. PHH's physicians and clinical specialists have built a comprehensive cardiovascular program with the experience of providing over 76,000 angioplasty procedures and over 11,000 open heart surgeries.Long Term Acute Care Hospital at Connnerton (LTAC), located in Pasco County is licensed for 50 beds. This brand new facility is designed to serve individuals who have medically complex illnesses, requiring additional weeks of specialized hospital care. The filing organization (UCH) is a crucial community and regional asset. UCH provides necessary medical services to the already large and rapidly expanding Tampa Area. With the exception of the LTAC, each facility is located in Tampa, Florida (population of approximately 324,000) and primarily serves patients residing in Hillsborough County (population of approximately 1.15 million). Hillsborough County is located on the west coast of central Florida. The median household income in Hillsborough County is approximately $49,594. Approximately 13.5% of the individuals residing in Hillsborough County live below the poverty level. Approximately 46% of UCH's patients during the current tax year were Medicare patients, about 12% were Medicaid patients, and the remaining percentage were patients covered under commercial insurance and self-pay patients.CommunityInformation
Other InformationPart VI, Line 6: University Community Hospital, Inc. (UCH) values the community it serves, and pledges to provide that community with needed educational, preventative, diagnostic, treatment and rehabilitative services. UCH is continually improving and updating its range of services as necessary to meet community needs. UCH's community outreach efforts are focused on health education, wellness information, physician referral, and screening services. Each month, UCH offers a variety of health and wellness classes taught by members of its medical staff and other health care professionals. UCH also maintains a speakers' bureau whereby qualified speakers are provided to community groups to deliver the latest information on health, wellness, and prevention. Because prevention and early detection are key components of maintaining good health for individuals of all ages, UCH regularly conducts a variety of free and low-cost health screening events. Such screenings include cholesterol, lipid profiles, blood pressure checks, body fat and osteoporosis screenings. Effective September 1, 2010, UCH became a part of the system of healthcare organizations known as Adventist Health System, a faith-based non-profit tax-exempt system of hospitals and other healthcare organizations. The parent of the AHS system of healthcare organizations is Adventist Health System Sunbelt Healthcare Corporation (AHSSHC). The provision of community benefit is central to AHS's mission of service and compassion. Restoring and promoting the health and quality of life of those in the communities served by AHS is a function of the System's mission of "extending the healing ministry of Christ". As a member of the AHS system, UCH will continue to commit substantial resources to provide a broad range of services to its community.OtherInformation
Affiliated Health Care SystemPart VI, Line 7: Effective September 1, 2010, University Community Hospital, Inc. became a part of a faith-based healthcare system of organizations whose parent is Adventist Health System Sunbelt Healthcare Corporation (AHSSHC). The system is known as Adventist Health System (AHS). AHSSHC is an organization exempt from federal income tax under IRC Section 501(c)(3). AHSSHC and its subsidiary organizations operate 43 hospital facilities in 10 states throughout the U.S., primarily in the Southeastern portion of the U.S. AHSSHC and its subsidiaries also operate 17 nursing home facilities and other ancillary health care provider facilities, such as ambulatory surgery centers and diagnostic imaging centers. As the parent organization of the AHS system, AHSSHC provides executive leadership and other professional support services to its subsidiary organizations. Professional support services include among others corporate compliance, legal, human resources, reimbursement, risk management, and tax as well as treasury functions. The provision of these executive and support services on a centralized basis by AHSSHC provides an appropriate balance between providing each AHS subsidiary hospital organization with mission-driven consistent leadership and support while allowing the hospital organization to focus its resources on meeting the specific health care needs of the community it serves. As the reporting of the Form 990 is done on an entity by entity basis, there is no single Form 990 that captures the programs and operations of AHS as a whole. The reader is directed to visit the web-site of AHS at www.adventisthealthsystem.com to learn more about the mission and operations of AHS and to access AHS's annual report that contains financial data as well as community benefit reporting for the entire system.AffiliatedHealthCareSystem

Part I, Line 1aAs of September 1, 2010, the filing organization became a part of the system of healthcare organizations known as Adventist Health System (AHS). The individuals who served as the CEO and CFO of the filing organization subsequent to September 1, 2010 are compensated by and on the payroll of Adventist Health System Sunbelt Healthcare Corporation (AHSSHC), the parent organization of AHS. AHSSHC is exempt from federal income tax under IRC Section 501(c)(3). The filing organization reimburses AHSSHC for the salary and benefit cost of those executives on the payroll of AHSSHC that provide services and are on the management team of the filing organization. Housing allowance or residence for personal use: AHSSHC has a Corporate Executive Policy that addresses assistance to executives who have been relocated by the company during the year. Relocation assistance provided to executives may include relocation allowances to assist with duplicate housing expenses. Relocation assistance is administered per AHSSHC policy by an external relocation company. Any taxable reimbursements made to executives in connection with relocation assistance are treated as wages to the executive and are subject to all payroll withholding and reporting requirements. During the year ended September 30, 2010, the filing organization provided relocation assistance to one executive who was appointed as the CFO subsequent to September 1, 2010. Discretionary spending account: A nominal discretionary spending amount of $550 was provided by the filing organization in the current year to one of its 5 Highest Paid Employees, Dr. Stephen Gerrish, for cell phone services. The payment provided to Dr. Gerrish was considered taxable compensation.
Part I, Line 4b:In 1995, the filing organization implemented a Supplemental Employee Retirement Plan (the UCH SERP) for certain key executives. This plan was frozen as of December 31, 2009. During its tax year ended September 30, 2010, 4 UCH executives received payments from the UCH SERP plan. As noted above, University Community Hospital, Inc. (UCH) became a part of Adventist Health System on September 1, 2010. Certain Board of Director members and the CEO and CFO of UCH that were appointed subsequent to September 1, 2010 participated in a supplemental nonqualified retirement plan (the AHS plan) maintained by Adventist Health System Sunbelt Healthcare Corporation, the parent organization of AHS. The description below outlines the significant features of the AHS plan. In recognition of the contribution that each executive makes to the success of AHS, AHS provides to eligible executives participation in the AHS Executive FLEX Benefit Program (the Plan). The purpose of the Plan is to offer eligible executives an opportunity to elect from among a variety of supplemental benefits, including deferred compensation benefits taxable under Internal Revenue Code (IRC) Section 457(f), to individually tailor a benefits program appropriate to each executive's needs. The Plan provides eligible participants a pre-determined benefits allowance credit that is equal to a percentage of the executive's base pay from which is deducted the cost of mandatory and elective employee benefits. The pre-determined benefits allowance credit percentage is approved by the AHS Board Strategy & Compensation Committee, an independent committee of the Board of Directors of AHSSHC. Any funds that remain after the cost of mandatory and elective benefits are subtracted from the pre-determined benefits annual amount are contributed, at the employee's option, to either an IRC 457(f) deferred compensation account or to an IRC 457(b) eligible deferred compensation plan. The Plan documents define an employee who is eligible to participate in the Plan to generally include the Chief Executive Officers of AHS entities and Vice Presidents of all AHS entities whose base salary is at least $189,000. The Plan provides for a class year vesting schedule (2 years for each class year) with respect to amounts accumulated in the executive's 457(f) deferred compensation account. Distributions could also be made from the executive's 457(f) deferred compensation account upon attainment of age 65 or upon an involuntary separation. The account is forfeited by the executive upon a voluntary separation. In addition to the Plan, AHS has instituted a defined benefit, non-tax-qualified deferred compensation plan for certain executives who have provided lengthy service to AHS and/or to other Seventh-Day Adventist Church hospital or health care institutions. Participation in the plan is offered to AHS executives on a prorata schedule beginning with 20 years of service as an employee of AHS and/or another hospital or health care institution controlled by the Seventh-Day Adventist Church and who satisfy certain other qualifying criteria. This supplemental executive retirement plan (the AHS SERP) was designed to provide eligible executives with the economic equivalent of an annual income beginning at normal retirement age equal to 60% of the average of the participant's three highest years of base salary from AHS active employment inclusive of income from all other Seventh-Day Adventist Church healthcare employer-financed retirement income sources and investment income earned on those contributions through social security normal retirement age as defined in the plan. 457(f) Employer 457(f) SERP Contributions Payments Payment Janice Hagensicker $ 41,930 $ 53,691 $0 (AHS Plan) John Harding $ 56,038 $124,318 $538,668 (AHS Plan & SERP) Norman Stein $0 $0 $ 91,527 (UCH SERP) Larry Archbell $0 $0 $120,451 (UCH SERP) Joline Miceli $0 $0 $225,721 (UCH SERP) Brigitte Shaw $0 $0 $ 51,185 (UCH SERP) Lars Houmann $153,591 $447,341 $0 (AHS Plan) Michael Schultz $ 82,488 $184,036 $0 (AHS Plan)
Part I, Line 6The filing organization's physician compensation formula is designed to result in total compensation that would be reasonable for each physician. The filing organization utilizes national survey productivity, cost, and compensation data in formulating all aspects of the compensation plan. Physician compensation arrangements include a ceiling or reasonable maximum on the amount a physician may earn. The filing organization's compensation arrangement does not use a method of compensation that is based upon a percentage of the organization's net income. Rather, under the compensation arrangement, physician base salary is set based on Fair Market Value benchmarks, and any additional compensation is based on a percentage of the practice/location net revenue.
Part IIIPart I, Question 3: As noted in our response to Question 15 of Part VI of Form 990, the compensation and benefits of the filing organiztion's CEO were determined pursuant to policies, procedures and processes that were designed to be in compliance with the intermediate sanctions laws as set forth in IRC Section 4958. The filing organization uses all of the following to establish compensation of the CEO: - Compensation committee; - Compensation survey and studies; and - Approval by the board and compensation committee.Supplemental Information

Form 990, Part VI, Section A, line 4The Board of Trustees and membership of University Community Hospital, Inc. (the filing organization or UCH) adopted and approved a plan of merger on July 8, 2010 whereby Adventist Health System Sunbelt Healthcare Corporation (AHSSHC) became the sole member of UCH. AHSSHC is the parent organization of a healthcare system that operates hospitals, nursing home facilities and other healthcare provider organizations. AHSSHC is exempt from federal income tax under Internal Revenue Code (IRC) Section 501(c)(3). Under the plan of merger, a subsidiary of AHSSHC merged into UCH, with UCH being the surviving entity. The merger was effective on September 1, 2010. In connection with the merger, the members of UCH adopted Articles of Restatement to the Articles of Incorporation of UCH and also adopted restated Bylaws. The significant changes to the Articles of Incorporation of UCH include the following: 1) Prior to amendment, the membership of UCH consisted of the voting members of the Board of Trustees of UCH. The Articles were amended to reflect AHSSHC as the sole member of UCH. 2) Previously, the management and affairs of the filing organization were under the control of the Board of Trustees. The Board of Trustees was renamed as the Board of Directors. 3) The dissolution clause of the Articles of Incorporation was revised to state that UCH may only be dissolved in a manner as provided in the Florida statutes for not-for-profit corporations. Additionally, it provides that all assets subject to a lease agreement between Hillsborough County, Florida and UCH shall be returned to Hillsborough County upon any dissolution. Any remaining assets (after satisfaction of all liabilities and obligations) shall be distributed to the member so long as the member is recognized as exempt under IRC Section 501(c)(3). Significant changes to the restated Bylaws are as follows: 1) Prior to September 1, 2010, the Board of Trustees of UCH consisted of not less than 15 and not more than 35 members. At least two voting members were to be members of the Hospital's medical staff and at least one member was to be an individual who served on the Board of Trustees of the University Community Hospital Foundation, Inc. Upon restatement, the Board of Trustees was renamed the Board of Directors and was to consist of not less than 3 and not more than 25 members. There are to be three classes of directors. Appointed and regular directors shall have voting privileges while honorary directors will be non-voting. Three appointed directors will be appointed by AHSSHC as the sole member of the filing organization. Regular directors are initially named in the Bylaws and will subsequently be nominated by the Board of Directors and appointed by the member. Honorary directors will be appointed by the Board of Directors. 2) An additional qualification was added to the qualifications required to serve on the filing organization's Board of Directors. This qualification is a requirement to support the specific goals and objectives of the health ministry of the Seventh-day Adventist Church. 3) The previous Bylaws provided that the filing organization shall have executive officers and operating officers. The restated Bylaws indicate that there shall be Board officers and Corporate officers who are elected by the member. There may also be administrative officers that the member shall appoint in consultation with the Board of Directors.
Form 990, Part VI, Section A, line 6Prior to September 1, 2010, the membership of UCH consisted of the voting members of the Board of Trustees of UCH. Subsequent to the merger as discussed above in line 4, Adventist Health System Sunbelt Healthcare Corporation became the sole member of UCH. AHSSHC is a Florida, not-for-profit corporation that is exempt from federal income tax under IRC Section 501(c)(3).
Form 990, Part VI, Section A, line 7aAs noted above, prior to September 1, 2010, the membership of UCH consisted of the voting members of the Board of Trustees of UCH. Effective September 1, 2010, Adventist Health System Sunbelt Healthcare Corporation (AHSSHC) became the sole member of UCH. Under the restated Bylaws, AHSSHC appoints all voting members to the Board of Directors of UCH. Regular directors are nominated by the Board of Directors of UCH but must be appointed by the member.
Form 990, Part VI, Section A, line 7bSubsequent to September 1, 2010, AHSSHC, as the sole member of the filing organization, has certain reserved powers as set forth in the restated Bylaws of UCH. These reserved powers include the following: 1) The approval or disapproval of the Bylaws of the filing organization; 2) To set limits and terms for the borrowing of funds in excess of $100,000; 3) The approval or disapproval of single expenditures and/or the purchase or sale of real property in excess of one million dollars; 4) To direct the placement of funds and capital of the filing organization; 5) To establish general guiding policies; and 6) To approve the identity of an auditing firm and election of the fiscal year for the filing organization.
Form 990, Part VI, Section B, line 11The filing organization's current tax year Form 990 was reviewed by the President/CEO and CFO of AHSSHC's Florida region and by the CEO and CFO of the filing organization prior to its filing with the IRS. The review conducted by these individuals did not include the review of any supporting workpapers that were used in preparation of the current year Form 990, but did include a review of the entire Form 990 and all supporting schedules.
Form 990, Part VI, Section B, line 12cThe Conflict of Interest Policy of the filing organization applies to members of its Board of Trustees/Directors, its officers, executive employees, physician employees, and officers of the medical staff (to be known as Interested Persons). In connection with any actual or possible conflict of interests, any member of the Board of Trustees/Directors of the filing organization or any other Interested Person of the filing organization must disclose the existence of any financial interest with the filing organization and must be given the opportunity to disclose all material facts concerning the financial interest/arrangement to the Board of Trustees/Directors of the filing organization or to any members of a committee with board delegated powers that is considering the proposed transaction or arrangement. Subsequent to any disclosure of any financial interest/arrangement and all material facts, and after any discussion with the relevant Interested Person, the remaining members of the Board of Trustees/Directors or committee with board delegated powers shall discuss, analyze, and vote upon the potential financial interest/arrangement to determine if a conflict of interest exists. According to the filing organization's Conflict of Interest Policy, an Interested Person may make a presentation to the Board of Trustees/Directors (or committee with board delegated powers), but after such presentation, shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in a conflict of interest. Each Interested Person, as defined under the filing organization's Conflict of Interest Policy, shall annually sign a statement which affirms that such person has received a copy of the Conflict of Interests policy, has read and understands the policy, has agreed to comply with the policy, and understands that the filing organization is a charitable organization that must primarily engage in activities which accomplish one or more of its exempt purposes. The filing organization's Conflict of Interest Policy also requires that periodic reviews shall be conducted to ensure that the filing organization operates in a manner consistent with its charitable purposes.
Form 990, Part VI, Section B, line 15During the current tax year, there was established an executive compensation committee of the Board of Trustees of University Community Hospital, Inc. (UCH). The executive compensation committee was responsible to determine the compensation package, including the salary, benefits (as defined below), bonus, incentive, and any perquisites and deferred compensation of all employees of UCH who held executive positions (with title Vice President or above) at any hospital, entity or organization within the University Community Health System ("executives"). Members and Voting The executive compensation committee was comprised of the Board Officers of UCH. Each served as a voting member of the committee, provided that he/she was independent. Independence means that the individual does not have any duties, commitments or outside interests that would deter from his/her ability to faithfully carry out the duties and responsibilities of the executive compensation committee. This includes but is not limited to financial or fiduciary relationships with competing organizations or organizations that have significant business relationships with any University Community Health facility. Any such duties, commitments or outside interests must be fully disclosed and acted upon in accordance with the conflict of interest policy of the Board of Trustees of University Community Hospital. In the event any named committee member is unable to serve on the executive compensation committee, in any year, or with respect to addressing the compensation of any individual, the next officer in line, the immediate past Chairman, shall serve for that year or to address the specific individual compensation. A quorum is comprised of all of the committee members. The vote of a majority of the committee members shall constitute action of the committee. Advisors The President of UCH served as an advisor to the committee. He/she was responsible to present the qualifications and performance evaluation of each candidate for compensation and compensation adjustment. The committee held the authority to engage and consult with such other advisors or consultants from within or outside the organization as it deemed appropriate. Meetings The executive compensation committee meets as needed, but not less than annually. Periodic executive session meetings without the presence of advisors or others shall be held at the discretion of the committee or upon request of any committee member. The President of UCH shall not be present at any time during deliberation, discussion or decision relating to any part of his/her evaluation of performance, salary, benefits, or compensation package (other than to answer questions of the committee). Chair The Chairman of the committee shall be the Chairman of the Board of UCH. Compensation Philosophy It is the philosophy of UCH that the compensation of executives of University Community Hospital fairly and reasonably reflect the scope and magnitude of individual job duties, education, training, experience, and tenure with University Community Hospital. As a not-for-profit entity, the assets of University Community Hospital shall be dedicated first to assuring the delivery of healthcare services within the communities served. To achieve this, qualified, competent executives are essential. Therefore, compensation must be competitive and the overall value of the compensation package must be consistent with fair market value. Bonus and/or incentive compensation may be paid to achieve clearly defined corporate goals; reasonable recruitment incentives may be paid to attract qualified competent individuals; and perquisites should be limited to those generally available to all employees and those that are reasonable and necessary to fulfill specific job duties. The target salary and wages component of executive compensation packages was 5% to 10% above the national mean of the compensation packages of like positions (as determined through the fair market value comparison data) unless special circumstances warranted an amount in excess. Such special circumstances must support the additional compensation, and be noted and recorded by the committee in its records. Authority and Responsibility 1. The executive compensation committee had full delegated authority of the Board of Trustees of UCH to carry out the following duties in accordance with the compensation philosophy and guidelines in this policy: a. Determine the initial compensation package of all executives. b. Determine periodic adjustments to such compensation packages, including, without limitation, salary increases, bonus or incentive compensation, deferred compensation, perquisites, and benefits. For purposes of this policy, benefits include only those employment benefits and perquisites provided to any executive which are outside the scope of the standard benefits and perquisites offered to employees generally at the director level of University Community Hospital. c. Approve all contracts entered into with any executive. Executive Compensation Committee Guidelines 1. Each compensation package for each executive must be consistent with fair market value determined on the basis of: a. The specific job duties and scope of the position. b. The education, training, experience and any special talent or expertise of the individual filling the position. c. The performance of the individual within the position. d. The compensation philosophy in this policy. 2. Fair market value and mean range shall be determined by evaluating salary and compensation data from at least two external, objective nationally recognized sources, comparing similar positions at like organizations including, specifically, not-for-profit organizations, within the United States. If such data is not available, data on the closest comparable position should be obtained. To the extent available, Tampa Bay Region or Florida data should be considered. 3. The executive compensation committee shall maintain minutes of all meetings. Compensation data and other supporting information shall be appended to the minutes at which such information was considered. The minutes should reflect the members present at each meeting, the recusal of any committee member who is not independent or who bears a conflict of interest with respect to any particular compensation package considered, the presence of any substitute member, determinations by the committee that each specific compensation package reviewed is consistent with fair market value and this policy, actions taken by the committee, and the basis for the actions taken. 4. The executive compensation committee must report at least once annually to the full Board of Trustees advising whether approved executive compensation packages are consistent with this policy.
Form 990, Part VI, Section C, line 19A copy of the filing organization's Governing documents, Conflict of Interest policy, and/or financial statements are available to the public upon request.
