DescriptionHarris Theater Partnership InitiativeThe technologically-advanced Harris Theater presents opportunities for the companies to expand their audience development tactics, utilize enhanced production elements, and update their current technology strategy. However, limited financial and administrative resources present challenges to the resident companies as they build the administrative capacity necessary for long-term sustainability. To address this need, the Harris Theater has developed core partnership initiatives to empower its approximately 35 non-profit companies to meet their varied artistic and institutional goals. Through philanthropy, grants, and contributions from generous members of the community, the Theater partners with its non-profit users to support collaboration, artistic growth and development, institutional advancement, and resource sharing. The partnership initiative encompasses the Theater's services into the following main areas: -subsidy programs -68% of daily usage costs are underwritten by the Theater-companies are provided with theatrical, lighting, and sound equipment & in-house technical staff-marketing, press relations, & ticket sales support-family arts enrichment programming-capacity-building Learning Lab that provides a comprehensive toolkit and targeted coaching sessions to help companies build their marketing, fundraising, governance, fiscal, and administrative capabilitiesDescription

DescriptionHarris Theater Family Enrichment & Community Engagement InitiativeThe Theater focuses its educational and community engagement programs on families as well as partnership with local students and community groups. The primary focus of the Theater's educational programming is its Family Series. The Family Series focuses on the core constituencies of children and families, enabling these groups to attend condensed, family-friendly arts performances together. The goal of these performances is to expose and engage family members in the live performing arts and provide them with activities that enable them to continue to incorporate this learning into their lives. In an effort to provide an opportunity for families who might not otherwise have the ability to attend live performances, the Theater developed an Access Tickets Program, in which the Theater partners with various social service and health agencies to provide a minimum of 10% of tickets to Family Series performances free of charge to these groups. This program will ensure that families, who might not otherwise have the financial capacity, are able to experience the benefits of music and dance to enrich their lives. During the 2009-2010 season, the Theater provided 1,014 complimentary tickets to local children and families through the Access Tickets Program. During the 2010-2011 season, the Theater plans to serve 1,150.Description

DescriptionHarris Theater Presents The purpose of the Harris Theater Presents series is to present extraordinary artists, ensembles, and performances that would otherwise not be seen in Chicago. Performances are selected to complement the works of the Theater's resident companies, build audiences, and extend the Theater's mission through local and national visibility. Past Harris Theater Presents performances have included: Laurie Anderson, Joan Baez, Garth Fagan Dance, Les Ballets Africains, New York City Ballet, and the West-Eastern Divan Orchestra among others. The 2009/2010 season featured the return of Mikhail Baryshnikov, Lang Lang with the Schlewsig-Holstein Festival Orchestra, legendary opera diva Kathleen Battle in concert with Chicago Children's Choir, a conversation with Stephen Sondheim, and more. When possible, the Theater extends the reach of its Harris Theater Presents and Family Series by facilitating partnerships with the artists it is presenting and local artists, students, and community groups.Description

Part V, Line 4:Description of Intended Use of Endowment Funds:GENERAL OPERATING COSTS
Part X:Description of Uncertain Tax Positions Under FIN 48:On June 30, 2008, the Theater adopted the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the Theater may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Theater, the continued tax-exempt status of the bond issued by the Theater, and various positions related to the potential sources of unrelated business taxable income (UBTI). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. At June 30, 2010 and 2009, management has determined that there are no uncertain tax positions.

Form 990, Part VI, Section B, line 11On September 16, 2010 the Board of Trustees of the Harris Theater approved a resolution that, with the Fiscal year ended June 30, 2010, gives the Audit and Finance Committee of the Board the authority to review the Form 990 on the Board's behalf. On October 18, 2010, the Audit and Finance committee of the Board of Trustees met with representatives of RSM McGladrey, who prepared the 990 and conducted that review. The extent of that review includes covering key issues. EACH BOARD MEMBER RECEIVED AN ELECTRONIC COPY OF THE FINAL VERSION OF FORM 990 PRIOR TO ITS FILING.
Form 990, Part VI, Section B, line 12cMUSIC AND DANCE THEATER CHICAGO, INC'S. ("MADTC") CONFLICT ON INTEREST POLICY ADDRESSES TRANSACTIONS AND ARRANGEMENTS INVOLVING MADTC'S TRUSTEES, officers and any other managers or supervisors identified by the Board of Trustees or the President as exercising substantial influence over the operations of MADTC ("Covered Persons"). Each Covered Person upon becoming such shall prepare, sign and submit a Conflict of Interest Questionnaire. In addition, each Covered Person shall promptly and fully disclose all material facts of every actual or potential conflict of interest: (I) That arises while he/she is a Covered Person, at the time such actual or potential conflict arises; and; (II)Annually by preparing, signing and submitting a Conflict of Interest Questionnaire. All disclosures involving a transaction or arrangement being considered at a meeting of the Board of Trustees or of a board committee shall be made to all members present at such meeting. All other disclosures shall be made to the President (who shall disclose his or her conflicts to the Board of Trustees). A Covered Person who is in doubt as to the existence of a conflict of interest is encouraged to disclose all facts pertaining to the transaction or arrangement before undertaking the transaction or arrangement or making any decision in the matter. Each Covered Person shall sign a statement acknowledging that he or she has received a copy of this Policy, has read and understands it, and agrees to comply with it. If the Board of Trustees has reasonable cause to believe that a Covered Person has failed to comply with this Policy, the Board may counsel the Covered Person regarding such failure and, if the issue is not resolved to the Board's satisfaction, may consider additional corrective action as appropriate.
Form 990, Part VI, Section B, line 15Before hiring a key employee to the Theater, certain members of the Board of Trustees, including the then Chair, will lead the search for the executive, subject to a job description and scope approved by the Board. The compensation for the position will be based on a recommendation from an independent consultant based on comparable data. After identifying several candidates, several Board members will conduct the interviews and will agree to a candidate to present to the full Board, along with their recommendation for compensation. The Board must then give their approval before hiring. All minutes of Board of Trustee meetings are prepared and are subject to approval at the following Board meeting.
Form 990, Part VI, Section C, line 19The theater makes documents available to the public and interested parties in a number of ways. The theater participates in the Cultural Data Project which provided detailed information on the organization, including financial data. In addition, the theater applies for numerous grants from foundations as well governmental bodies and provides such documents in that application process. Web sites such as Guide Star also have relevant documents of the theater.
Form 990, Part III, Line 1 - The Organization's Mission:The Harris Theater's mission is to partner with an array of Chicago's emerging and mid-sized performing arts organizations to help them build the resources and infrastructure necessary to achieve artistic growth and long-term organizational sustainability. The Theater supports this mission by providing these partner organizations subsidized rental, technical expertise, and marketing support, thus allowing the organizations to focus on what they do best - bringing the finest music and dance to the public. Additionally, the Harris Theater is committed to presenting world-class music and dance organizations in order to maintain its reputation as a venue of growing importance as well as to help build audiences for its resident companies. Lastly, an important part of the Theater's mission is to advance arts education for children and adults through family programming. The Theater's family programming enables parents and children to experience music and dance together with the idea that family-wide learning will lead to a deeper and more meaningful incorporation of art into children's lives and will, ultimately, build long-term audiences for the Theater's resident companies.
