| The process and policy for determining compensation for key employees at Shore Country Day School is as follows: The School has established a compensation committee to determine the compensation for key employees. The policy of the committee is to attract and retain key executive talent by providing a competitive total compensation package. In determining competitiveness, Shore Country Day School looks primarily to compensation offered by other local non-profit organizations that are similar in size as well as reviewing statistical data provided by the National Association of Independent Schools. The Compensation Committee of the Board of Directors reports to the Board of Directors the cash and non-cash compensation policies, programs and amounts, as well as major changes in the School's benefit plans, applicable to key executives of Shore Country Day School. "Key executive" is defined as Headmaster, Chief Financial Officer, and other key employees. The Compensation Committee documents the basis for its determination of the reasonable compensation for those key executives under its review and the basis for determining that the compensation of the executive was reasonable in light of market data. The Compensation Committee reports to the Board of Directors on an annual basis.
