ExplanationThe organization's medical school subsidiary organization has a Government Relations office which makes contacts; working in coordination with that government relations office, the filing organization's employees will sometimes make direct contacts with legislators, their staffs, government officials, or a legislative body. The Government Relations office was actively involved with several federal and state issues during the year. The office assisted in developing political advocacy strategies including the review of the June, 2012 U.S. Supreme Court ruling regarding the individual mandate and revisions to the Medicaid expansion provisions of the Patient Protection and Affordable Care Act (P.L. 111-148) (a/k/a the health care reform bill), and implementation of the provisions regarding the community health needs assessment, value based purchasing, essential health benefits for state health exchanges, residency slot reallocation, hospital readmissions, hospital acquired infections and the medical device tax. Staff worked on the various debt ceiling and deficit reduction legislation, including the Budget Control Act of 2011, and the Joint Select Committee on Deficit Reduction (a/k/a the Super Committee).Because of the preponderance of current Health Care legislation, the Government Relations Office of the filing organization's subsidiary spent little time in the current year on purely educational issues that would benefit the University.Explanation

The Compensation Committee of the organization's governing board has been delegated the authority to review and approve compensation. Minutes of the deliberations of the committee are contemporaneously recorded. In the event that any member of the Compensation Committee has a conflict of interest, that committee member does not participate in the deliberation or approval process and their abstention from the process is reflected in the minutes.Form 990, Part VI, Line 15b
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of ConflictsThe organization requires officers and key employees to annually review the Conflicts of Interest Policy and describe any potential conflicts on a questionnaire. Any potential conflicts noted in the questionnaire are reviewed by a standing committee for appropriate resolution. All members of the Board of Trustees are required to determine and report annually, and as they arise, any potential conflicts of interest to the Secretary of the Board of Trustees. The resolution of potential and actual conflicts is subject to the approval of the Chair of the Board (or Vice Chair, as to conflicts involving the Chair) and is reported to the Chair of the Audit & Compliance Committee of the Board of Trustees.Form 990, Part VI, Line 12c
Form 990, Part VI, Line 11: Form 990 Review ProcessThe organization sends a draft of the Form 990 to its governing board (Board of Trustees) prior to its filing, allowing adequate time for follow-up questions and comments. The draft form is reviewed in detail with the Audit & Compliance Committee of the organization's Board of Trustees. The organization provides a copy of the Form 990 as finalized to all members of both the Audit & Compliance Committee and the entire Board of Trustees for comments and questions prior to filing the Form 990 with the IRS.Form 990, Part VI, Line 11
Form 990, Part VI, Line 4: Description of Significant Changes to Organizational DocumentsEffective April 20, 2012, the governing board of the filing organization adopted several changes to the organizations governing documents; the two significant changes adopted are as follows: The filing organizations bylaws were amended to reflect the creation of a new category of board member, Young Alumni Trustee. The category permits the election of one or two such trustees, who have full voting authority as board members on an equal basis with the other trustees; the term of a Young Alumni Trustee may be one or two years (as opposed to the regular trustee term of four years). Finally, the qualifications for service as a Young Alumni Trustee are different: they must be an alumnus of the filing organization, be less than 36 years old at the time of their initial election, and may be re-elected to one additional consecutive two-year term. The second significant change clarified the roles of the governing board of the related organization, Wake Forest University Baptist Medical Center (WFUBMC) (of which related organization the filing organization is one of two equal members) and of the WFUBMC CEO, in the operation of the filing organizations School of Medicine, which has since 2002 been operated by Wake Forest University Health Sciences (WFUHS), itself a wholly-controlled subsidiary and supporting organization of the filing organization. These were clarifying changes mandated by the adoption in July 2010 of the Medical Center Integration Agreement by the filing organization, WFUBMC, WFUHS, and the affiliated (but unrelated) hospital organization, North Carolina Baptist Hospital. The filing organizations Policy Resolutions in implementation of its Bylaws were amended, in the section entitled Administration, to provide that The Wake Forest University Baptist Medical Center CEO serves as the senior corporate officer of Wake Forest University Health Sciences unless otherwise approved by the WFUBMC Board. The Medical Center CEO also serves as the Chief Academic Officer of the Medical Center and in that role, with the concurrence of the WFU President appoints the Dean of the School of Medicine. As the Chief Academic Officer, the Medical Center CEO also reports to the WFU President, with respect to the academic mission, as the WFU Executive Vice President for Health Affairs. Subject to the power and authority of the Board of Trustees and the University President, exercised consistently with the Medical Center Integration Agreement, the Executive Vice President for Health Affairs is responsible for all the affairs of the School of Medicine. The Executive Vice President of Health Affairs is a member of the faculty of the School of Medicine and is an ex-officio officer of each committee of the faculty or administration of the Medical School.Form 990, Part VI, Line 4
Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, EtWinston-Salem is a relatively small city, and some of the officers, key employees, and trustees of the filing organization (the "specified group") have routine business dealings with each other. As noted in the response to Part VI, Question 12, however, the filing organization has a written conflict of interest policy designed to ensure that none of these transactions adversely affect the filing organization. Interested party transactions with the filing organization that meet the required thresholds, if any, are disclosed on Schedule L.Form 990, Part VI, Line 2
