UPON DISCLOSURE OF A POTENTIAL CONFLICT OF INTEREST, THE AFFECTED BOARD MEMBER SHALL EXCUSE HIMSELF FROM THE BOARD MEETING. AT THAT TIME THE REMAINING BOARD MEMBERS WILL DISCUSS THE POTENTIAL CONFLICT AND VOTE UPON WHETHER A CONFLICT OF INTEREST DOES OR DOES NOT EXIST.
