accounting for uncertaintiy in income taxesCFR has adopted the provisions of accounting standard codification ("ASC") 740 accounting for uncertainties in income taxes. Asc 740-10 clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return including issues relating to financial statement recognition and measurement. This section provides that he tax effect from an uncertain tax position can be recognized in the financial statements only if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. CFR is exempt from federal and new York state income taxation by virtue of being an organization described in section 501 (c)(3) of the IRC and similar provisions of the New York State tax code. Nevertheless, CFR may be subjected to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. The tax years ending June 30, 2011, 2012, 2013 and 2014 are still open to audit for both federal and state purposes. CFR believes that there are no material uncertain tax positions within its financial statements.
Form 990, Schedule D, Part VThe Council holds a substantial endowment for the purposes of funding future programmatic activities, including seminars, publications, website activities and more. The Council's endowment principal shall be left untouched, with the earnings on the investments to be appropriated for expenditures consistent with the Council's tax-exempt mission.

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Form 990 Part VI, Line 6The Council on Foreign Relations (CFR) is first and foremost a membership organization. CFR's membership represents a group unmatched in accomplishment and diversity in the field of international affairs. CFR has 4,900 members and term members, comprised of top government officials, renowned scholars, business executives, acclaimed journalists, prominent lawyers, and distinguished nonprofit professionals. The Council also has a corporate membership program that provides a unique forum for business leaders to interact with noted thinkers and practitioners in government, policy, academia, and business through invitations to exclusive events, direct engagement with CFR experts, and virtual access to our members-only website. Form 990, Part VI, Line 7 The Council's Board of Directors is divided into five equal classes, each class serves for a term of five years until their successors are elected and take office. Each class shall consist of three Directors elected directly by the membership at large (and four Directors appointed by the Board).
form 990, part vi, line 11aprocess for reviewing form 990 The Form 990 was prepared by a nationally recognized accounting firm in conjunction with the organization's senior management and audit committee of the Board of Trustees. A copy of the Draft Form 990 was presented to the Audit Committee of the Board of Trustees for discussion and comment. Once the Audit Committee approved the Form 990 for filing, a copy was circulated to the full Board of Trustees for their review. Each Board Member was provided opportunity to comment on the information contained in the Form 990 prior to its filing with the Internal Revenue Service.
form 990, part vi, line 12cconflict of interest policy enforcement and monitoring Each officer, director, trustee and key employee of the organization is required to annually disclose any conflicts of interest that arise by virtue of employment, board service, or position with the organization. The organization monitors compliance with its conflict of interest policy through an annual questionnaire/disclosure statement that is distributed to these individuals. Potential conflicts are investigated immediately.
form 990, part vi, line 15a & 15bprocess for determining compensation CFR undertakes a thorough process to ensure that the executive compensation it pays to its top management official and all of its officers and key employees is reasonable, given the market in which the organization operates. In relevant part, the Board of Trustees has established a Compensation Committee of independent persons that have no personal interest in the proposed compensation. The Compensation committee contracts with a compensation consultant to complete a market assessment and competitive position analysis for the organization's top executives. The compensation consultant utilizes comparability and benchmarking surveys to ensure that the organization compensates its executives commensurate with the market. Compensation decisions and reports are contemporaneously documented in the minutes of the meeting of the Committee when the decisions are made. Compensation for the Council's Officers is determined when the President makes recommendations on the annual salary increase and bonuses to an outside compensation consultant who then provide a written assessment report of the competitiveness of the recommended total compensation. The CFO provides the Compensation Committee of the Board of Directors with the recommendations for salary increase percentages and bonus amounts, along with the assessment report prepared by the compensation consultant. The Compensation Committee meets in the late spring each year to discuss the recommendations and those recommendations are subject to final approval by the full board of directors. Each officer receives a written confirmation of the salary increase and bonus from Human Resources.
form 990, part VI, line 19availability of documents to the public CFR makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 and audited financial statements are likewise published on CFR's website. The organization's governing documents and conflict of interest policy may be provided at management's discretion, if requested.
Form 990, Part XI, Line 9Other Changes in Net Assets Change in value of interest rate swap agreement: $188,600 Postretirement Changes : ($563,000) Total Changes in Net Assets -($374,400)
