Significant New Program SrvcfalseSignificantNewProgramSrvcInd
Significant ChangefalseSignificantChangeInd
DescNFA Membership and Staff At the end of Fiscal Year (FY) 2016, NFA had a total of 3,942 Members and more than 53,000 Associate Members. In FY 2016, NFA hired 104 new employees, bringing NFA's total staff to 528. Governance In November 2015, the Board adopted amendments to NFA's Certificate of Incorporation (Articles) and subsequently approved Bylaw amendments. The amendments provide for electronic voting in the election of Member Directors, other than Contract Market Member Directors. These amendments became effective August 1, 2016. Cybersecurity at NFA Cybersecurity threats to NFA's information systems continue to advance at an alarming rate and addressing these threats is a top priority. NFA recognizes that these threats are constantly evolving so we continued with a series of major initiatives in FY 2016 to enhance NFA's defenses. Additionally, as we enhanced NFA's cybersecurity measures, we continued to train staff on the importance of cybersecurity vigilance. Cybersecurity Guidance for Members In light of the almost daily news about cybersecurity breaches, including at financial institutions, NFA worked closely with its Board and the CFTC to develop guidance requiring Member firms to adopt and enforce procedures to secure both customer data and access to their electronic systems. In October 2015, NFA announced the CFTC's approval of NFA's Interpretive Notice to NFA Compliance Rules 2-9, 2-36 and 2-49 entitled Information Systems Security Programs (ISSP). NFA's Cybersecurity Interpretive Notice requires Member firms to adopt and enforce written ISSP to secure customer data and access to their electronic systems. The Cybersecurity Interpretive Notice became effective on March 1, 2016, and applies to all Member firm categories. To assist Members as they develop and implement their ISSPs, NFA held three regulatory workshops in early February 2016 in Chicago, New York and Los Angeles. Education In FY 2016, NFA traveled to a number of locations, including London, Malta, Amsterdam, Dublin and Madrid, to make presentations to other regulators, Members and others about regulatory matters. In addition, NFA delivered presentations on NFA's regulatory role to more than 60 individuals from groups of international delegates that visited NFA. Enforcement Actions Enforcement of NFA rules is critical to the effectiveness of the self-regulatory process. In the past fiscal year: * NFA's Executive Committee issued two Member/Associate Responsibility Actions to take summary action to protect investors. * NFA's Business Conduct Committee issued 21 disciplinary Complaints against 39 respondents. Of these Complaints, a number were brought against Member firms for failing to cooperate with NFA in investigations and against certain Members for having deficient risk management programs. * NFA's disciplinary panels issued 28 Decisions (involving 49 respondents), and ordered 22 expulsions, 11 suspensions, and collected nearly $700,000 in fines. NFA also continued its longtime participation in regular meetings of the U.S. Department of Justices Securities and Commodities Fraud Working Group and local enforcement liaison meetings with the U.S. Attorneys Office, Federal Bureau of Investigations, U.S. Postal Inspectors Office, CFTC regional office, and the Illinois Department of Securities. Registration NFA screens all firms and individuals wishing to register with the CFTC and become NFA Members. In Fiscal Year 2016, NFA's Registration Department processed more than 540 firm registrations and approximately 9,600 individual registrations. NFA's registration Fitness Group opened more than 1,780 investigative cases in the past year. These fitness cases determine a firm's or individual's fitness for registration and are due to adverse fingerprint card results, affirmative answers to a disciplinary history question on the registration application, or regulatory information obtained during NFA's background checks. Information Center During the past fiscal year, NFA's Information Center - a service NFA offers to Members and the investing public - received more than 27,000 calls about myriad regulatory topics. FCM Examination Program The CFTC amended CFTC Regulation 1.52 to effectively require that self-regulatory organizations develop applicable examination standards for its examination program for futures commission merchants (FCMs) that are based on the auditing standards issued by the Public Company Accounting Oversight Board. Throughout the year, NFA worked closely with the CME Group to obtain CFTC approval of these FCM examination standards, update the examination program for FCMs to comply with these standards, and obtain an examination expert's report evaluating the FCM supervisory program. To help FCM Members understand the modifications to NFA's examination program, NFA held Member workshops in Chicago and New York in June 2016. Margin for Uncleared Swaps In January 2016, the CFTC published its final rules on the margin requirements for uncleared swaps of swap dealers (SD) and major swap participants (MSP). These requirements allow SDs and MSPs subject to the CFTC's Margin Rules to choose between using a standardized grid-based calculation for initial margin or an internal risk-based initial margin model approved by the CFTC or NFA. IN FY 2016, NFA reviewed internal initial margin models for over 30 Swap Dealer Members and these models were approved by September 1, 2016. NFA's process included among other items a review of the overall governance around a model and its use, model back-tests, and the firm's monitoring for compliance with margin regulations. Swap Valuation Disputes In January, the CFTC issued an Order authorizing NFA to receive notices of swap valuation disputes in excess of $20 million filed by SDs and MSPs. NFA began receiving and maintaining these notices on behalf of the CFTC on March 1, 2016 and agreed to provide the CFTC with summaries and reports regarding these notices. Section 4s Review Process In fiscal year 2016, as part of NFA's review of 4s submissions covering topics subject to final section 4s implementing regulations under the commodity exchange act, NFA provided closure letters to nearly all U.S. SDs and MSPs with regard to three topic areas - Chief Compliance Officer, Business Continuity and Disaster Recovery and Conflicts of Interest. In addition, NFA began issuing feedback letters to non-U.S. SD Members on their policies and procedures for areas where there is no substituted compliance. To help non-U.S. SD Members understand the review process and forthcoming NFA feedback, NFA held an audio conference in December 2015. Swap Dealer Examinations In FY 2016, NFA completed its examinations of the chief compliance officer requirements and began examinations at U.S. SDs that focused on three key areas - risk management program requirements, market practices and pre-trade recordkeeping. Areas of focus under risk management include risk governance, market risk, credit risk, business unit responsibilities, and the annual testing of the risk management program. Market practices areas of focus include the prohibition on fraud and manipulation, and other abusive practices. To help SD Members prepare for these examinations, NFA held an audio conference in September 2015. Market Regulation - Electronic Audit Trail Review Program The CFTC's core principles for both Designated Contract Market (DCM) and Swap Execution Facilities (SEF) require that they enforce their audit trail and recordkeeping requirements through, at a minimum, annual reviews of all members and persons to verify compliance with their requirements. As part of NFA's Market Regulation services, both DCMs and SEFs may request that NFA perform audit trail reviews. In Fiscal Year 2016, NFA developed the systems and procedures needed to begin these reviews.Desc

AS MONITOR, NFA ENSURES HARMED INVESTORS IDENTIFIED BY THE COURT ORDER RECEIVE THEIR PRO-RATA SHARE OF RESTITUTION. THE RESTITUTION MONIES ARE PLACED IN QUALIFIED SETTLEMENT FUNDS (QSF) WHICH ARE SEPARATE LEGAL ENTITIES ESTABLISHED AND TITLED PURSUANT TO A FEDERAL COURT ORDER. QSF ARE ORDINARILY SUBJECT TO THE CONTINUING JURISDICTION OF THE FEDERAL COURT BODY. NFA HAS CHECK WRITING AUTHORITY FOR THE QSF.
Liability for Uncertain Tax Position (ASC 740)Schedule D, Part X, Line 2 The Association has received a favorable determination letter from the Internal Revenue Service (IRS) stating that the Association is exempt from federal income taxes under the provisions of Section 501(c)(6) of the Internal Revenue Code of 1986, except for income taxes pertaining to unrelated business income. The FASB issued guidance that requires tax effects from uncertain tax positions to be recognized in the financial statements only if the position is more likely than not to be sustained if the position were to be challenged by a taxing authority. Management has determined that there are no material uncertain positions that require recognition in the financial statements, and has properly accrued a provision for excise taxes. There is no interest or penalties recognized in the statements of unrestricted revenues, expenses and changes in unrestricted net assets. The tax years ended 2012, 2013, 2014 and 2015 are still open to audit for both federal and state purposes.

Significant Changes to Governing DocumentsForm 990, Part VI, Line 4 In November 2015, the Board adopted amendments to NFA's Certificate of Incorporation (Articles) and subsequently approved Bylaw amendments. The amendments provide for electronic voting in the election of Member Directors, other than Contract Market Member Directors. These amendments became effective August 1, 2016.
Members or StockholdersForm 990, Part VI, Line 6 Members are divided into categories based upon the categories they are registered with the Commodity Futures Trading Commission ("CFTC"). The Membership categories include: contract markets, future commission merchants and leveraged transaction merchants, introducing brokers, retail foreign exchange dealers, swap dealers, major swap participants, and commodity pool operators and commodity trading advisor. Members elect representatives from their respective categories to the Board of Directors. The Board of Directors elects public directors (non-members) to the Board of Directors. Other than a change in the Articles of Incorporation, members generally do not approve significant decisions of the governing body. Upon dissolution, the net assets of NFA, after payment of liabilities, shall be distributed to the Members in proportion to the dues and assessments previously paid.
Members or Stockholders Who May ElectForm 990, Part VI, Line 7a A VACANCY ON THE BOARD THAT OCCURS BEFORE THE EXPIRATION OF A DIRECTOR'S TERM OR BECAUSE ADDITIONAL DIRECTORS IN EXISTING OR NEW MEMBER CATEGORIES ARE REQUIRED SHALL BE FILLED (FOR THE UNEXPIRED TERM) BY AN ELIGIBLE INDIVIDUAL ELECTED BY MAJORITY VOTE OF THE REMAINING DIRECTORS WHO REPRESENT THE CATEGORY OF MEMBERS IN WHICH THE VACANCY OCCURRED. See Form 990, Part VI, Line 6 above for the nature of the voting rights.
Decisions Subject to ApprovalForm 990, Part VI, Line 7b A change in NFA's Articles of Incorporation requires approval of the majority of those voting in each Membership category.
Form 990 Review ProcessForm 990, Part VI, Line 11b PRIOR TO FILING THE FORM 990 IT IS REVIEWED AND APPROVED BY NFA'S AUDIT COMMITTEE (THREE MEMBERS). THE REVIEW INVOLVES AN IN-DEPTH PRESENTATION BY NFA STAFF TO THE COMMITTEE. THE COMMITTEE WILL ALSO REVIEW THE OVERALL ACCURACY AND COMPLETENESS OF THE FORM 990. PRIOR TO FILING THE FORM 990, THE DRAFT RETURN WAS PROVIDED TO THE REMAINING VOTING MEMBERS OF NFA'S GOVERNING BODY. NFA'S COO ALSO REVIEWED THE 990 FOR OVERALL ACCURACY AND COMPLETENESS PRIOR TO FILING.
Conflict of Interest Policy Monitoring & EnforcementForm 990, Part VI, Line 12c AT NFA'S BOARD OF DIRECTORS ANNUAL MEETING, NFA'S GENERAL COUNSEL PRESENTS, IN WRITING, NFA'S POLICY AND PROCEDURE ON CONFLICTS AND DUALITIES OF INTEREST ("POLICY"). EACH DIRECTOR IS SUBSEQUENTLY REQUIRED TO SIGN A WRITTEN STATEMENT THAT LISTS ANY AFFILIATION THAT MAY GIVE RISE TO POTENTIAL CONFLICTS AND DUALITIES OF INTEREST UNDER THE POLICY. THE WRITTEN STATEMENT ALSO ACKNOWLEDGES THAT THE DIRECTOR HAS RECEIVED, READ AND UNDERSTOOD, AND AGREES TO ABIDE BY NFA'S POLICY; AND THAT THE DIRECTOR WILL DISCLOSE, AS IT OCCURS, ANY AFFILIATION THAT MAY GIVE RISE TO A CONFLICT OR DUALITY OF INTEREST UNDER THE POLICY. NFA STAFF REVIEWS AND MAINTAINS THESE WRITTEN STATEMENTS AND REFERS TO THEM AS MATTERS UPON WHICH THE BOARD ACTS ARISE. IF ANY DIRECTOR HAS AN AFFILIATION THAT MAY GIVE RISE TO A CONFLICT OR DUALITY OF INTEREST UNDER THE POLICY IN CONNECTION WITH A MATTER COMING BEFORE THE BOARD, NFA'S GENERAL COUNSEL BRINGS THE AFFILIATION TO THE BOARD'S ATTENTION IN THE EVENT THAT THE DIRECTOR DOES NOT. NFA STAFF IS REQUIRED TO ADHERE TO A CONFLICT OF INTEREST POLICY, WHICH IS MONITORED BY HUMAN RESOURCES. STAFF ANNUALLY COMPLETE THEIR CONFLICT OF INTEREST QUESTIONNAIRES, WHICH HUMAN RESOURCES REVIEWS AND MAINTAINS. IF ANY CONFLICTS ARISE, THE GENERAL COUNSEL DISCUSSES THE POTENTIAL CONFLICT WITH THE STAFF MEMBER, AND DOCUMENTS ACTIONS TAKEN; WHETHER DISPOSAL OF THE INTEREST OR ANY DISCIPLINARY ACTION UNDER THE CODE OF PROFESSIONAL CONDUCT IS WARRANTED DEPEENDS ON THE LEVEL OF CONFLICT UNDER REVIEW.
Process for Determining CompensationForm 990, Part VI, Lines 15a and 15b The Compensation committee is comprised of three voting members of the board. For all officers except the CEO, the CEO collaborates with the compensation committee to determine the remaining officers' compensation. The CEO and the compensation committee discuss each officer's contribution to the organization; they review comparable market data provided by NFA's human resource department and deliberate compensation recommendations which are documented and presented to the Executive Committee. The same method, as described above, is used in determining the CEO's compensation, only the CEO is not part of the process. The Executive Committee reviews the compensation committee's proposed recommendation and either accepts or adjusts the proposal. The Executive Committee then makes their recommendation to the Board of Directors. The Board of Directors either approves or modifies the Executive Committee's recommendation. The Board then approves final compensation for officers. The organization contemporaneously documents and maintains recordkeeping for deliberations and decisions regarding the compensation arrangements of the officers.
How Documents are Made Available to the PublicForm 990, Part VI, Line 19 THE ORGANIZATION MAKES ITS BYLAWS, ARTICLES OF INCORPORATION AND FINANCIAL STATEMENTS AVAILABLE ON ITS WEBSITE OR UPON WRITTEN REQUEST. CONFLICTS OF INTEREST POLICY IS AVAILABLE UPON REQUEST.
