DescAll charitable contributions to the Jewish Hospital & St. Mary's Foundation are used primarily for the benefit and support of KentuckyOne Health's Louisville market. This past year the Foundation provided over $18 million in support to facilities including Jewish Hospital, St. Mary's & Elizabeth Hospital, Frazier Rehab Institute, James Graham Brown Cancer Center, University of Louisville Hospital, and Our Lady of Peace, as well as support to the Medical Centers and Jewish Hospital Shelbyville. The Foundation established four core areas of focus: Enhancing Patient Care - From supporting state-of-the-art neuroscience services at Jewish Hospital and Frazier Rehab Institute to expanding the emergency department at Sts. Mary & Elizabeth Hospital, our top objective is to ensure excellence in the organization's delivery of patient services. Funding Leading Edge Medical Research - Groundbreaking research conducted by Susan Harkema, Ph.D., benefiting patients with spinal cord impairment, and our internationally renowned hand transplant program simply would not be possible without grant funding. Supporting the Education of Health Caregivers - The Foundation manages 70 educational endowments. In 2015, awards totaling more than $335,000 were made to over 130 students pursuing degrees in nursing and other high-demand health care fields. Improving Access to Health Care - A pilot project is underway to provide people who have no insurance or Medicaid coverage with a nurse coach or "community care navigator" at discharge from Jewish Hospital. This is designed to help people with limited resources better manage chronic medical conditions - addressing problems before they escalate into a trip to the emergency room.Desc

Schedule H, Part V, Section B, Line 5 Facility A, 1Facility A, 1 - FACILITY REPORTING GROUP A. During 2015-2016, a community health needs assessment (CHNA) was conducted for each of the five hospitals to support their mission to enhance the health of people in the communities it serves by identifying health needs in these communities and prioritizing the allocation of hospital resources to meet those needs. Additionally, the completion of this report and subsequent approval and adoption by the KentuckyOne Health Board of Directors complies with CHNA requirements mandated by the Patient Protection and Affordable Care Act of 2010 and federal tax-exemption requirements. Special CHNA requirements from Catholic Health Initiatives (CHI) are also reflected in this report. Community Input * Primary data from the community served by the hospital was solicited by the KentuckyOne Health Louisville hospitals (including Jewish Hospital), Norton Healthcare, Baptist Health Kentucky and the Louisville Metro Department of Public Health and Wellness between April 2015 and September 2015. These organizations shared a Survey Monkey link with councils, workgroups, patients, county government and community members to solicit feedback about their perception of health and safety in the community. Two surveys-a community survey and a physician/health care provider survey-were circulated widely. The community survey link was also made available on the KentuckyOne Health website when the survey was active. The provider link was circulated multiple times internally to KentuckyOne Health providers from August 2015-September 2015. Louisville Metro Department of Public Health and Wellness (LMDPHW) * Primary data collection was completed in conjunction with the LMDPHW. The LMDPHW staff provided survey analysis and distributed the surveys internally to their staff teams. * Feedback from the LMDPHW further represents feedback from the underserved, including the senior population, in Jefferson County due to special knowledge that LMDPHW has because of the services provided by local health departments. * The anonymous surveys asked community members and health care providers to prioritize their health needs, identify barriers to good health and rate risky health behaviors in the community. The survey asked about perceptions of community safety and where community members access health information. The survey also asked basic demographic questions to cross-walk specific needs to certain populations. The provider survey had additional questions about the patient populations served and perceptions of patient access. Both surveys were designed by the LMDPHW with input from KentuckyOne Health, Norton Healthcare, Baptist Health Kentucky, and the Greater Louisville Medical Society. * Soliciting input from these groups satisfies the IRS requirement to take into account input from leaders, representatives, or members of medically-underserved populations in the community served by the hospital. Additionally, input from those representing the broad interests of the community was used to prioritize health needs, which complies with IRS requirements. * Soliciting this input regarding community safety and soliciting input from those representing the senior population satisfies the CHI requirement to include this input. Regional Strategy Representative * Michael Spine, Senior Vice President, Strategy and Business Development for KentuckyOne Health, provided feedback for this report in the form of prioritizing 13 health needs for each KentuckyOne Health hospital, including Jewish Hospital in January 2016. * Soliciting Mr. Spine's input satisfies the CHI requirement for a representative from KentuckyOne Health's regional strategy and business development department to be engaged in the CHNA process.
Schedule H, Part V, Section B, Line 11 Facility A, 1Facility A, 1 - Facility Reporting Group A. The most recent Community Health needs assessment facilities 2, 3, 4, and 5 in the reporting group identified alcohol and drug abuse, tobacco use, community safety, diet and exercise, and access to care as community needs. Facility #1 Identified Tobacco, Alcohol & Drug Use and Community Safety To address alcohol and drug use, Jewish Hospital is implementing a system-wide approach, through the following strategies: A. Continue to support legislation allowing the Kentucky Harm Reduction Coalition to dispense Naloxone. B. Leverage expertise in mental health to increase access to mental health services via telehealth programs that allow KentuckyOne Health staff to operate programs in communities that do not have sufficient mental health services. C. Pursue various private, state, and federal funding for programs to address mental health needs that can underlie substance abuse. Jewish Hospital's goal is to also support tertiary responses to substance abuse by providing pharmaceutical donations to the not-for-profit addiction recovery center, The Healing Place and addressing hepatitis C, an illness that can be the result of drug use, through treatment plans, including plans ranging from curative prescription medication to liver transplants. To address tobacco use, the Jewish Hospital is implementing a system-wide approach, through the following strategies: A. Advocate for legislation that would prohibit smoking in indoor workplaces and public places, including restaurants, bars, and hotels. B. Include advocacy for increasing the cigarette tax on 2017 legislative priorities agenda. C. Advocate requiring insurance companies to pay for evidence-based smoking cessation treatments. D. Create Health in All Policies and Practices (HiAPP) document for guidance on the health implications of organizational decisions in order to improve population health and health equity. Jewish Hospital's goal is to also improve tobacco cessation rates through community education and advocacy by enforcing a smoke-free policy on hospital grounds and helping patients receive best care outcomes possible by reducing the number of patients who leave units to go outside and smoke. To address community safety, the Jewish Hospital is implementing a system-wide approach, through the following strategies: A. Improve response to victims of human trafficking by improving recognition of signs of victims and providing referrals to victims identified in the hospital setting. B. Advocate for funding for a staff-supported structure of the statewide trauma system, which currently operates on volunteers and donations. C. Pursue various private, state, and federal funding for programs to promote community safety. Another goal is to address environment factors to promote safe communities by continuing to participate on the steering committee for pursuing a Safe Communities designation for the city of Louisville by the National Safety Council and partnering with Habitat for Humanity to rebuild and revitalize neighborhoods by enabling Habitat to build new homes, including KentuckyOne employees volunteering to build one house each year. The hospital also wants to focus strategies toward youth that encourage being a productive, engaged participant in a non-violent community by creating a teen-led violence prevention group focused on reducing the incidence of domestic violence in the Parkhill, Algonquin, and California neighborhoods (the 40210 zip code) by 10% by 2020 and infusing trauma awareness, knowledge, and skills into the cultures, practices, and policies of the school system and out-of-school-time (OST) providers in order to support children and families through adverse childhood experiences (ACEs). The hospital also wants to route patients to services that can interrupt cycles of violence and provide community education that promotes safety and decrease mortality. To address diet and exercise, the Jewish Hospital is focusing on the following strategy: A. Begin discussions with Commissioner of Agriculture to discuss feasibility of having hospitals participate in Kentucky Proud Program to have local food used in hospital foodservice and available for resale in hospitals. B. Support legislation to provide tax and other incentives for the creation of wellness programs enabling businesses to educate and encourage employees to engage in healthy lifestyles and obtain preventative care. C. Advocate for initiatives that address the risk factors that lead to obesity and chronic diseases in children. D. Annually, identify a minimum of one opportunity to support and implement initiatives to support the CHI healthy food and wellness initiative. Other goals of the hospital includes providing opportunities to the community to be physically active by continuing to host free community walking groups that empower participants to improve their health by exercising with healthcare providers and by providing cardiac rehab, medically-supervised exercise, dietary counseling, stress management, and integrative medicine services. To address access to care, the Jewish Hospital is focusing on the following strategy: A. With the understanding that providing culturally-competent care will encourage the community to be more comfortable accessing care, we will create mass education for employees on culturally-competent care to provide the foundation to address health care disparities. B. Provide access to healthcare for the employees at various area companies. This includes providing a variety of preventative screenings and treatment on-site, with some sites having physician and nurse practitioner coverage on-site as well. C. Advocate for Kentucky's expanded Medicaid program for individuals with annual incomes up to 138% of the federal poverty level. D. Develop three-five year plan to increase capacity by optimizing bed utilization and using staff most efficiently. Includes developing plan for using advanced practitioners more extensively. Other goals of the hospital includes supporting education and research in the health care professions, facilitate health and healthcare education and provide outreach to those who might not otherwise access health care and collaborate with organizations with a related purpose in order to promote access to care and/or meet patient needs.

Schedule H, Part VI Lines 2, 4 & 5 and Part II - Needs Assessment and Community InformationCommunity Benefit Process The community health needs assessment process was similar for each of the five hospitals. Here is the summary of each of the hospital's steps: * The "community served" was defined utilizing inpatient data on patient county of residence. * Secondary data in the form of population demographics and socioeconomic characteristics of the community was gathered and reported using various sources. * Primary data was solicited from the following groups: -Louisville Metro Department of Public Health and Wellness (LMDPHW) -Residents of the community served by the hospitals, including individuals representing the senior population and the medically-underserved -KentuckyOne Health Strategy and Business Development representatives -Comments on each hospital's previous CHNA * Health needs were prioritized according to a weighted ranking system using the aforementioned data sources. * The hospitals convened its leadership team to formally identify the priority health needs based on the data and hospital resources. These needs have been identified as: -Tobacco Use -Diet and Exercise -Alcohol and Drug Use -Access to Care -Community Safety * An inventory of health care facilities and resources was prepared. * These findings were presented to the KentuckyOne Health Board of Directors for approval and adoption for July 1, 2016-June 30, 2019 (FY 2017-19). * This final report was made public and widely-available on or before June 30, 2016. Community Benefit Process for the Future In accordance with the Patient Protection and Affordable Care Act of 2010 and in order to honor its commitment to the community, KentuckyOne Health is repeating this coordinated approach with the Louisville Metro Department of Public Health and Wellness and other area hospital systems to survey the community as part of the community health needs assessment for 2015. A report due in 2016 will capture these current community sentiments and guide community benefit work in FY2017-2019 through an implementation strategy. This implementation strategy will build upon the previous CHNA published in 2013 that guided community benefit work in FY2014-2016. Qualitative Description of Community Benefit Jewish Hospital & St. Mary's Healthcare promotes the community's health by responding to the four major pillars of community benefit activities: improving access, enhancing community health, advancing medical knowledge, and reducing government burden of care. Community Outreach for the Poor Jewish Hospital & St. Mary's Healthcare provides additional access to health care services in underserved areas of Jefferson County. The hospitals also works to enhance the health of the community through violence prevention interventions, health fairs in underserved areas, and community collaboration with other nonprofits to address the issues around hospital super-utilizers, among other initiatives. Community Outreach for the Broader Community Most community outreach is open to the public, which serves the broader community. One initiative that simultaneously improves access to healthcare and promotes health living is Walk with a Doc, which is free, open to the public, and held in three separate geographic locations in the Louisville market. KentuckyOne Health completely absorbs the cost of this program, including fees and allocating staff time in order to provide this benefit to the whole community. Health Professions Education As teaching hospitals, they work to advance medical knowledge for many different specializations of health professionals. In FY2014, this included, but was not limited to, providing education to: medical students, physician residents and fellows, nursing students, pharmacy residents, mental health professionals, physical and occupational therapists, and laboratory technicians. This was done in collaboration with the University of Louisville, the University of Kentucky, Spalding University, Galen College of Nursing, Bellarmine University, and Jefferson Community and Technical College, among others. Community Building Activities The hospitals also work to enhance the health of the community through violence prevention interventions, health fairs in underserved areas, and community collaboration with other nonprofits to address the issues around hospital super-utilizers, among other initiatives. All hospitals also donate supplies to Supplies Overseas. Collaborating partners for community building activities include, but are not limited to: Jefferson County Public Schools, Louisville Metro government, Food Literacy Project, Walk with a Doc, University of Louisville, PACT in Action, and the Center for Women and Families, among others.

The organization's bad debt expense represents amounts billed to patients that was deemed uncollectible and does not include any charges that were ultimately reimbursed or discounted. Patient discounts are recorded in contractual allowance or financial assistance, as appropriate, as an offset to gross revenue and are not included in bad debt expense.
Schedule H, Part III, Line 3 Bad Debt Expense MethodologyJewish Hospital & St. Mary's Healthcare does not believe that any portion of bad debt expense could reasonably be attributed to patients who qualify for financial assistance since amounts due from those individuals' accounts will be reclassified from bad debt expense to charity care within 30 days following the date that the patient is determined to qualify for charity care.
Schedule H, Part III, Line 4 Bad debt expense - financial statement footnoteJewish Hospital & St. Mary's Healthcare does not issue separate company audited financial statements. However, the organization is included in the consolidated financial statements of Catholic Health Initiatives. The consolidated footnote reads as follows: "The provision for bad debts is based upon management's assessment of historical and expected net collections, taking into consideration historical business and economic conditions, trends in health care coverage, and other collection indicators. Management routinely assesses the adequacy of the allowances for uncollectible accounts based upon historical write-off experience by payor category. The results of these reviews are used to modify, as necessary, the provision for bad debts and to establish appropriate allowances for uncollectible net patient accounts receivable. After satisfaction of amounts due from insurance, CHI follows established guidelines for placing certain patient balances with collection agencies, subject to the terms of certain restrictions on collection efforts as determined by each facility. The provision for bad debts is presented on the consolidated statement of operations as a deduction from patient services revenues (net of contractual allowances and discounts) since CHI accepts and treats all patients without regard to the ability to pay."
Schedule H, Part III, Line 8 Community benefit & methodology for determining medicare costsUsing essentially the same Medicare cost report principles as to the allocation of general services costs and "apportionment" methods, the "CHI Workbook" calculates a payers' gross allowable costs by service (so as to facilitate a corresponding comparison between gross allowable costs and ultimate payments received). The term "gross allowable costs" means costs before any deductibles or co-insurance are subtracted. Jewish Hospital & St. Mary's Healthcare's ultimate reimbursement will be reduced by any applicable copayment/ deductible. Where Medicare is the secondary insurer, amounts due from the insured's primary payer were not subtracted from Medicare allowable costs because the amounts are typically immaterial. Jewish Hospital & St. Mary's Healthcare believes that excluding Medicare losses from community benefit makes the overall community benefit report more credible for these reasons: Unlike subsidized areas such as burn units or behavioral-health services, Medicare is not a differentiating feature of tax-exempt health care organizations. In fact, for-profit hospitals focus on attracting patients with Medicare coverage, especially in the case of well-paid services that include cardiac and orthopedics. Significant effort and resources are devoted to ensuring that hospitals are reimbursed appropriately by the Medicare program. The Medicare Payment Advisory Commission (MedPAC), an independent Congressional agency, carefully studies Medicare payment and the access to care that Medicare beneficiaries receive. The commission recommends payment adjustments to Congress accordingly. Though Medicare losses are not included by Catholic hospitals as community benefit, the Catholic Health Association guidelines allow hospitals to count as community benefit some programs that specifically serve the Medicare population. For instance, if hospitals operate programs for patients with Medicare benefits that respond to identified community needs, generate losses for the hospital, and meet other criteria, these programs can be included in the CHA framework in Category C as "subsidized health services." Medicare losses are different from Medicaid losses, which are counted in the CHA community benefit framework, because Medicaid reimbursements generally do not receive the level of attention paid to Medicare reimbursement. Medicaid payment is largely driven by what states can afford to pay, and is typically substantially less than what Medicare pays.
Schedule H, Part III, Line 9b Collection practices for patients eligible for financial assistanceJewish Hospital & St. Mary's Healthcare's debt collection policy provides that Jewish Hospital & St. Mary's Healthcare will perform a reasonable review of each inpatient account prior to turning an account over to a third-party collection agent and prior to instituting any legal action for non-payment, to assure that the patient and patient guarantor are not eligible for any assistance program (e.g. Medicaid) and do not qualify for coverage through Jewish Hospital & St. Mary's Healthcare community assistance policy. After having been turned over to a third-party collection agent, any patient account that is subsequently determined to meet the Jewish Hospital & St. Mary's Healthcare community assistance policy is required to be returned immediately by the third-party collection agent to Jewish Hospital & St. Mary's Healthcare for appropriate follow-up. Jewish Hospital & St. Mary's Healthcare requires its third-party collection agents to include a message on all statements indicating that if a patient or patient guarantor meets certain stipulated income requirements, the patient or patient guarantor may be eligible for financial assistance. All of Catholic Health Initiatives' hospitals' contracts with third party collection agencies include the following standards: * Neither CHI hospitals nor their collection agencies will request bench or arrest warrants as a result of non-payment; * Neither CHI hospitals nor their collection agencies will seek liens that would require the sale or foreclosure of a primary residence; and * No Catholic Health Initiatives' collection agency may seek court action without hospital approval. Finally, collection agencies are trained on the Catholic Health Initiatives Mission, Core Values and Standard of Conduct to make sure all patients are treated with dignity and respect.

Schedule H, Part VI, Line 3 Patient education of eligibility for assistanceJEWISH HOSPITAL & ST. MARY'S HEALTHCARE includes information concerning its financial assistance policy on its website. In addition, JEWISH HOSPITAL & ST. MARY'S HEALTHCARE prominently displays its financial assistance policy in both English and Spanish in obvious locations throughout the hospitals, including the emergency rooms and other patient intake areas, as well as in JEWISH HOSPITAL & ST. MARY'S HEALTHCARE's outpatient facilities. In addition, JEWISH HOSPITAL & ST. MARY'S HEALTHCARE registration clerks are trained to provide consultation to those who have no insurance or potentially inadequate insurance concerning their financial options including application for Medicaid and for financial assistance under JEWISH HOSPITAL & ST. MARY'S HEALTHCARE's financial assistance policy. Upon registration (and once all EMTALA requirements are met), patients who are identified as uninsured (and not covered by Medicare or Medicaid) are provided with a packet of information that addresses the financial assistance policy and procedures including an application for assistance. JEWISH HOSPITAL & ST. MARY'S HEALTHCARE registration clerks read the organization's medical assistance policy to those who appear to be incapable of reading, and provide translators for non-English-speaking individuals. JEWISH HOSPITAL & ST. MARY'S HEALTHCARE's staff will also assist the patient/guarantor with applying for other available coverage (such as Medicaid), if necessary. Counselors assist Medicare eligible patients in enrollment by providing referrals to the appropriate government agencies.
Schedule H, Part VI, Line 6 Affiliated health care systemJEWISH HOSPITAL & ST. MARY'S HEALTHCARE, along with its affiliated outpatient facilities, are part of Catholic Health Initiatives. Catholic Health Initiatives (CHI) is a national faith-based nonprofit health care organization with headquarters in Englewood, Colorado. CHI's exempt purpose is to serve as an integral part of its national system of hospitals and other charitable entities, which are described as market-based organizations, or MBOs. An MBO is a direct provider of care or services within a defined market area that may be an integrated health system and/or a stand-alone hospital or other facility or service provider. CHI serves as the parent corporation of its MBOs which are comprised of 104 hospitals, including four academic medical centers, and 30 critical access facilities; community health service organizations; accredited nursing colleges; home health agencies; and other facilities that span the inpatient and outpatient continuum of care. Together, these facilities provided $1.1 billion in financial assistance and community benefit in the 2016 fiscal year, including services for the poor, free clinics, education and research. CHI provides strategic planning and management services as well as centralized "shared services" for the MBOs. The provision of centralized management and shared services - including areas such as accounting, human resources, payroll and supply chain -- provides economies of scale and purchasing power to the MBOs. The cost savings achieved through CHI's centralization enable MBOs to dedicate additional resources to high-quality health care and community outreach services to the most vulnerable members of our society. JEWISH HOSPITAL & ST. MARY'S HEALTHCARE operates with its wholly owned affiliates and community partners, along with its fundraising arm, the Jewish Hospital & St. Mary's Foundation to serve the health care needs of the Louisville, Kentucky communities.

Form 990, Part VI, Line 15a Top Management Official CompensationThe organization's top management official's compensation is paid by Catholic Health Initiatives (CHI), a related organization. CHI has a defined compensation philosophy. Both the executive and non-executive compensation structures and ranges are reviewed annually in comparison to market data. CHI uses The Korn Ferry Hay Group as the independent third party to assess executive compensation programs and to ensure the reasonableness of actual salaries and total compensation packages. Compensation of the senior most executives is reviewed annually. The Korn Ferry Hay Group reviews both cash and total compensation for overall reasonableness, for adherence to CHI's compensation philosophy, and for comparability to the not-for-profit healthcare market. This independent review is delivered by Korn Ferry Hay Group to the HR committee of the CHI Board of Stewardship Trustees annually at their September meeting and minutes are shared with the full board at the December meeting. The last review was September 13, 2016. In addition, Korn Ferry Hay Group completed a comprehensive review of all positions at the level of vice president and above in the fall of 2014 to determine and validate appropriate compensation levels. These levels have been reviewed annually since and revised based on market data, where applicable.

Form 990, Part VI, Line 12c Conflict of interest policyCatholic Health Initiatives ("CHI") has a Conflicts of Interest ("COI") policy in place to maintain the integrity of all of its activities. The policy applies to CHI Board of Stewardship Trustees and members of its committees; all board and board committee members of CHI Entities; all CHI employees; all CHI physicians (both employed and non-employed) and all physician administrators and leaders; advanced practice clinicians (both employed and non-employed); and all CHI research personnel (both employed and non-employed). Disclosure, review and management of perceived, potential or actual conflicts of interest are accomplished through a defined COI disclosure process. Each person has a general ongoing obligation to promptly and fully report to his/her direct manager, supervisor, medical staff office, board or board committee chair any situation or circumstance that may create a conflict of interest. The person must report the actual or potential conflict as soon as she/he becomes aware of it. In any situation where the person may be in doubt, a full disclosure should be made to permit an impartial and objective determination. In addition to the general ongoing obligation, there are initial disclosure obligations. The board, board committee members, and new employees are required to make disclosures at the time of their initial hiring/appointment. All non-employed, credentialed or contracted physicians are required to make disclosures at the time of their credentialing and during any subsequent reappointment or recredentialing. All researchers are required to make disclosures upon consideration of affiliation with a research sponsor. In addition to the general ongoing and initial disclosure obligations, there is an annual disclosure obligation. All corporate officers, board and board committee members, employees at the level of manager and above, researchers, supply chain employees, employed physicians, physician administrators and leaders, and employed advanced practice clinicians must complete a new conflict of interest disclosure annually. Disclosures of perceived, potential or actual conflicts involving financial interests are forwarded to the Conflicts of Interest Review Committee ("C-CIRC") or Legal Services Group for review depending on the position of the person involved. The C-CIRC reviews COI questionnaires containing disclosures of perceived or possible conflicts for employees at a level of manager or above, supply chain employees, researchers and physicians, physician administrators and leaders, and advanced practice clinicians (both employed and non-employed). In the determination of a conflict, a COI management plan will be developed for that person. With respect to those audiences for which the C-CIRC has review responsibility, the C-CIRC will facilitate development of any such conflict of interest management plan in collaboration with local CRP staff. A designated CHI Entity staff will be responsible for monitoring the COI management plan and for documenting monitoring activities. At its sole discretion, a CHI Entity may reject a Person's request to enter into the relationship in question, or require the relationship be sufficiently altered to avoid a potential COI. If the C-CIRC determines that there is a potential or actual conflict of interest that does not currently have appropriate controls to address the conflict of interest, it may recommend that the disclosing person be allowed to participate in the activity or transaction subject to restrictions as outlined in the COI management plan. If a Person does not agree with a determination made by the C-CIRC, its interpretation of the Policy or Addenda, or seeks an exemption or exception, the following steps should be followed. The Employee disputing the review decision, interpretation of the Policy, or seeking exemption or exception must present the matter to the Employee's immediate direct manager or supervisor for review and determination. If the Employee and the manager do not agree with the review decision, interpretation of the Policy, or seek exemption or exception, the manager shall consult with the manager's Vice President (or higher if the manager is a Vice President) to reach a determination. If the matter remains unresolved, it shall be referred to the CHI Vice President of Human Resources and the CHI Corporate Responsibility Officer. If they are unable to reach agreement, the matter shall be referred to the CHI General Counsel, whose decision shall be final. Reviews and determinations involving board and board committee members and corporate officers will be the responsibility of the board, board executive committee, or board chair, with guidance from the Legal Services Group (LSG). Annual COI disclosures of all trustee and corporate officers will be reviewed by the CHI Senior Vice President, Legal Services, and General Counsel or his or her designee who will report potential conflicts to the applicable Board Chair. The Board Chair or designee shall make such further investigation of any conflict of interest disclosures as he or she may deem appropriate. If the conflict involves the Board Chair, the Vice Chair will assume the Chair's role. Based on review and evaluation of the relevant facts and circumstances, the Board Chair will make an initial determination as to whether a conflict of interest exists and whether, pursuant to the COI Policy, review and approval or other action by the Board is required. A written record of the Board Chair's determination, including relevant facts and circumstances, will be made. The Board Chair shall then make an appropriate report to the Executive Committee of the Board concerning such review, evaluation and determination. If a difference of opinion exists between the Board Chair and another Trustee as to whether the facts and circumstances of a given situation constitute a conflict of interest or whether Board review and approval or other action is required within the COI Policy, the matter shall be submitted to the Board's Executive Committee, which shall make a final determination as to the matter presented. Such determination, including relevant facts and circumstances, will be reflected in the Executive Committee minutes and will be reported to the Board. When any conflict of interest is considered by the board, the trustee or corporate officer, as appropriate, must disclose all of the material facts to the Board. The trustee shall not vote and the trustee or corporate officer shall not use his or her personal influence on the matter. The trustee or corporate officer shall be excused from the meeting during discussion and vote on the conflict of interest. In reviewing such transactions between CHI or CHI Entities and vendors or other contractors who are, or are affiliated with, Trustees or Corporate Officers, the Board will act as it would in reviewing transactions with unrelated third parties. The transaction is not to be approved unless the Board determines that the transaction is fair to CHI or the CHI Entity. The Board must approve the transaction by a majority of the Trustees on the Board, without counting the vote of any individual who has an interest in the transaction. All determinations of conflicts of interest are reported as required by law, regulations, and CHI policy.
Form 990, Part VI, Line 15b Process to establish compensation of other employeesTHE MANAGEMENT REVIEW COMMITTEE IS RESPONSIBLE FOR REVIEW AND APPROVAL OF MANAGEMENT COMPENSATION. THE FULL COMMITTEE ADDRESSED THE OVERALL COMPENSATION PHILOSOPHY AND HOW THE ORGANIZATION'S GOALS CAN BE FURTHERED BY THE STRUCTURE OF COMPENSATION. THE INDEPENDENT MANAGEMENT REVIEW COMMITTEE AND ALL INDEPENDENT MEMBERS OF THE FULL BOARD APPROVED MAXIMUM COMPENSATION LEVELS FOR ALL DISQUALIFIED PERSONS. NON-INDEPENDENT DIRECTORS DID NOT PARTICIPATE IN THE DISCUSSION OR VOTE ON COMPENSATION LEVELS FOR INDIVIDUALS. THE MANAGEMENT REVIEW COMMITTEE RETAINED AN OUTSIDE COMPENSATION CONSULTANT FROM A NATIONAL FIRM TO ADVISE IT REGARDING REASONABLE COMPENSATION LEVELS, AND RELIED ON THE CONSULTANT'S OPINION THAT COMPENSATION LEVELS ARE REASONABLE. THE COMMITTEE RECEIVES A MARKET REVIEW ON EACH DISQUALIFIED PERSON FROM THE COMPENSATION CONSULTANT. THE MANAGEMENT REVIEW COMMITTEE APPROVED THE PEER GROUP OF SIMILAR ENTITLES USED TO MEASURE COMPARABLE COMPENSATION LEVELS. THE MANAGEMENT REVIEW COMMITTEE FOLLOWS THE PROCESS NECESSARY TO OBTAIN THE REBUTTABLE PRESUMPTION THAT COMPENSATION LEVELS ARE REASONABLE, INCLUDING CONTEMPORANEOUS DOCUMENTATION OF DECISIONS.
