Schedule H, Part V, Section B, Line 5 Facility , 1Facility , 1 - Via Christi Hospital Manhattan, Inc.. Via Christi Hospital Manhattan, Inc., formerly known as Mercy Regional Health Center, took an active and funding part of the Community Health Needs Assessment along with a host of other community organizations. Multiple opportunities were given to people who either are involved in serving the various target populations or who represent the broad interest of the community through surveys, phone interviews, key informant interviews and focus groups. The community survey was conducted via the internet, mail, phone and through administration at public locations or meetings to gather input from residents regarding their perceptions of community strengths and needs. A total of 1,126 surveys were completed. Key informant interviews were conducted with 25 community members representing a wide range of interests and professions. Additionally, a focus group was held for three populations - young adults (age 18 - 24), persons with low household incomes and Hispanic/Latinos populations. On page 3 of the CHNA, there is a list of organizations that assisted with getting the word out to their clients and encouraging them to participate in the survey research (e.g. Big Brothers/Big Sisters; Boys & Girls Club; Catholic Charities; Child Development Center; Community Health Ministries; Flint Hills Breadbasket; Flint Hills Community Clinic; Friendship Meals Program; Homecare & Hospice; Konza Prairie Community Health Clinic; Manhattan Housing Authority; Manhattan-Ogden USD 383 Head Start; Riley County Police Department; Salvation Army; The Crisis Center and Pawnee Mental Health Services, just to name a few.
Schedule H, Part V, Section B, Line 6a Facility , 1Facility , 1 - Via Christi Hospital Manhattan, Inc.. Via Christi Hospital Manhattan, Inc. conducted the CHNA with Wamego Health Center. Wamego Health Center is a 25 bed Critical Access Hospital, located in the heart of the Wamego community. WHC primarily provides care for the residents of Pottawatomie County and the surrounding rural areas. It offers an 24/7 Emergency Department and houses its own Laboratory, Imaging, and Rehabilitation Departments. They also offer the services of the Wamego Family Clinic which includes Primary Care physicians, an Internal Medicine provider and a nurse practitioner.
Schedule H, Part V, Section B, Line 6b Facility , 1Facility , 1 - Via Christi Hospital Manhattan, Inc.. Via Christi Hospital Manhattan, Inc. conducted the CHNA with the following other facilities: Riley County Seniors' Service Center (RCSSC) The Riley County Seniors' Service Center provides services and activities for persons age 60 years of age and older living in Manhattan and Riley County. Services and activities provided include information and referral services, cooperative efforts with service providers to address older adult needs, educational programs, volunteer service opportunities, and recreational and social activities. Konza United Way (KUW) Serving Clay, Marshall, Pottawatomie, Riley, Wabaunsee and Washington Counties in Kansas, the KUW focuses on three specific initiatives: education, health and income. Their primary goal is to advance education, financial stability and health for those living in their six county region who are facing poverty. Riley County Council on Aging (RCCOA) The purpose of RCCOA is to represent the older population in Riley County in funding requests, supporting proposals and projects important to aging, determining and communicating the needs and services for the aging while encouraging and facilitating activities that benefit older persons by coordinating with agencies and organizations that work with older persons. Riley County Health Department (RCHD) The RCHD has been serving Riley County for well over 50 years. Their workforce includes nurses, social workers, dietitians, support staff and administration. The Health Department offers a wide variety of programs and services and they vary by eligibility and cost. Some services are available to anyone while some are restricted geographically or have income or other eligibility requirements. Some services are free, some have sliding scales, some have insurance coverage, and a few specialty services have mandatory charges. Services Provided include: Breast Cancer Awareness, Child Care Licensing, Clinic Forms, Communicable Diseases, Community Clinics, Community Health Promotions & Wellness, Emergency Preparedness Immunizations & International Travel Vaccinations, Maternal & Child Health,Raising Riley, Reproductive Health Services, Ryan White Part B (HIV/AIDS Program), School Inspections, Sexually Transmitted Diseases (STDs), Sharps Disposal, Tuberculosis (TB) Control, and Women Infants & Children (WIC) Nutrition.
Schedule H, Part V, Section B, Line 11 Facility , 1Facility , 1 - Via Christi Hospital Manhattan, Inc.. According to the Robert Wood Johnson County Health Rankings, Riley County is ranked as the second healthiest county in Kansas (out of 98) based on 29 indicators including smoking, education, employment, physical inactivity and access to healthy foods. Secondary data support this ranking and show that rates of numerous serious diseases and conditions (e.g. hypertension, cancer, diabetes, etc.) are lower in Riley County when compared to the rest of Kansas and 87% of the respondents indicated that their health was good, very good or excellent. Nearly 93% of the survey respondents identified they are covered by health insurance and nearly 79% stated they can access healthcare when needed. Priority Goals of VCH-M : 1) Affordable health coverage - VCH-M continued to pay for the salaries of staff working in the Flint Hills Community Clinic and be represented on their Board. 2) Spirit of Community & Collaboration - VCH-M paid for a SANE/SART Nurse to work with victims brought in after a sexual assault event in FY2016. This collaboration with the community helps the victim, Women's Crisis Center Staff and Law Enforcement personnel so that no one has to travel to Topeka for victim processing. In FY2016, VCH-M paid $68,910 for this coverage. 3) Affordable health insurance - VCH-M's social work department, provides information upon discharge of patients on how to sign-up for affordable care insurance and where to go to establish a medical home or if patient is in need of assistance will help them to fill out appropriate paper work while still in the hospital. 4) Be Well Bergman - was a nutritional initiative that was held in partnership with the students and families of Bergman Elementary School. The focus of the partnership was to a program to increase awareness of healthy eating and fun ways to exercise through cooking demonstrations, education and wellness coaching. For example, VCH-M staff demonstrated cooking a healthy breakfast and then gave all participants the ingredients for the recipe. Another staff personal gave a talk and demonstration about the importance of physical activity while another staff person taught the students and family about wellness coaching. 5) Lack of accessible and affordable mental health services - VCH's is working in tandem with mental health providers, including the Pawnee County Mental Health Services to devise a plan that would establish a crisis stabilization center for residents who are highly intoxicated or suicidal. All health and mental health care providers recognize this need but government funding has been reduced dramatically and without Medicaid expansion in the State of Kansas, trying to address this issue adequately continues to be a challenge. But at least the providers are all talking and working together to address this community priority given the limited resources available for this target population. Problems identified but not being addressed by VCH-M 1) Lack of affordable housing - finding affordable student, low income and middle class households is challenging in Riley County due to the high cost of housing (both rental and purchase) given it is a large college community. VCH-M does participate in discussions of this issue through its membership in the Chamber and Fort Riley Advisory meetings but given its current resources cannot really do much to relieve this burden. 2) Infrastructure growth - with the addition of the National Bio and Agro Defense Facility and the proposed growth expected in Fort Riley at the Army Base, some residents are concerned about the ability of the infrastructure to support such rapid growth. VCH-M is working with the Chamber, Fort Riley's leadership, local law enforcement and others to ensure basic health care services are in place to accommodate any growth pains that might occur. Being so involved in the community at various touch points allows VCH-M the opportunity to hear about these concerns from various audiences and stay flexible enough to address issues that may be health related. Progress made from CHNA include: 1) Continuation of Flint Hills Community Clinic through VCH-M paying salaries of staff. 2) Additional recruitment of new physicians to relocate to the Manhattan/Wamego area to serve more patients. 3) Hosting of human trafficking education planning sessions for healthcare associates and community partners to assist in the identification of victims who present themselves in the ER or clinic for medical treatment. 4) Participation with other health care providers and hospitals to promote the need for Medicaid expansion in the State In order to increase access to care for those who are poor/vulnerable. 5) Participation in community efforts to expand behavioral health services - better coordination has resulted in a time when more services are being cut due to State reductions.

Schedule H, Part I, Line 6a NAME OF RELATED ORGANIZATION THAT PREPARED THE COMMUNITY BENEFIT REPORTVia Christi Health, Inc. produces a consolidated annual report for all ministries in their periodical magazine called "Via Christi Life". Within the report, several pages describe the Community Benefit activities that have taken place over the last year and the monetary value to the Manhattan area. Community Benefit Report: Via Christi Hospital - Manhattan. (VCH-M) is a member of Via Christi Health, Inc. ("VCH"). As a Catholic health system, VCH-M has its origins in faith-based responses to health needs of our communities, with a particular concern for those living in poverty and who are vulnerable. The obligation to reach out to those in need and improve community health flows directly from our identity as a faith-based healing ministry. As a mission-driven organization, we provide community benefit because we are committed to our core values of: - Service of the Poor - Generosity of spirit, especially for persons most in need. - Reverence - Respect and compassion for the dignity and diversity of life. - Integrity - Inspiring trust through personal leadership. - Wisdom - Integrating excellence and stewardship. -Creativity - Courageous innovation. - Dedication - Affirming the hope and joy of our ministry. According to the VCH-M mission statement, "As a part of Via Christi Health, Inc., we share this mission: Inspired by the Gospel and our Catholic tradition, we serve as a healing presence with special concern for our neighbors who are vulnerable." The financial information in this report was prepared in accordance with the Catholic Health Association's (CHA) A Guide for Planning and Reporting Community Benefit Guidelines (2015). Per these guidelines, we report the net expense for community benefit services (e.g. the total community benefit expense minus any associated revenue from patients, residents, payers and other external sources). The CHA guidelines reflect a conservative approach to reporting quantifiable community benefit. The goal of the guidelines is to produce community benefit financial reports that reflect true costs and that describe community benefit activities that increase access to health care and improve community health for all. The following are VCH-M's definitions for quantifiable community benefits reports. Charity Care - free or discounted health services provided to persons who cannot afford to pay and who meet VCH's criteria for financial assistance. Charity care is reported in terms of costs, not charges. Charity care does not include bad debt. Government Sponsored Means-Tested Health Care - includes unpaid costs of public programs for low-income persons. The shortfall created when VCH-M receives payments that are less than the cost of caring for public program beneficiaries. This payment shortfall is not the same as a contractual allowance, which is the full difference between charges and government payments. For Fiscal Year Ended June 30, 2016 Community Benefit (VCH-M): 1. Charity Care, at cost: $767.6 thousand 2. Government Sponsored Health Care, net expense: Unpaid cost of public indigent care programs (includes Medicaid, SCHIP and other safety net programs; does not include Medicare shortfall): $2.23 million 3. Community Benefit programs, net expense: $512.2 thousand 4. Total Quantifiable Community Benefit: $3.5 million
Schedule H, Part I, Line 7 Costing Methodology used to calculate financial assistanceThe cost of providing charity care, means tested government programs, and community benefit programs is estimated using internal cost data, and is calculated in compliance with Catholic Health Association (CHA) guidelines. The organization uses a cost accounting system that addresses all patient segments (for example: inpatient, outpatient, emergency room, private insurance, Medicaid, Medicare, uninsured, or self-pay). The best available data was used to calculate the amounts reported in the table. For certain categories in the table, this was a cost accounting system; in other categories, such as financial assistance and Medicaid, a specific cost-to-charge ratio was calculated and applied.
Schedule H, Part II Community Building ActivitiesThe economic development activity is VCH-M participation with the Military Relations Committee at Fort Riley. Staff participate with the military to ensure they are aware of health and wellness programs that are offered in Manhattan that could be useful to the men and women, and their families, stationed at the Fort. The environmental improvements include above and beyond required expenses associated with recycling and waste reduction. This helps cut down on trash going to the landfill and assists with air quality control which is vital to those with allergies and/or asthma. The workforce development activities include pre-professional job shadowing for high school students and college students who are trying to determine what field of study they would like to pursue. VCH-M opens up their doors to students with health related career interests to give them exposure to what the various health career professionals do and how it is done in a hospital setting. Many times this is all the encouragement these youth need to decide what career they want to pursue adding to the overall number of health care professionals and ultimately increasing access to health for more individuals. Youth shadow in all areas of the hospital, including, but not limited to critical care services, cardiac cath lab, surgical floor, endoscopy, speech therapy, physical therapy and radiology.
Schedule H, Part III, Line 2 Bad debt expense - methodology used to estimate amount$10,421,013 is the amount of patient bad debt as posted to our general ledger by the VCH-M patient accounting systems. Bad debt expense is a combination of accounts that have been turned over to collection because they have been deemed uncollectible, as well as an estimate for accounts still in accounts receivable that uses a historical look back period to estimate collectability.
Schedule H, Part III, Line 3 Bad Debt Expense MethodologyVia Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.) has a very robust financial assistance program; therefore, no estimate is made for bad debt attributed to financial assistance eligible patients.
Schedule H, Part III, Line 4 Bad debt expense - financial statement footnoteFrom the audited financial statements of Ascension Health Alliance (which include the activity of Via Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.): The provision for doubtful accounts is based upon management's assessment of expected net collections considering historical experience, economic conditions, trends in healthcare coverage, and other collection indicators. Periodically throughout the year, management assesses the adequacy of the allowance for doubtful accounts based upon historical write-off experience by payor category, including those amounts not covered by insurance. The results of this review are then used to make any modifications to the provision for doubtful accounts to establish an appropriate allowance for doubtful accounts. After satisfaction of amounts due from insurance and reasonable efforts to collect from the patient have been exhausted, the System follows established guidelines for placing certain past-due patient balances with collection agencies, subject to the terms of certain restrictions on collection efforts as determined by the System. Accounts receivable are written off after collection efforts have been followed in accordance with the System's policies. The methodology for determining the allowance for doubtful accounts and related write-offs on uninsured patient accounts has remained consistent with the prior year. VCH-M's bad debt deduction was $10,421,013 at charges and $2,795,198 at cost (after the cost to charge ratio was applied to the amount of charges).
Schedule H, Part III, Line 8 Community benefit & methodology for determining medicare costsAscension Health and related health ministries follow the Catholic Health Association ("CHA") guidelines for determining community benefit. CHA community benefit reporting guidelines suggest that Medicare shortfall is not treated as community benefit.
Schedule H, Part III, Line 9b Collection practices for patients eligible for financial assistanceIt is the policy of VCH-M to promote socially just practices for billing and collections for all patients receiving care. The policy is intended to further VCH-M's mission by requiring ethical conduct in billing and collecting self-pay balances from patient/guarantor's regardless of ability to pay. The policy ensures that prior to turning an account over to a Third Party Collection Agent (Agent) for collection activity, VCH-M will perform a reasonable review of each account to verify that the patient/guarantor is not potentially eligible for any government assistance program (e.g. Medicaid, Medicare, etc.) and would likely not qualify for charity care. VCH-M will direct its staff and Agents to periodically assess each patient/guarantor's ability to pay or to determine eligibility for charity care. The review and assessment should include but may not be limited to the following: a. Ensure the patient/guarantor has been notified of VCH-M's financial assistance policy; b. Ensure the patient/guarantor was offered a financial assistance application; c. Ensure documentation of any known extraordinary financial circumstances of the patient/guarantor or if they are medically indigent.

Schedule H, Part VI, Line 2 Needs assessmentIn late 2014, Via Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.), Konza United Way, Riley County Health Department and Riley County Seniors' Service Center, who received a grant from the Caroline Peine Charitable Foundation, hired the Wichita State University's Center for Community Support and Research to conduct an 2015 assessment in Riley and Pottawatomie Counties. Various research methods were used in collecting data on community needs. These included secondary data analysis, distribution of a community survey through mail, internet, phone calls, and public locations, interviews with 25 community leaders and three targeted focus groups. A total of 1,126 surveys were completed.
Schedule H, Part VI, Line 3 Patient education of eligibility for assistanceVia Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.) (VCH-M) financial assistance staff are trained on how to qualify patients for Medicaid, SCHIP and other such income-based programs. During the patient's registration, admissions and discharge processes, VCH-M attempts to identify patients who may be eligible for charity or discounted care through the charity care policy. In addition, VCH-M uses a percentage of the Federal Poverty Guidelines (FPG) to determine free and discounted care.
Schedule H, Part VI, Line 4 Community informationAccording to the 2015 estimated Census, Riley County encompasses 610 square miles in Northeast Kansas with approximately 117 persons per square mile (compared to an average of 35 persons per square mile across Kansas). The total population of Riley County, in 2016, was estimated at 73,343. a decline from 75,246 in 2015. Manhattan is the largest city in the county with a population of 56,308 that includes over 28,400 Kansas State University (KSU) students and a large number of Fort Riley soldiers and their families. Riley County is slightly more diverse than the normal for the state with approximately 83.7% white, 7.1% Black or African American, 8.3% Hispanic or Latino, nearly 4.8% Asian and 3.4% two or more races. Due to the large number of KSU students, the population tends to be younger than the state average. Although agriculture plays a large role in the economy and culture of Riley County, the largest employers are Fort Riley (military and civilian employees), KSU, and the Manhattan/Ogden Unified School District. Riley County typically experiences lower rates of unemployment, crime and a number of other indicators that negatively impact quality of life as compared to state averages and is rated as the second healthiest county in Kansas according to the 2015 Robert Wood Johnson Foundation's County Health Rankings when it comes to length of life and 5th when it comes to health outcomes. The median household income is $44,437 with 23.4% of persons living below the poverty level. These last two statistics are related to the high number of students living in the area. According to the 2015 population estimates, Pottawatomie County has a population of 23,298, A 6% increase over the 2010 Census. Approximately 94% of Pottawatomie County is white, 1.5% Black or African American, 1% Asian, 5.4% Hispanic or Latino and 2.5% reporting two or more races. The land is approximately 841 square miles with a population density of 25.7 per square mile. The median household income between 2011-2015 was $60,216 with approximately 8.1% of all persons living below the poverty level, Which is fewer than the 13.0% for the State of Kansas.
Schedule H, Part VI, Line 5 Promotion of community healthVia Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.) (VCH-M) promotes the health of the community through their outreach efforts in working with the various organizations and educational facilities in the area. Specifically, VCH-M supports its mission of serving as a healing presence with special concern for those who are poor and vulnerable by having a community board, open medical staff and an emergency room that is available 24/7 regardless of patients ability to pay. VCH-M staff participate in the community by serving on boards of other not-for-profit organizations, state-wide coalitions, health clinics, etc. Currently, VCH-M staff is serving with the following area not-for-profit organizations: Flint Hills Community Clinic Board, Manhattan Chamber of Commerce, and Riley County Perinatal Coalition. The majority of the VCH-M Board of Directors is comprised of external members who reside in or around Riley County and has overall responsibility for the charitable mission of the Organization as set forth in its Articles of Incorporation and Bylaws. These directors are selected based on their expertise, experience, and other criteria established by the nominating committee of the Board of Directors. Areas of expertise and experience include health care, finance, education, and religious representatives. The Board actively debates and sets policy and strategic direction for the ministry but does not get involved in issues related to daily operations. The Board takes a balanced approach when addressing community needs and business and financial concerns. The Board is also the primary group for determining the use of surplus funds generated by the organization which is reinvested in the ministry in order to allow the ministry to sustain its mission and prepare for the future. - Annually, VCH-M provides diagnostic services for Flint Hills Community Clinic and picks up the cost of wages for the community clinic staff. VCH-M also provides diagnostic services for the Riley County Clinic. - VCH-M works with multiple law enforcement agencies in providing care to victims of sexual assault. Because VCH-M provides the salary of SANE/SART nurses, sexual assault victims no longer are required to be transported to Topeka, Kansas (an hour drive) to be processed for legal proceedings. - VCH-M's vascular lab staff annually performs ECHO's on student athletes for KSU and high schools around Manhattan to ensure they have healthy hearts prior to getting involved in competitive sports. - VCH-M staff participate in periodic Red Cross blood drives due to our mission of caring for those who are medically vulnerable and in need of life-saving blood transfusions. - Additional donations are made to organizations who share our mission, for example, Flint Hills Community Clinic and National Fire Safety Council for education materials used for Kindergarten through sixth grade to teach them the importance of fire safety. - In partnership with Riley County EMS, VCH-M provides staff for all major community events where injuries and/or unexpected emergencies could develop (e.g. fun runs, New Year's celebrations community festivals, etc.). - VCH-M staff have assisted in fundraising activities for other not-for-profits in the community (e.g. Flint Hills Community Clinic and KONZA United Way). - VCH-M's conference rooms are shared with outside community not-for-profits who share our values and mission so they can use more of their resources for programming (e.g. Daddy Basics Class, SANE/SART Courses, etc.). - When weather allows, the EMS staff provides regular child safety seat installations and checks for free at the Manhattan Fire Department headquarters. - Educational classes are held on a variety of topics by various clinical staff of VCH-M (e.g. safe sitters, childbirth education, first aid for children, newborn basics, breastfeeding basics, infant massage, CPR, first aid, pastoral care training, human trafficking, lifting/ergonomics, etc.). - In addition, VCH-M staff also holds support group meetings for diabetics.
Schedule H, Part VI, Line 6 Affiliated health care systemVia Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.) (VCH-M) is an affiliate of Via Christi Health, Inc. (VCH) and Ascension Health. VCH's affiliates are large multi-faceted, integrated, not-for-profit ministries including hospital and non-hospital ministries (physician group practices, hospital organizations, research, home health, durable medical equipment and senior facilities). These ministries work together to care for patients, joined by common systems and a philosophy of serving as a healing presence with special concern for our neighbors especially those who are vulnerable. This community benefit happens through its focus on patient care, education and research. The organizations work together to serve their communities at the local, regional, state and national level. Ascension Health Alliance, d/b/a Ascension (Ascension), is a Missouri nonprofit corporation formed on September 13, 2011. Ascension is the sole corporate member and parent organization of Ascension Health, a Catholic national health system consisting primarily of nonprofit corporations that own and operate local healthcare facilities, or Health Ministries, located in 23 of the United States and the District of Columbia. Ascension is sponsored by Ascension Sponsor, a Public Juridic Person. The Participating of Ascension Sponsor are the Daughters of Charity of St. Vincent de Paul, St. Louise Province; the Congregation of St. Joseph; the Congregation of the Sisters of St. Joseph of Carondelet; the Congregation of Alexian Brothers of the Immaculate Conception Province, Inc. - American Province; and the Sisters of the Sorrowful Mother of the Third Order of St. Francis of Assisi - US/Caribbean Province. Mission: The System directs its governance and management activities toward strong, vibrant, Catholic Health Ministries united in service and healing, and dedicates its resources to spiritually centered care which sustains and improves the health of the individuals and communities it serves. In accordance with the System's mission of service to those persons living in poverty and other vulnerable persons, each Health Ministry accepts patients regardless of their ability to pay. The System uses four categories to identify the resources utilized for the care of persons living in poverty and community benefit programs: - Traditional charity care includes the cost of services provided to persons who cannot afford healthcare because of inadequate resources and/or who are uninsured or underinsured. - Unpaid cost of public programs, excluding Medicare, represents the unpaid cost of services provided to persons covered by public programs for persons living in poverty and other vulnerable persons. - Cost of other programs for persons living in poverty and other vulnerable persons includes unreimbursed costs of programs intentionally designed to serve the persons living in poverty and other vulnerable persons of the community, including substance abusers, the homeless, victims of child abuse, and persons with acquired immune deficiency syndrome. - Community benefit consists of the unreimbursed costs of community benefit programs and services for the general community, not solely for the persons living in poverty, including health promotion and education, health clinics and screenings, and medical research. Discounts are provided to all uninsured patients, including those with the means to pay. Discounts provided to those patients who did not qualify for assistance under charity care guidelines are not included in the cost of providing care of persons living in poverty and other community benefit programs. The cost of providing care to persons living in poverty and other community benefit programs is estimated by reducing charges forgone by a factor derived from the ratio of each entity's total operating expenses to the entity's billed charges for patient care. Certain costs such as graduate medical education and certain other activities are excluded from total operating expenses for purposes of this computation.

Form 990, Part VI, Line 15b Process to establish compensation of other employeesVia Christi Hospital Manhattan, Inc. (f/k/a Mercy Regional Health Center, Inc.) uses the policies established by Via Christi Health, Inc. (VCH). VCH has established a common philosophy, strategy, and process for executive compensation. Through the oversight of the VCH Executive Compensation Committee, executive compensation is competitively positioned at its stated market position when compared to the compensation paid by relevant organizations (comparably-sized health systems, hospitals, and long-term care providers). VCH recognizes its responsibility to ensure that its executive compensation program is appropriate in view of its mission and tax-exempt status and that its compensation levels and expenditures are reasonable and not excessive. To ensure these ends, the VCH Executive Compensation Committee has established and approved the executive compensation philosophy for VCH and all related entities. It will also approve all changes in the compensation package for VCH executives in advance. On an annual basis, the Committee conducts a comprehensive review of total compensation for all executives. It also reviews and approves "off-cycle" compensation transactions as needed. In their review, the Committee considers the following factors: - Market data from independent compensation surveys and sources that reflect comparable positions in organizations of similar size and scope; - Difficulties in recruiting and retaining executives; - Skills, experience and performance history of individual executives; - Critical business or strategic issues that the organization may face; and - Market position for total compensation. The adequacy, competitiveness, and cost of the VCH total executive compensation program are reviewed on an ongoing basis and changes are made as the Committee determines appropriate. The executive compensation program will be maintained such that it will fall within the safe harbor guidelines established by the intermediate sanctions regulations. The Committee also employs the services of an independent compensation consultant to prepare market analysis to aid and support the Committee's actions, provide documentation of market trends for budget setting purposes, review annual compensation changes to ensure "reasonableness" and provide attestation, and provide consultation on all executive compensation issues. The Committee also relies on third-party validation of performance measures used in the determination of compensation.
