DescInternational Development: During FY16, EDC helped to build high-quality early education programs and improve access to teaching and learning via technology including interactive audio instruction. Much of our work includes expanding job skills, work readiness, and entrepreneurship activities, and working with technical vocational education and training (TVET) schools to reduce widespread youth unemployment. EDC's new international programs included workforce development initiatives in Djibouti and Rwanda; NEI-Plus, an early grade reading program in Northern Nigeria; a work-readiness program to assist young people in the Association of Southeast Asian Nations (ASEAN); and Ghana Innovating, a social movement for literacy in that country. With J.P. Morgan, we began a project to boost youth employability in Senegal. During the year, several projects had closing events and issued final reports outlining their impact and results: Yes Youth Can (Kenya), PAJE Nieta and OMAES (Mali), Akazi Kanoze (Rwanda), Workforce Development Project (Bosnia), YES Project (Macedonia), SKYE (Guyana), Measuring Non-Cognitive Skills (Workforce Connections) and Partnership for Advanced Clinical Education (Botswana). EDC also managed the USAID Education in Conflict and Crisis Network (ECCN), a global community of practice composed of USAID implementing organizations.Desc

DescLearning and Teaching: In 2016, EDC worked with a variety of partners to create and disseminate new K-12 standards and classroom curricula in computer science, and continued to advocate for the digital literacy preparation and practice that is needed to succeed in a high-tech economy. EDC's work also focused efforts on early childhood education, mathematics, science, literacy, online learning, and building the STEM pipeline. EDC's contract to lead the Regional Educational Laboratory (REL) Northeast & Islands was renewed for another five years, enabling EDC to continue bringing research to the forefront of education reform efforts throughout the region. Research regarding principal preparation programs, English learners, and competency-based learning structures was conducted and disseminated.Desc

DescHealth and Human Development: A focus of 2016 was working with constituent groups to prevent suicide, including primary physicians, hospital staff, faith communities, and school counselors. EDC hosted a conference for mental health professionals and advocates in Washington, D.C. highlighting its efforts to reduce and prevent suicide. EDC continues to operate the Suicide Prevention Resource Center (SPRC), a national clearinghouse of suicide prevention information, and serve as the secretariat for the National Action Alliance for Suicide Prevention, a public-private partnership. The Children's Safety Network (CSN) at EDC continued its work to help states, territories, and tribes implement evidence-informed strategies to improve child safety and wellness across the United States. Other health initiatives included expanding mental health and aging programs, as well as research and prevention projects regarding opioid abuse and HIV. EDC continues to manage the national Center for the Application of Prevention Technologies (CAPT), which assists prevention practitioners in all 50 states.Desc

Form And Line ReferenceSchedule F, Part I, Line 2FormAndLineReferenceDesc
ExplanationEducation Development Center, Inc. (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include research, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC issues subawards and grants to a wide variety of organizations to implement our overseas programs, including US and Non-US Non-governmental organizations (NGOs), community based organizations, universities, and for-profit organizations. The capabilities of subawardees are examined by EDC either before it submits a proposal to its sponsor or post-award. Subawardees are approved in accordance with sponsors' requirements. For overseas subgrant programs that are implemented post award, EDC customizes a selection and evaluation RFA process that reflects the technical purpose of the subgrant program and the expected capacity of local recipients. Evaluation factors include a review of technical capacity, past performance, and financial/managerial capacity, as well as an evaluation of the programmatic proposal submitted by applicants. EDC Subgrants and Subcontacts are drafted by EDC's Office of Sponsored Programs, with the guidance of EDC's General Counsel as needed, and technical guidance from the EDC Project Director and local management staff. In some situations, local subgrants are drafted by EDC's field office staff using templates provided by EDC's Office of Sponsored Programs. These agreements contain detailed technical work statements, milestones, budgets, reporting requirements, audit requirements and any other flow-down clauses, terms, and conditions, necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state, and local law and the terms of EDC's grants and contracts from its sponsors. Prior to issuing any subgrant, and pursuant to Executive Order 13224, EDC obtains a certification from prospective subgrantees that the recipient did not provide within the previous ten years, material support or resources to any individual or entity that commits, attempts to commit, advocated, facilitated, or participates in terrorist acts. EDC also confirms that the organization, official signatory, and key personnel are not listed on any of the major databases of persons and organizations linked with terrorism. The international grant agreements also contain specific provisions to protect against grant funds being used to support terrorist organizations or activities, to support or oppose any candidates for political office, for lobbying purposes, or in violation of any applicable laws. Payment provisions include cost reimbursement, advance and reconciliation and/or fixed obligations paid upon achievement of milestones. Payments are regularly monitored to help ensure that significant grant amounts are not at risk for improper use or diversion. Technical and Financial monitoring of Subgrantees is accomplished in several ways and could include review of programmatic and financial reports, desk reviews, periodic site visits, and review of supporting documentation.ExplanationTxt

ExplanationEducation Development Center, Inc (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. EDC partners with a wide variety of organizations, including nonprofits, universities, hospitals and for-profit organizations throughout the United States through project-specific subgrants and subcontracts. The capabilities of subawardees are examined by EDC before it submits a proposal to its sponsor or post-award. Subawardees must usually be approved in advance in accordance with EDC's sponsors' requirements. For every EDC subgrant or subcontract a written agreement is made with the subawardee to carry out a substantive part of the work for which EDC has received its funding. These agreements are drafted by EDC's Office of Sponsored Programs, under the guidance of EDC's General Counsel, with technical guidance form the EDC Project Director. These contracts contain detailed technical work statements, budgets, reporting requirements, audit requirements and any other terms necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state and local laws and the terms of EDC's grants and contracts from its sponsors. Performance by the subrecipient is monitored by the EDC Project Director, who is responsible for technical monitoring of subawards. The EDC Project Director is assisted by a unit financial manager to review and authorize payment of subrecipient invoices. For each subaward an appropriate monitoring plan is established, based on an assigned risk rating. The risk rating is based on information about the subrecipient's financial systems, gathered prior to issuing the subaward. The Project Director is required to periodically submit a subrecipient monitoring report to OSP, which is responsible for maintaining these records.ExplanationTxt

Form 990, Part VI, Section A, Line 2Marvin Suomi and William MacArthur are both directors of two companies that are subsidiaries of Kajima USA, Inc. These companies are not related to EDC nor has EDC conducted any business with those companies.
Form 990, Part VI, Section A, Line 6EDC was organized as a membership corporation pursuant to the laws of the state of Delaware. Pursuant to Delaware law, four corporate powers are reserved to Members. Those powers are detailed in Article II B of EDC's Amended bylaws which states: B. Members of the Corporation and Their Authority: The Trustees shall constitute the Membership of the Corporation and no person may be a Member of the Corporation who is not also a Trustee. The Members of the Corporation are responsible for the following four actions: 1) Election and removal of Trustees; 2) Approval of amendments of the Certificate of Incorporation; 3) Approval of mergers with another organization; 4) Approval of the sale or disposition of EDC.
Form 990, Part VI, Section A, Line 7aRefer to answer for Part VI, Section A, line 6.
Form 990, Part VI, Section B, Line 11bThe Form 990 is prepared by management and reviewed by tax professionals at Grant Thornton, the CFO, and the Audit Committee of the Trustees. The complete Form 990 and all schedules are provided to every board member prior to filing the form with the IRS.
Form 990, Part VI, Section B, Line 12cEDC has a conflict of interest policy that governs trustees and officers and a separate policy that governs all other EDC employees. The officers' and directors' policy requires an annual training, disclosure, and certification with mandatory updates and also upon hire. Potential conflicts are managed by a Conflicts Committee comprised of EDC's General Counsel, V.P. of Human Resources, and Director of Corporate Compliance who have no connection to the potential conflict.
Form 990, Part VI, Section B, Line 15The Executive Committee of the Board (serving as the Compensation Committee) sets and approves the C.E.O. compensation as well as compensation proposed by the C.E.O. for the senior vice presidents and the Chief Financial Officer. The Executive Committee contracts periodically with an independent compensation consultant to review the comparable organizations and provide them advice as to the appropriate pay levels for the other senior executives. Each year the C.E.O. works with the V.P. of Human Resources to recommend appropriate pay levels for other senior executives based on objective market data and performance information. For other employee levels, the Executive Committee will provide and monitor adherence to the approved compensation philosophy and systems through management reports and surveys. Market data is gathered on an ongoing basis from reliable and valid sources. Decisions and deliberations are contemporaneously documented.
Form 990, Part VI, Section C, Line 19EDC makes its governing documents, conflict of interest policy, and financial statements available upon request.
