ExplanationIn order to closely monitor efficiency and effectiveness, the Community Benefit function outlines measurable reporting (quarterly, six-month and/or year-end), program and funding requirements in a Memorandum of Understanding (MOU), Business Services Agreement (BSA), or Joint Venture Agreement for each investment made with a community partner. Where it is determined necessary, additional efforts are made to monitor effectiveness and efficiency of investments, which could include: -Quarterly meetings with community partners -E-mail and telephonic communications with community partners -Continued dialogue with involved hospital staff and community partners throughout duration of program -Site visits with community partners -Review of quarterly, six-month and/or year-end outcomes reports with community partners -Review of hospital usage and patient level data -Collection of patient/participant stories and narratives -Collaborative discussions around ad-hoc successes and challenges that arise -If any grant funds remained unspent, a year-end financial summary that compares actual expenditures to the funded project's budget is requested. At the end of the appropriate reporting period, Community Benefit analyzes data to ensure community partners met the objectives outlined in the MOU or BSA. If the community partners did not reach the anticipated outcomes, Community Benefit works to understand what circumstances prevented the organization from meeting the goals to help identify ways to improve or perhaps re-evaluate what success of this program looks like, and makes the determination to continue or terminate funding. We also rely on the governance practices of the recipient organization to monitor the use of the funds.ExplanationTxt

SCHEDULE J, PART I, LINE 3SUPPLEMENTAL COMPENSATION INFORMATION: The Compensation Committee of the Sutter Health Board of Directors retains ultimate discretionary authority over all elements of compensation to assure that organizational purposes are appropriately being served. The Compensation Committee uses credible INDEPENDENT data sources and maintains an objective "arms length" decision-making process, ensuring the integrity of Sutter's executive programs and consistency with the organization's overall mission. SEE SCHEDULE O NARRATIVE FOR PART VI, LINE 15 FOR A FULL DESCRIPTION OF THE COMPENSATION APPROVAL PROCESS COMPLETED BY SUTTER HEALTH.
SCHEDULE J, PART I, LINE 4ASEVERANCE PAYMENTS: JAMES CONFORTI RECEIVED SEVERANCE PAYMENTS OF $1,599,998 THERESA FREI RECEIVED SEVERANCE PAYMENTS OF $982,821 BRIAN DEAN RECEIVED SEVERANCE PAYMENTS OF $961,380 LI-MIN J. HU RECEIVED SEVERANCE PAYMENTS OF $528,336 DAVID QUINCY, MD RECEIVED SEVERANCE PAYMENTS OF $526,148 CECILIA AVILES RECEIVED SEVERANCE PAYMENTS OF $370,078 DARLENE CAUDILLO RECEIVED SEVERANCE PAYMENTS OF $120,312 LAWRENCE DEGHETALDI RECEIVED SEVERANCE PAYMENTS OF $119,424
SCHEDULE J, PART I, LINE 4BNONQUALIFIED RETIREMENT PLAN: The purpose of the nonqualified retirement plan is to provide Sutter Health executives with a competitive retirement benefit consistent with Sutter Health's overall compensation philosophy for all employees. Contributions are designed taking into consideration lost retirement benefits that would otherwise be obtained through the qualified pension plan and social security benefits. Sutter's plans are designed consistent with competitive industry practices. The retirement plan for Sutter Health employees is a combination of 403(b) employer match contributions and qualified pension plan benefits. Sutter Health executives are generally ineligible for employer match contributions. To ensure a competitive retirement benefit, Sutter Health makes an annual contribution to a non-qualified 457(f) plan for its executives. The formula provides 6% to 16% of base salary plus annual incentive plan award (commensurate with management level). Unlike Sutter Health's qualified PENSION plan where employee benefits are guaranteed (i.e., a defined benefit), Sutter's non-qualified plan benefits are not guaranteed by Sutter Health. Investment risk is borne by participants and benefits are not protected should Sutter Health become insolvent.
SCHEDULE J, PART I, LINE 7NON-FIXED PAYMENTS: Spot awards are infrequently used to reward employees. There are no specific guidelines for the amount of the spot award, average amount of spot awards tend to not exceed 5% to 15% of gross annual salary. Annual Incentive Plan (AIP): The purpose of the plan is to focus executives on specific, shorter-term goals that are critical to the achievement of affiliate, operating unit and system-wide objectives that drive overall organization performance. Long Term Performance Plans: Sutter Health also employs a long term performance plan which is designed to focus on longer term strategic objectives of the organization. Sutter's long term performance plan approach is a combination of both longer term measures of organization success and key organization strategies which require the combined effort of all leadership to achieve success. Sutter uses a common fate approach in that all LONG TERM PERFORMANCE plan participants are measured against the same, organization-wide criteria vs. individual efforts. This fosters a common purpose across leadership and a shared sense of accountability for the overall success of Sutter Health. In all cases, the Compensation Committee of the Board determines achievement of organization goals and makes final award determination which may result in a reduction of award if appropriate. All senior executive awards are reviewed for compensation reasonableness and approved by the compensation committee prior to payment.

FORM 990, PART III, LINE 4A, PROGRAM SERVICESSutter Bay Medical Foundation Sutter Bay Medical Foundation (SBMF) is a not-for-profit health care organization that is a pioneer in both multispecialty group practice of medicine and outpatient medicine. Serving communities throughout Northern California, Sutter Health is a regional leader in primary care and specialty care and is a pioneer in advanced patient safety technology. In 1993, Palo Alto Medical Foundation (PAMF) affiliated with Sutter Health, a family of not-for-profit hospitals and physician organizations that share resources and expertise to advance health care quality. In 2016, Sutter began the process of merging Bay Area medical foundations to form SBMF. In August 2017, Sutter West Bay Medical Foundation (SWBMF) and Sutter East Bay Medical Foundation (SEBMF) merged into SBMF. In 2008, the physicians of the former Camino Medical Group, Palo Alto Medical Clinic and Santa Cruz Medical Clinic merged into a single physician group called the Palo Alto Foundation Medical Group (PAFMG) to contract with PAMF to provide physician services and in 2010, a new multispecialty physician group, Peninsula Medical Clinic (PMC), was formed. In 2017 PMC merged into PAFMG, creating a single physician group. In addition, in 2017 as part of the merger of SWBMF and SEBMF into SBMF, East Bay Physicians Medical Group (EBPMG), Sutter Medical Group of the Redwoods, Inc., Physician Foundation Medical Associates, Inc. and Marin Headlands Medical Group, Inc. contracted with SBMF to provide physician services. In 2024, SBMF's 1,831 affiliated physicians and 8,037 employees served 1,264,019 patients through 9,938,298 patient visits, outpatient surgeries, and urgent care visits. SBMF's mission is to enhance the well-being of the people in our communities through compassion, excellence and innovation in health care services, research and education. SBMF has three divisions: 1. Health Care 2. Education 3. Research Health Care Division SBMF's Health Care Division consists of five service areas: 1. Peninsula Area, serving San Mateo, Santa Clara counties 2. South Bay Area, serving Santa Clara County 3. Santa Cruz Area, serving Santa Cruz County 4. East Bay Area, serving Alameda and Contra Costa counties 5. Sonoma and San Francisco Area, serving Sonoma, Marin and San Francisco counties These service areas offer more than 45 medical specialties, a full range of medical services, and state-of-the-art technology. This technology includes the most advanced diagnostic imaging and treatment devices, an electronic health record system, three licensed acute-care facilities, and one accredited home health agency. SBMF's advanced capabilities and emphasis on outpatient care allow physicians and staff to minimize hospitalization of patients, reducing the overall cost of medical care significantly while maintaining the highest quality of care for patients. SBMF continues to expand and integrate services through efforts such as transplant and advanced organ therapies outreach clinics to provide care at all phases of the kidney, liver, and pancreas transplant process for patients across Northern California and Nevada. The teams coordinate care in local communities while the transplant event takes place at Sutter Health's California Pacific Medical Center in San Francisco. As part of its commitment to serving its community, SBMF provides care to medically indigent patients and those enrolled in Medicare, Medi-Cal, and other government programs whose reimbursements fall short of covering the cost of providing care. There are 198 clinics across SBMF's service areas to further its commitment to serving its community, 21 within Peninsula, 24 within South Bay, 18 within Santa Cruz, 17 within East Bay and 105 within Sonoma and San Francisco. With the goal of integrating Health Education Services (both group and individual offerings) to patients and their families across the Greater Silicon Valley division, a robust and successful information campaign was launched in 2024. The Health Education Resource Centers (HERCs) offered many services on an individual level to both patients, staff and community members. We provided more than 37,000 touchpoints to patrons across Greater Silicon Valley in 2024 both in-person and virtually. Our staff attended over 100 internal meetings to promote our services to over 700 staff and providers. We also established 4 new Referral Pathways with clinical departments. All these efforts resulted in a 25% increase in total initial touchpoints compared to 2023, and 80 new providers utilizing our EPIC referral service to connect patients to us. . In 2024, Health Education formed the Equity Ad Hoc (EAH) group to strengthen efforts in providing equitable care. We began by learning what it takes to support diverse populations with health education, reviewed and revised all current class content to both reflect and support our diverse student populations. Additionally, we connected with several Sutter Health entities focused on similar work, such as Sutter's Institute for Advancing Health Equity, Cultural Competency Committee and Sutter Health providers that work with specific populations. EAH team members gathered resources and then accelerated our work by developing and following a strategy to create and offer classes in languages other than English in 2025. . In 2024, the medical librarian filled 1,082 requests for the Greater Silicon Valley and East Bay divisions. 62% were for patient care and 22% for educational purposes. The librarians also delivered 3,310 articles and book chapters which saved approximately 1,040 clinician hours. In addition, 153 reference and instruction sessions were provided via Zoom or MS Teams chat. To support CME regulations for cultural and linguistic competency, 7 librarian-curated bibliographies were provided. Community Benefit In 2024, SBMF provided over $83 million in services for the poor and underserved and nearly $7 million in community benefits for the broader community. In addition, each year PAMF physicians and staff donate hundreds of hours to community service. SBMF provided support to community organizations, prioritizing the 2022 Community Health Needs Assessment's (CHNA) top needs, which included access to care and delivery, behavioral health, and economic security. SBMF's community benefit efforts included a myriad of programs and benefits for the poor and underserved as well as the broader community, including but not limited to: . Monetary support to FQHCs and Community Clinics in Alameda, Santa Clara, San Mateo and Santa Cruz Counties for Access to Care and Behavioral Health initiatives, including the Axis Bridge Mental Health Urgent Care program, a new clinic site for Bay Area Community Health, and Ravenswood Family Health Network's Social Services program . Monetary support for Peninsula Healthcare Connection in Palo Alto, which provides healthcare services and mental health services to medically underserved patients . Youth mental health outreach and collaborations . School-based health and wellness programs . Cost-free health education classes, presentations, and individual support offered both on-site, virtually and in the community focused on perinatal health, disease management, behavioral change, and stress management. On-site graduate medical education for medical residents . Monetary and in-kind support for Cabrillo College's Allied Health Program . Monetary donations and in-kind support to local community groups and organizations . Monetary support of the Healthier Kids Foundation's HealthFirst program which provides universal wellness screening in elementary and middle schools in Santa Clara County . Monetary support of organizations in the East Bay that focus on the mental health services, domestic violence services, financial literacy and economic security . Monetary support of Behavioral Health organizations in Santa Cruz County that provides family counseling programs . Monetary support of culturally responsive, linguistically diverse domestic violence advocacy services . Community organization board memberships Palo Alto Medical Foundation serves the community by encouraging financial support from the community and corporations to enhance the quality of healthcare in the region. In 2024, more than 3,700 individual donors contributed nearly $58 million to fund cutting-edge research and implement programs that fall outside of our annual operations budget. In 2024, philanthropy invested more than $20.5 million to PAMF affiliates to advance patient care. This represents a 39% increase in funds invested over 2023. An additional $38 million has been earmarked for future projects in 2025 and beyond. We continue to partner with senior leaders to invest donor dollars in programs like research and physician well-being as well as advanced imaging tools for cardiology, oncology and women's health, making an immediate impact. Philanthropy is an irreplaceable part of our not-for-profit mission and our fundraising initiatives are local by design-embracing core innovation, expanding accessibility and improving health outcomes in each of the communities we serve. Of the $20.5 million invested, $6.3 million went to support a wide range of programs for cancer, cardiology and vascular services, geriatrics and palliative care, mental health, women's health, pediatrics and research. An additional $14.2 million was invested in capital and medical equipment to facilitate more advanced care and better outcomes for patients. The Grants & Disbursements program uses unrestricted gifts from the community to accelerate new pilot programs and bring innovative technologies to the clinic faster. In 2024 the program funded 7 proposals from across the organization, totaling just over $1 million. For the last nine years, nearly $10 million in philanthropic gifts have been directed toward improving patient care. Donor support also funds other capital requests, various scholarships, endowments and community programs which enhance the level of care throughout the communities we serve. As a not-for-profit network, Sutter Health philanthropy innovates care, creates vital new programs, funds clinical research, and expands access to care for our patients and their families. Specific areas of impact from philanthropy in 2024 included: . PAMF Palo Alto's Ambulatory Surgery Center - continue to improve the Palo Alto clinic and surgery center to increase its capacity to serve more patients, enhance the patient experience, and expand the services available locally. . Advanced Chronic Kidney Disease Transition Management- create a physician-led team to longitudinally follow the most vulnerable chronic kidney disease patients through their transition with the objective goals of improving healthcare equity, patient satisfaction, home dialysis utilization, and reducing hospitalization. This is a unique scenario that improves patient experience and outcomes. . Oncology Care Financial Navigation Program-develop a program to help patients and their families navigate the financial complexities of cancer treatment and care, allowing patients to focus on their health and well-being. . Gastroenterology Program - develop an intestinal ultrasound program for inflammatory bowel disease (IBD) patients. This expertise will bring non-invasive imaging techniques to monitor inflammatory bowel disease, guide clinical decision making as well as create new opportunities for clinical trial participation.
