LOWENSTINE TRUST DATED AUGUST 17, 1981, AS RESTATED ON SEPTEMBER 19, 1995 (THE "TRUST DOCUMENT"). THE TRUST DOCUMENT SPECIFICALLY DIRECTS THE TRUSTEES OF THE TRUST TO ESTABLISH A SCHOOL. THE TRUST DOCUMENT FURTHER SPECIFICALLY PROVIDES THAT THE TRUSTEES OF THE TRUST MAY FORM A CORPORATION (TO BE NAMED AS THE TRUSTEES DETERMINE) TO OPERATE THE SCHOOL. THE TRUSTEES OF CONSERVE SCHOOL TRUST FORMED CONSERVE SCHOOL CORPORATION WHEN THEY ESTABLISHED THE CONSERVE SCHOOL IN ORDER TO OPERATE THE SCHOOL MORE EFFICIENTLY. THE TRUST DOCUMENT REQUIRES THAT THE INDIVIDUAL TRUSTEES OF THE TRUST CONTROL THE CORPORATION. THUS, THE MANAGEMENT AND CONTROL OF THE TRUST, AS THE SUPPORTING ORGANIZATION, IS AND HAS ALWAYS BEEN, VESTED IN THE SAME PERSONS WHO CONTROL AND MANAGE THE CORPORATION, AS THE SUPPORTED ORGANIZATION.
