| Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management | Prior to hiring the Chief Executive Officer in August 2020, the Consortium compiled data regarding compensation levels for individuals in comparable positions. The Board assessed the comparability data prior to determining the compensation offered to the preferred candidate. The Board also relied on a number of other factors in making its determination regarding the CEOs compensation: 1) the experience of numerous Board members working in nonprofit and governmental entities to ensure that the compensation being offered to the CEO was consistent with the range of compensation and benefits provided to the head of similar organizations; and 2) the independent Boards assessment of the CEOs capabilities and qualifications to ensure that the total remuneration opportunity for the Consortium's CEO was within a reasonable range of competitive market practices applicable to like positions among like organizations under like circumstance. The compiled compensation data for comparable positions was documented and is part of the Consortium's corporate record, as are the terms of the employment offer. Additionally, and consistent with Consortium bylaws, a record of all Directors of the Consortium who voted to approve the compensation structure and employment offer for the CEO was recorded and is part of the Consortium's corporate record. |
