Part I, Line 1A:First-class or charter travel: If the drive time is more than three hours one way for a one-day meeting or if the drive time is more than five hours one way for a multi-day meeting, members of the Board of Trustees may use charter air transportation and be reimbursed the actual cost of such travel. Others traveling on behalf of the Association who choose air charter service will be reimbursed the lower of the actual cost of the charter transportation or two times the amount allowed for automobile mileage to and from the meeting or function. On occasion senior staff use charter travel for meetings within the state where the drive time is significant for a meeting that is an hour or two. Travel for companions: The employment contract with the current CEO allows $2,500 for spouse travel. This is taxable to the CEO. Tax indemnification and gross-up payments: MHA has a service award program that recognizes employees for the length of service at 5 year intervals. When the award exceeds the $400 average and is taxable to the employee, the employee receives a tax gross-up payment to cover the tax attributed to the award. Housing Allowance -- MHA hired a new CEO in 2021 and is providing a housing allowance for 11 months beginning in October 2021. In 2021, MHA paid $7,200. Health or social club dues or initiation fees: The employment contract with the CEO provides that the initiation fee and annual membership fees for a country club membership be paid for the CEO. Health club memberships (up to $150 per year) are provided to employees as a wellness benefit as provided in our healthy lifestyles policy.
Part I, Line 4B:The following individuals participate in a 457(b) plan. Each individual contributed $19,500 to the plan in 2021. - Herb Kuhn - President and CEO - Kathleen Poff - Sr. VP of Administration and CFO - Daniel Landon - Sr. VP of Governmental Relations - Mary Becker - Sr. VP of Strategic Partnerships and Communications - Leslie Porth - Sr. VP of Strategic Quality Initiatives
Incentive Compensation - Paid to CEO by Missouri Hospital Association:Incentive compensation is intended to reward the chief executive officer for the achievement of those priority organization objectives established by the Compensation Committee. The award of any portion of incentive compensation is at the sole discretion of the committee operating within the board-approved Missouri Hospital Association Executive Compensation Philosophy and at no time is guaranteed. Incentive compensation will only be considered when the following criteria are met. -The chief executive officer receives a favorable annual performance appraisal. -The association achieves positive net income from its consolidated operations (unless, at the sole discretion of the Compensation Committee, specific circumstances warrant an exception). The evaluation of net income will be based on the association's consolidated financial statements and year-end projection. Any material changes in the association's financial position reflected in the subsequent annual audit may, at the sole discretion of the Compensation Committee operating within the board-approved Missouri Hospital Association Executive Compensation Philosophy, cause the amount of current or future incentive compensation to be changed. In no event will incentive compensation be based on net income.
CEO Retention Bonus:In 2012, an agreement for a CEO retention bonus was executed by the Missouri Hospital Association and the CEO. Commencing with the first calendar quarter of 2012, an account ("Account") created by Employer for Executive shall be credited, as of the last day of each calendar quarter while Executive is employed by Employer through December 31, 2019, with an amount equal to 6 percent of Executive's Base Salary then in effect. In calendar year 2020, the Account shall be adjusted as of the last day of each quarter in the uniform amount necessary, if any, to cause the total credits to the Account pursuant to this subsection (i) for all years to be equal, as of the end of 2020, to two times Executive's Base Salary for the year 2020. As of the last day of each calendar year and as of the date a benefit is payable, the Employer shall credit the Investment Return on the Account since the immediately preceding crediting of Investment Return, as determined pursuant to the provisions of this Section and shall reduce the Account by the amount of any distribution made with respect to the Account and by any reduction made pursuant to subsection (i). For purposes hereof, the Investment Return shall be the amount necessary to increase or decrease the Account balance to what it would have been had the Account balance during the calendar year involved actually been invested in the Investment Option(s) selected by the Executive under this Section. The Investment Return also shall be adjusted to reflect surrender or other charges that would have been incurred if the Account balance had actually been invested in the Investment Options and withdrawn to pay benefits. If the Executive fails to select an Investment Option, the Investment Return shall be the Investment Option most similar to a money market account. If Executive is employed by Employer on June 30, 2020, an amount equal to 50 percent of the Account balance will be paid to him in January 2021, and if Executive is employed by Employer on December 31, 2020, an amount equal to the remainder of the Account balance will be paid to him in January 2021. In 2021, no amounts were credited and the balance of $1,772,575 was paid to Executive in January.
CFO Retention Bonus:In 2015, an agreement for a CFO retention bonus was executed by the Missouri Hospital Association and the CFO. Commencing with the first calendar quarter of 2015, an account ("Account") created by Employer for Executive shall be credited, as of the last day of each calendar quarter while Executive is employed by Employer through December 31, 2017, with an amount equal to 6 percent of Executive's annual base salary then in effect. In the 2017 calendar year, the Account shall be adjusted as of the last day of each quarter in the uniform amount necessary, if any, to cause the total credits to the Account for all years (2015-2017) to be equal, as of the end of the 2017 calendar year, to 75 percent of Executive's annual base salary for the 2017 calendar year. If Executive is continuously employed by Employer through December 31, 2017, then an amount equal to the Account balance, adjusted as provided in this Section 2, as of January 1, 2018, will be paid to her in January 2018. After the payment is made pursuant to Section 2(a), the Account shall be credited, as of the last day of each calendar quarter while Executive is employed by Employer through December 31, 2020, with an amount equal to 6 percent of Executive's annual base salary then in effect. In the 2020 calendar year, the Account shall be adjusted as of the last day of each quarter in the uniform amount necessary, if any, to cause the total credits to the Account for all years (2018-2020) to be equal, as of the end of the 2020 calendar year, to 75 percent of Executive's annual base salary for the 2020 calendar year. If Executive is continuously employed by Employer through December 31, 2020, then an amount equal to the Account balance, adjusted as provided in this Section 2, as of January 1, 2021, will be paid to her in January 2021. In 2021, no amounts were credited and the balance of $266,673 was paid to Executive in January.

The Compensation Committee performs a formal evaluation of the CEO's performance and then utilizes the data provided by the independent firm to determine the recommended salary adjustment. The Compensation Committee also solicits input on the CEO's performance from members of the board. A formal process is used to set the base compensation, award any incentive bonus and establish the goals for the coming year. The Compensation Committee shares its actions and details of the CEO's compensation and benefits the full board. Other officers or key employees: The board has an approved Executive Compensation Philosophy. Comparative data is provided by an outside, independent firm. This firm conducts a survey of state associations, analyzes the data and the market.
