DescEducation: MCN strives to provide educational events, networking opportunities, and publications that center equity and respond to the expressed needs, interests, and experiences of individual organizations to support the growth, health, and future of the sector and its people. In 2025, MCN sponsored approximately 97 public events with over 9,120 total attendees. The majority of MCN's workshops were offered virtually in response to member feedback and choice. Our 2025 Annual Conference was held with registration across the nonprofit and philanthropic sectors of 1,300 people. The Annual Conference, Nonprofit Leadership Conference, and Nonprofit Fundraising Conference each sold out. Our Finance and Sustainability Conference remained virtual and had 447 attendees. Other paid and free events focused on a wide range of topics including voter engagement, equity and justice, cybersecurity, mental health and inclusive practices in the workplace, board governance and financial literacy, storytelling for successful communications and fundraising, effective and healthy leadership, and more. In 2025, MCN continued its role as a researcher and publisher, releasing the annual 2025 Minnesota Nonprofit Economy Report, 2025 Current Conditions of Minnesota's Nonprofit Sector, Minnesota Grants Directory, and Nonprofit News, a newsletter providing information on sector trends and resources. Through its educational programming, MCN worked with hundreds of people from other nonprofits and capacity building groups to bolster interactive learning for Minnesota's nonprofit sector.Desc

MCN members receive discounts on publications, in-person and virtual workshops, and full-day conferences. $694,041$10,000Research: With the support of MCN's nonprofit members and charitable contributions from foundations and corporations, MCN studies nonprofit sector trends and shares this research with members, other nonprofits, decision-makers, and the media. In 2025, MCN shared information widely on Minnesota's nonprofit sector, demonstrating the economic impact of nonprofits on the state's economy and challenges faced by nonprofits through three published research reports, public presentations, media citations, and more. MCN also conducts nonpartisan research and analysis on tax, budget, and economic issues through the Minnesota Budget Project. The Minnesota Budget Project's analysis particularly focused on state and federal policy choices and economic trends that impact low- and moderate-income Minnesotans and communities of color, budget and policy choices that impact Minnesotans' access to prosperity and economic opportunity, the contributions of Minnesota's immigrants to the economy and local communities, and progress toward a fair and sustainable tax system.
$371,824$5,000Advocacy: MCN undertakes nonpartisan advocacy efforts to strengthen the nonprofit sector and its ability to serve communities throughout Minnesota. MCN's major advocacy efforts in 2025 included advocacy in support of public availability of data on the nonprofit sector, and federal charitable giving tax incentives, as well as educating lawmakers on the impacts of reforms to state grantmaking and oversight of state grants to nonprofits. MCN's Minnesota Budget Project identifies and advances public policies to make Minnesota a place where all can thrive, especially in the areas of tax, budget, and economic policy. The Minnesota Budget Project's 2025 federal and state policy priorities included protecting Minnesotans' inclusive access to basic needs services (including affordable health care and food assistance) and educating on the harm to Minnesotans' well-being that would occur if funding for these services is eroded by large tax cuts.$5,333

ExplanationWhile not a common practice, occasionally the Minnesota Council of Nonprofits re-grants funds to partner organizations in order to accomplish shared goals with broader impact. In those cases, a contract or memorandum of understanding is created that outlines the scope of work, timeline, cadence of check-ins, and reporting requirements including financial accounting of grant-related expenses.ExplanationTxt

ExplanationThe Minnesota Council of Nonprofits (MCN) strives to advance the strategic objectives of the organization by providing competitive and equitable wages and benefits in order to attract and retain outstanding staff, be seen as a leading employer in the nonprofit sector, and live organizational values of greater equity and transparency. MCN develops salary bands for different levels of staff positions based on market data from MCN's biennial Salary & Benefits Survey. The salary bands are adjusted every two years aligned with the most recent market data. MCN's personnel committee of the Board of Directors reviews proposed adjustments to salary bands, and MCN's full Board of Directors approves changes. MCN's Board of Directors is responsible for approving the compensation of the President & CEO and, when applicable, the other persons in a position to exercise substantial control over the organization's resources. The Board is responsible for ensuring the President & CEO's compensation responds to market conditions, working to ensure equitable compensation across the organization, and ensuring the President & CEO's compensation falls within the current approved range for the President & CEO salary band. The Board approves the compensation of the President & CEO annually and in advance of any change in compensation, and any decision must be recorded in board meeting minutes. When determining the reasonableness of the compensation package paid to the President & CEO, the Board should ensure that the individuals involved in making the compensation recommendation, including consultants, do not have a conflict of interest with regard to the executive.ExplanationTxt

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Form 990, Part III, line 2In 2025 the Minnesota Council of Nonprofits partnered with LegalCORPS to develop and launch a MN Nonprofit Legal Services Initiative on July 15, 2025. This Initiative expands nonprofit access to legal information and support through pro bono legal counsel, a help desk, regular free compliance clinics, virtual legal resource library, and more. The organizations successfully fundraised enough grant funding to offer this service to nonprofit organizations at no cost for three years.
Form 990, Part III, line 3After thoughtful consideration rooted in MCN's strategic planning work, MCN has made a difficult decision to sunset its VISTA program by the end of December 2025. This challenging decision enables us to streamline efforts towards our newly envisioned organizational direction, including advancing equitable funding structures and deepening our engagement with nonprofits across Minnesota.
Form 990, Part VI, Section A, line 1aThe Organization has an Executive Committee which is comprised of the five officers of the Board of Directors (Co-chairs, Treasurer, and three additional directors). The Executive Committee meets in months that the Board of directors does not. The Executive Committee has the authority to take binding action as necessary between the meetings of the Board of Directors.
Form 990, Part VI, Section A, line 6The Organization has two classes of members: the voting class is comprised of other nonprofit organizations, the nonvoting class is comprised of others, such as vendors, consultants, academics, etc.
Form 990, Part VI, Section A, line 7aThe voting class of members elects 14 of the 23 board members.
Form 990, Part VI, Section B, line 11bThe return is first reviewed by the Finance and Administration Director, President/CEO and Vice President. It is then reviewed and recommended for Board of Directors approval during a Finance Committee meeting. Then the Board of Directors meets to accept the Finance Committee's recommendation. The board members receive a copy before it is filed.
Form 990, Part VI, Section B, line 12cA conflict of interest statement is completed annually by all employees and directors. The statement is reviewed initially by the President/CEO and chair. Potential conflicts are then reviewed by the executive committee. If a conflict arises, the parties are expected to bring it to the attention of the board of directors and are restricted from voting and discussion on related matters.
Form 990, Part VI, Section B, line 15The board reviews and approves the compensation of the President/CEO based on comparability data. The board reviews and approves a salary range for the Vice President based on comparability data. The actual salary amount for the Vice President is set by the President/CEO. This process is completed at the end of the previous year during the budget development process for the upcoming fiscal year.
Form 990, Part VI, Section C, line 19The governing documents, annual report and audited financial statements are available on the organization's website. Other documents are available upon request.
Form 990, Part XII, Line 2c:The process has not changed from the prior year.
