SUPPLEMENTAL INFORMATION TOSchedule J, Part I: Questions Regarding CompensationSchedule J, PART I, Lines 1A and 1B: First Class Travel- Vice presidents or above are eligible to upgrade to first class on domestic flights. Four of our most senior executives are also eligible for business class on international flights. The Company's Chief Executive Officer and Chief Operating Officer established the eligibility requirements for first class travel a number of years ago, and the policy has been adhered to consistently. However, there is no written policy which documents this. Companion Travel- As a rule, travel for companions is not provided by the organization. However, in 2008 CableLabs held a senior staff retreat in Wyoming for which the company did provide for companion travel. The value of the travel was considered a taxable benefit to the respective employees. Total of eleven recipients - ten officers and one key employee. As noted above, the organization generally does not pay for companion travel. The Company's Chief Executive Officer and Chief Operating Officer made the decision to make a one-time exception to this policy for the senior staff retreat. Tax Indemnification and Gross-Up Payments- CableLabs grosses up the value of employee recognition awards (e.g. gift cards) for all employees. (160 total employees, including nineteen officers, one key employee and four highly compensated employees). Employees who travel 25,000 miles or more for business in a year are eligible to join the United Airlines Red Carpet Club and request reimbursement from the organization. This benefit is grossed up. Total of ten recipients in 2008, nine of whom are officers. The Company's Chief Executive Officer and Chief Operating Officer made the decision to gross up employee recognition awards, and this has been formalized in a written policy subsequent to year-end. Reimbursement of Red Carpet Club membership for qualifying employees was approved by the Company's Chief Executive Officer and Chief Operating Officer and is incorporated as a policy in the Company's employee handbook. CableLabs has a patent award program to encourage employees to submit new ideas for patent consideration. Employees receive $250 upon submission of an invention disclosure, $500 upon filing of a U.S. patent application, and $1,000 if a patent is awarded. Patent awards are grossed up. 36 total recipients in 2008, including 4 officers and 3 highly compensated employees. The patent award program was approved by the Company's Chief Executive Officer, Chief Operating Officer, and General Counsel and is documented in a written Patent Award Program summary. Certain new hires are offered a relocation allowance (generally 10% of base salary) to entice them to accept our job offer. Relocation allowances are grossed up. Two employees received relocation allowances in 2008 neither of whom were officers, key employees or highly compensated employees. The relocation allowance is documented in the Recruitment Policy which was approved by the Company's Chief Operating Officer and Vice President for Human Resources.
SUPPLEMENTAL INFORMATION TOSchedule J, Part I: Questions Regarding CompensationPART I, LINE 4A: Severance or Change of Control Payment- Peter MacCormack $75,000 The terms and conditions of this severance arrangement provided the former employee a single lump sum payment of $75,000. The payment was in consideration for the former employees acknowledgement that the payment exceeds any amount that he would otherwise be entitled to receive upon separation of employment. The payment was also in consideration for the former employees agreement to release CableLabs and its directors, officers and employees from all potential claims he might assert arising from his employment or separation of employment, to continue to abide by all confidentiality and non-disclosure obligations owed to CableLabs and to refrain from making any false or disparaging statements about CableLabs directors, officers, employees or its business. PART I, LINE 4B: CableLabs has a deferred compensation plan (the Plan) to help retain key employees. Under this plan, the Company declares and funds an award each year for the benefit of certain members of management and key technical employees. Individuals vest in the annual award and any corresponding investment gain or loss on January 15 of the third year after the employer contributions are made. The Company records compensation expense and a corresponding increase in the deferred compensation liability ratably over the vesting period. There were 12 participants in the Plan at December 31, 2008.

General Statement 1Part I: Summary and Part III: Statement of Program Service AccomplishmentsPart I, Line 1 and Part III, Line 1- The purpose of the corporation is to gather, assess and disseminate technical information of strategic importance to the cable television industry, to identify, plan, engage in and fund the development of new technologies for the benefit of the industry, directly or in partnership with others, and to transfer such technologies to the industry through reports, seminars, workshops, licenses, loans of personnel and other appropriate means, and generally to undertake research and development activity in furtherance of each of the foregoing. The corporation is intended to be a "joint research and development venture" as that term is defined in the National Cooperative Research Act of 1984, as amended, 15 U.A.C.A. Section 4301-4305.
General Statement 2Part III: Statement of Program Service AccomplishmentsPart III, Line 2- The organization launched its Voice Over Internet Protocol (VoIP) Peering project in 2008. The VoIP Peering project is working to enable the exchange of VoIP traffic between cable operators end-to-end over their managed IP networks. The strategic development and launch of a cable VoIP peering registry provides scale and, more importantly, the ability for cable operators to launch communication applications nationwide across multiple operators' subscriber communities.
General Statement 3Part III: Statement of Program Service AccomplishmentsPart III, Line 4- Nature of the Organization Founded in 1988 by cable operating companies, Cable Television Laboratories, Inc. (CableLabs or the Company) is a nonprofit research and development consortium that is dedicated to pursuing new cable telecommunications technologies and to helping its cable operator members integrate those technical advancements into their business objectives. Among the Company's primary areas of focus are researching and identifying innovative broadband technologies, authoring specifications, conducting certification and qualification testing of products, and disseminating information. CableLabs benefits the cable television industry and consumers by enabling interoperability among devices and products developed from its specifications; facilitating retail availability of consumer premises equipment and advanced services; helping cable operators deploy innovative broadband technologies; facilitating industry revenue growth from new businesses, which require high levels of technical accuracy and reliability such as broadband internet access and Voice Over Internet Protocol (VoIP), reducing costs for existing businesses and contributing to improved margins; and helping the industry explain technology's role to outside audiences. Membership in the Company is open to all qualified operators of cable television systems throughout the world. The board of directors comprises twenty representatives from the membership, one independent representative, three nonvoting representatives, and three active representatives emeritus. As of December 31, 2008, there was one vacancy in the "membership" category of the board of directors which the Company filled subsequent to year-end, and two vacancies in the "at large" category of the board of directors which the Company does not currently intend to fill. The Company's activities include the following major projects: (a) OpenCable OpenCable has produced a set of interface specifications that defines the next generation of digital cable television set-top boxes and other digital devices to be deployed by cable operators or sold directly to consumers at retail. Key to these interface specifications is the CableCARD, a removable security module that is the basis for making the devices fully portable from one cable system to another regardless of the network operator. CableLabs has also issued a software specification called the OpenCable Applications Platform (OCAP). OCAP is an innovative national software platform that enables cable's interactive services to be delivered to two-way plug and play TVs, set-top boxes, and other devices. OCAP also creates a national footprint for the creators of interactive services to develop products that work on cable systems in nearly every U.S. market. Tru2way is a consumer-facing brand held by CableLabs based on the OpenCable and OCAP technical specifications. (b) Systems Evaluation The Systems Evaluation group's primary activities are certification testing, interoperability testing, and development lab services. The group tests and evaluates equipment that is developed for use on cable television systems for compliance with the applicable Company specifications using procedures that have been developed in cooperation with the manufacturers of the equipment and CableLabs' members. (c) DOCSIS DOCSIS (Data Over Cable Service Interface Specification) defines interface requirements for cable modems and cable modem termination systems (CMTS) involved in high-speed data distribution over cable television system networks. (d) Cable Information Services Cable Information Services provides secure industrywide data and information services to the cable companies. It addresses the inherent inefficiencies of exchanging information between multiple cable companies and multiple business partners. Working with cable company experts, Cable Information Services develops standard interfaces and provides platforms to enable information exchange. Go2Broadband provides both the tools and network support required to enable Internet-based electronic commerce for the cable industry's indirect sales channels. Go2Broadband affiliates include "Big Box" retailers, Internet service providers, cable operator consumer Web sites, and content providers. The tool is used to help potential cable customers identify their cable service provider's name, available services, and associated pricing based on their specific address. In addition, the Go2Broadband platform is used to route industry sales leads to the appropriate cable operator. The Go2Broadband project also supports the Cable Movers Hotline telephone platform, which is used to assist cable subscribers in identifying and linking to their destination cable service provider.
General Statement 3 ContinuedPart III: Statement of Program Service Accomplishments(e) PacketCable PacketCable develops interoperable interface specifications for delivering advanced, real-time multimedia services over cable operators' networks. PacketCable networks use Internet Protocol (IP) technology to enable a wide range of cable multimedia services, such as IP telephony, multimedia conferencing, interactive gaming, fixed mobile convergence, business services, and cross-platform features. (f) Security CableLabs is responsible for enhancing the security of services delivered by cable operators. The foundation of the cable industry's security infrastructure is the CableLabs Public Key Infrastructure, which allows cable operators to authenticate devices connected to their networks and enables the secure delivery of cable services to subscribers. A strategic goal of the CableLabs Security group is to continually improve the security of cable voice, video, and data services through innovative and standards-based security solutions. An additional goal of the CableLabs Security group is to identify security needs of future cable services and to map these requirements to emerging CableLabs specifications. (g) Strategic Assessment The Strategic Assessment group examines the strategic implications of new technologies upon the existing and proposed businesses of member companies. Within this department, quantitative research methods are applied whenever possible to better understand the complex trade-offs inherent to business, economic, and technology trends impacting the competitive position of the cable industry. (h) Cable PC The Cable PC project is designed to allow a customer to access cable services through the personal computer, specifically a next generation Windows product. This would add the personal computer as one of the family of tru2way devices. (i) Advanced Advertising CableLabs is currently developing technology standards supporting new revenue opportunities in four areas around advanced advertising technologies - digital ad insertion, interactive advertising, addressability, and coordinated marketing and reporting. Digital ad insertion systems enable cable headends and broadcast affiliates to insert locally generated commercials and short programs into remotely distributed regional programs before they are delivered to home viewers. Interactive advertising allows a customer to select an interactive link during an ad to request further information about the product. Addressability provides cable companies the ability to deliver an ad to customers who may have a particular interest in that product. In an effort to appeal more to national advertisers, CableLabs is working to coordinate advertising efforts across multiple cable operators, and improve ad viewing and interactive usage reporting back to the advertiser in standard formats. (j) Standards The Standards group edits and incorporates engineering changes into CableLabs specifications and test plans. It coordinates the preparation, review, and submission of project-originated contributions to external standards bodies. Creating unique national and international open technical standards for cable networks is done not only to provide for standard interconnections and operations of quality cable networks but also with the intent of attaining economic benefits for members and cable network users through competitive market forces. (k) Business Services The Business Services group is developing a strategic technical roadmap to enable cable operators to serve the needs of small businesses and commercial enterprises. CableLabs is working with equipment manufacturers to extend PacketCable specifications to support business telephone features and enterprise IP-PBX interconnection. CableLabs is also developing a `Business Class' hybrid fiber/coax system with an emphasis on providing Metro Ethernet services over DOCSIS networks. (l) Voice Over Internet Protocol (VoIP) Peering The VoIP Peering project is working to enable the exchange of VoIP traffic between cable operators end to end over their managed IP networks. The strategic development and launch of a cable VoIP peering registry provides scale and, more importantly, the ability for cable operators to launch communication applications nationwide across multiple operators' subscriber communities.
