Description	Human Services Programs: Residential Services for children & adults with intellectual disabilites. Children were served in a a group home setting and in foster homes licensed by PA OCYF. We discontinued foster care services in November 2010. Adults are served in community living arrangements and family living homes licensed by PA ODP. During 10-11 six children received foster care services. Eight adults received family living services. Fifty-one children & adults received group home or CLA services. We provided 15,931 days of CLA , 2,544 days of family living, 161 days of respite, and 511 days of foster care services in 10-11.	Description

The Directors presence may be counted in determining the quorum for any vote with respect to a dFs business transaction which he or she has a possible conflict of interest. However, the interested party who has the actual or potential interest shall not participate in any way, or be present during the deliberations and decision making of the dFs with respect to such actions or transactions. The interested party may, upon request, be available to answer any questions or provide material factual information about the porpoesed action or transaction. The disinterested members of the Board may approve the proposed action or transaction upon finding that it is in the best interest of the organization in which the terms are at least as fair and resonable to dFs as those which would otherwise be available to dFs if it were dealing with an unrelated party, and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with a party or entity that is not an interested party. Approval by the disinterested members of the Board shall reflect that the conflict disclosure was made, the vote was taken, and that the interested party abstained from the discussion and voting. A written record of any report of possible conflict and of any adjustments made to avoid possible conflicts of interest shall by kept by the Executive Director or, where applicable, in the Board file.

The primary guidelines for external competiveness were the median salary of agencies by "Budget Size" and "Agencies Outside of Allegheny County" in the most recent "Wage and Benefit Survey of Southwestern PA Nonprofit Organizations." Secondary factors were taken into consideration depending upon the specific positions were "Primary Source of Fudning"; "Number of Employees"; and "Level of Education Required." Also for managment positions, "Number of Years in Position" and "Number of Employees Managed" were considered. Within given parameters, compensation will be linked to individual employee performance. The compensation Review Committee recommended salary & benefits which were approved by the full Board of Directors.
