| DESCRIBE HOW CONFLICT OF INTEREST POLICY IS MONITORED & ENFORCED | PART VI, LINE 12C | In connection with any actual or possible conflict of interest that an interested person may have with a proposed transaction, the interested person must disclose the existence of all financial interests that could be construed to be a conflict of interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Each director, principal officer and member of a committee with governing board-delegated powers shall annually sign a statement, which affirms such person has received a copy of the conflicts of interest policy; has read and understands the policy; has agreed to comply with the policy; and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic reviews are conducted to determine if officers and directors are in compliance with the policy. If the Governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. |
| DESCRIBE PROCESS FOR DETERMINING CEO COMPENSATION | PART VI, LINE 15A | Compensation is reviewed minimally semi-annually by Human Resources as directed by the board of directors. CEO compensation was determined by performing a market analysis of CEO compensation in Colorado for a variety of Community Mental Health Organizations. This information was shared with the executive recruiter for the CEO position who then compared this information with national market analysis' for CEO compensation, taking into account the size and volume of the organization. Most recent market analysis was performed in 2010. The Board does not approve executive compensation and the decision is not formally documented. CEO compensation is, however, disclosed in a written employment contract. |
