Each Voting Member is required to designate a representative to act on behalf of the Voting Member at membership meetings. 2. Non-Voting Members. The following individuals are eligible for admission to CCAoA as non-voting members: individual child care professionals; affiliate members, to include any individuals employed by a CCR&R; honorary members; and student members, to include individuals engaged in a course of study focused on early childhood education (collectively, the "Non-Voting Members"). 3. Voting Rights. Each Voting Member will have the right to cast one vote on all matters brought before the membership. Non-Voting Members may attend meetings of the membership, but do not have the right to vote. 4. Quorum. One-third of the Voting Members must be present in person or by proxy at a meeting of the members in order to fulfill a quorum. The quorum requirement was previously one-fourth of the voting power. B. Board of Directors. The following amendments were made to determine the composition of the Board of Directors, the manner in which individuals are elected to the Board, and the terms of office of Directors. 1. Number of Directors. The size of the Board of Directors was increased from a range of 15-17 members, to a Board made up of 20 members. 2. Composition of Board. The Board of Directors will be made up of Directors who represent or are affiliated with Voting Members as follows: a. Five (5) representatives of CCR&Rs; b. One (1) representative of a nonprofit organization; c. One (1) representative of a for-profit corporation or other corporate entity; d. One (1) representative of a government agency or organization; and e. Twelve (12) at-large Directors, who may represent any category of Voting Member. 3. Election of Directors. The Board Development Committee will be charged with developing a slate of candidates for election to the Board, with a candidate proposed for each vacant seat on the Board of Directors. The nominees proposed by the Board Development Committee must comply with the Board composition requirements set forth above. The Board Development Committee will submit the proposed slate to the Board of Directors for approval. Directors will then be elected by the Voting Members, upon the affirmative vote of a majority of Voting Members participating in a vote where a quorum is fulfilled approving the slate of candidates. 4. Term of Office. Each Director will serve a three (3) year term, and may serve two (2) consecutive terms. The President will serve for a two (2) year term, and may only serve one term.
