MissionThe Music Hall is a community-supported, nonprofit performing arts center that, prior to the COVID-19 pandemic, annually entertained more than 108,000 patrons including 15,000+ school children with acclaimed film, music, theater, literary, and dance performances in two theaters in downtown Portsmouth, NH. Its historic 900-seat theater, built in 1878, is the oldest in New Hampshire. The other is the Loft, a modern 124-seat theater across the street. The Music Hall presents diverse and relevant programming, including its signature series such as Writers on a New England Stage, Hilarity, and Intimately Yours concerts. The theater also hosts community fundraisers and celebrations for the benefit of more than 60 local nonprofits. Studies show that, before the pandemic, The Music Hall and its patrons contributed $9.5 million annually* to the local economy through non-ticket-related visitor spending.MissionDesc

Form 990, Part III, Line 1 ContinuationCOVID's impact on The Music Hall, a venue dedicated to the live performing arts, has been significant: forcing us to postpone or cancel concerts, presentations, readings, screenings, and broadcasts, as well as other necessary cost-cutting measures, including laying off both full and part-time professionals. While we did have to temporarily close our doors to the public for four months in 2020, we were able to re-envision our operations and continue to provide programming for our community. Two new show series, Live Under the Arch and Stage Door Cabaret, were created during the pandemic featuring local and regional artists, well-ventilated spaces, and smaller audience sizes. A new HVAC system was fast-tracked to allow people to return to the theater with new protocols and safety measures taken to ensure the safety of staff, volunteers, and patrons. Where tours and health concerns made live events difficult for many of our series, we provided virtual programming for literary, film, and music events. The theater also revitalized community partnerships by increasing our support for local artists and other nonprofit arts and cultural organizations. Collaborating with our nonprofit neighbors, 3S Artspace and Prescott Park Arts Festival, in a first-ever partnership produced All Together Now, a benefit concert series with ticket sales generating funds to split between 3S and PPAF, and to help rebuild audiences across all three entertainment venues. Similarly unified efforts with other New Hampshire-based nonprofit arts and entertainment organizations resulted in our successful advocacy for COVID disaster relief funding. The generous support of our members, sponsors, and friends, combined with our success securing funds through a number of state and federal emergency relief programs, saw us through a grueling chapter during the pandemic and has restored our financial stability. In FY21, The Music Hall received CARES Act Funds through: the NH State Council on the Arts Grants for Arts Organizations Program ($7,500 received on 08/26/20); the GOFERR Non-Profit Emergency Relief Fund ($613,014 received on 09/09/20); the GOFERR Live Venue Relief Program ($705,225 received on 11/30/20); The NH Dept of Education Student Enrichment Grant Program ($13,345 received on 12/04/20); as well as the SBA Shuttered Venue Operators Grant ($363,838.00 spent toward FY21 expenses but received $1,465,364.95 in July 2021, FY22). We have already begun to use these funds as they were intended: to rebuild our staff (reduced from 28 FT to 15 at the height of the pandemic), rebound from months of reduced audience capacity, and undertake essential operational and capital projects put on hold due to the pandemic. Artists have been eager to reschedule and ticket sales indicate a desire by most patrons to return to the theater, but we are still operating within reduced budgets and remain flexible in the face of continued uncertainty. One of the many ways The Music Hall engages with the Seacoast community is through forums with expert panels on important issues as part of its thought-provoking Innovation + Leadership series. Each summer, The Music Hall hosts a Fill The Hall event with Gather, the Seacoast's food pantry, where community members donate bags of non-perishable food, placed on every seat in the 900-seat Historic Theater. In June 2021, more than seven tons of food and more than $55,000 in cash donations were collected for Gather's Summer Meals 4 Kids program. This was especially needed in that second pandemic year. The pandemic caused many of The Music Hall's community engagement and outreach initiatives to be temporarily suspended. The board, staff, and volunteers are eager to resume more of the education and outreach programs in the coming year. These include low-cost or free ticketed performances of top-quality live children's theater and a student scholarship program, which provides bus transportation and bagged lunches to local Title I schools to introduce young people to live theater. The pandemic's end also will allow The Music Hall to bring back high school and college students from the area to our master classes, films, and literary events, and as interns. Much of The Music Hall's success and rich programming, both before and during COVID, can be attributed to partnerships with New Hampshire Public Radio (NHPR), the University of New Hampshire, and its strong support from City of Portsmouth officials and residents. The Music Hall continues to partner with the Ogunquit Playhouse to offer top-notch, world-class Broadway theatrical holiday performances. We all look forward to the time Broadway shows can safely return to the historic stage. FY21 marked the first year with Tina Sawtelle as the organization's new Executive Director. Having served as CFO for five years, Tina Sawtelle was chosen after a nation-wide search to take over for former Executive Director Patricia Lynch, who retired after 16 years at the helm. Under Sawtelle's leadership and with a team of seasoned arts professionals and fundraisers, the organization has excelled in advocating and securing numerous COVID emergency and stimulus grants. The Historic Theater, a point of pride in New England and recognized as an American Treasure by the U.S. Senate, has been beautifully restored and thoughtfully expanded, winning numerous design awards. It is carefully looked after with a mix of professional staff and volunteer board members with superior facility and building skills. As part of The Music Hall's most current strategic plan, fundraising and construction planning efforts commenced in 2019 to address critical infrastructure improvements for the Historic Theater's HVAC system (completed in 2020); an upgraded theatrical lighting system (completed in 2021); and backstage green room space and artist dressing rooms (scheduled for completion in 2022). The Loft, built in 2011, was shuttered in the pandemic due to the challenges of social distancing and managing two venues with reduced staff, but is currently being reviewed for new opportunities with a post-pandemic eye.
Form 990, Part VI, Section A, line 4A summary surrounding changes to The Friends of The Music Hall's Bylaws, approved by the Board of Trustees in May 2021, include adding community strengthening initiatives to the organization's "purpose", a clarification on the role of the Ex Officios, trustee term limits to be two 3-year terms, more definition on committee members and the responsibilities of a committee chair position, and more definition surrounding the responsibilities of the Finance Committee with the approval and recommendation process of the Corporation's Form 990 prior to seeking approval from the Board of Trustees.
Form 990, Part VI, Section B, line 11bThe Director of Finance and members of the finance committee work with the auditors, who prepare the form, to finalize the document and supporting schedules. A copy of the final 990 is submitted to the board of directors for review before its filing.
Form 990, Part VI, Section B, line 12cThe organization has a conflict of interest provision in its bylaws and annually asks for the board of directors to disclose any potential conflicts in writing.
Form 990, Part VI, Section B, line 15aThe executive committee of the full board reviews the Executive Director's compensation arrangement on an annual basis, taking into consideration compensation for similarly qualified persons in comparable positions and adjusts the Executive Director's compensation accordingly.
Form 990, Part VI, Section C, line 19The organization makes its governing documents and financial statements available to the public upon request.
Form 990The finance committee and the board are responsible for overseeing the audit of the financial statements and selection of an independent accountant. This process has not changed from the prior year.
