Part II, Line 3:See explanation for Schedule D, Part II, Line 9.
Part II, Line 5:The Organization, in coordination with the New Hampshire Division of Historical Resources, monitors and submits annual reports that the historic structure is maintained and operated in compliance with the requirements of the NHDHR Easement Program. This policy requires the Organization to conduct conditions assessments and provide project reports as to ongoing and regular use and status of the easement property.
Part II, Line 9:The Organization obtained its historic structure conservation easement from its predecessor-entity, the Currier Gallery of Art (EIN: 02-0223322) which dissolved and transferred all assets and operations into the Organization in the tax year ending June 30, 2025. This predecessor-entity obtained listing for the historic structure conservation easement in the National Register of Historic Places in December 1979. Accordingly, the property was acquired before July 26, 2006. Additionally, the Organization's conservation easement for the historic structure is not reported within its financial statements. Due to the historic nature of the property, any previous cost basis in the property would have been fully depreciated as of this tax year. Additionally, other than a nominal amount of time spent assessing and maintaining the property, the Organization does not incur expenses for the historic structure.
Part III, Line 1a:In conformity with industry practice, the value of art objects in the permanent collection are not recorded in statements of financial position. The art collection is catalogued and tracked for its educational value. Objects deemed no longer appropriate for the collection are de-accessioned according to a rigorous, established policy developed in accordance with ethical guidelines for art museums. Proceeds from deaccessioning are used to acquire other objects for the collection.
Part III, Line 4:The Currier Museum's permanent collection is the core of the institution's mission. These works of art, preserved for the benefit of the public, are used for exhibition, research, and education. Among the approximately 14,000 objects in the collection are two houses built in Manchester by Frank Lloyd Wright, which are regularly open to the public. Additionally, from time-to-time the Museum may also receive tangible gifts-in-kind as part of its charitable fundraising activities, such as prizes for auctions held as part of its annual gala or other events. Such non-cash gifts are recorded as donations received and then simultaneously expensed when disposed, as part of the Museum's fundraising efforts. Such gifts-in-kind do not include gifts of artwork or other artifacts that are retained by the Museum as part of its collections and exhibits.
Part V, Line 4:Endowment funds are used for museum operations, exhibitions, art acquisition, capital expenditures, conservation, and scholarships. All endowment funds as received by the successor-Museum have retained their previous charitable purposes and restrictions, as imposed within the predecessor-Gallery; the Museum has and will continue to maintain and utilize these funds for the same purposes and under the same limitations maintained by the predecessor-Gallery
Part X, Line 2:The Internal Revenue Service (IRS), in a letter dated July 16, 2004, determined that the Museum is a publicly supported charity under IRC Section 501(c)(3) and, therefore, not subject to federal income taxes or federal excise taxes imposed upon private foundations. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items, including unrelated business income or tax status. In accordance with U.S. GAAP, assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. Management has evaluated the Museum's tax positions taken on its filed tax returns and concluded that the Museum has maintained its tax-exempt status, does not have any significant unrelated business income and has taken no uncertain tax positions that require adjustment to the financial statements. Any interest and penalties would be recorded in income tax expense. Effective for fiscal year 2024, the Museum established a new corporate entity in which it will operate. The Museum received tax-exempt status in fiscal year 2025 and all assets and activity have been transferred from the charitable trust into the corporation.

ExplanationFor the period covered by this Form 990, the museum had an ownership interest in several foreign corporations, and was also an indirect shareholder of several passive foreign investment companies (PFIC) by way of its ownership in various alternative investments, including through qualified partnership interests. Through these various investment vehicles, the museum may either directly or indirectly make transfers to foreign corporations. When such transfers are in excess of the applicable filing threshold, the museum will prepare and file Form 926 in accordance with IRS Instructions and applicable tax laws. Furthermore, the museum's ownership interest in these foreign corporations did not surpass the filing threshold for Form 5471. Additionally, the Museum did not have any unrelated business income related to a direct or indirect PFIC interest, and therefore the museum is not required to file Form 8621. Lastly, none of the museum's direct or indirect interests in foreign partnerships were substantial enough to meet the ownership, control, or value thresholds that require the filing of Form 8865. Accordingly, the museum is not required to file these forms.ExplanationTxt

Form 990, Schedule G, Part I, Professional Fundraisers:During the year covered by this Form 990, the Museum engaged the following professional service providers to assist the Museum with various grantmaking, capital campaign, fundraising strategy development and consulting, and event management services: - Brightspot Consulting, LLC - Purple Finch Events, LLC - Towers & Co. Brightspot Consulting provides strategic planning, fund development, campaign planning and management, grant writing, and other donor development services. The Museum estimates that Brightspot Consulting services yielded donations and grants back to the Museum of $270,500 during this Form 990 reporting period. Additionally, as part of its annual Fall Gala Fundraising Event, the Museum engaged Purple Finch Events, LLC and Towers and Co. to provide fundraising consulting and event management services. The Museum cannot with complete accuracy estimate what portion of donations and funds raised through the Gala or otherwise were directly attributable to Purple Finch's or Towers' services. However, the Museum believes that their respective services were integral to the success of the Gala as an overall fundraising event. Accordingly, the total revenue raised by the Gala, composed of both donations and event income, have been listed on this Form 990, Schedule G, Part I, as the Professional Fundraiser Gross Receipts for both Purple Finch and Towers.
Form 990, Schedule G, Part III, Gaming Dislcosures:During the year covered by this Form 990, the Museum engaged Granite State Poker Alliance, LLC (the "casino") to provide gaming and casino services on behalf of the Museum as third party, independent contractors. As part of this relationship, the Museum registered for and secured the necessary licenses to conduct gaming activities with the New Hampshire Lottery Commission. In this engagement, the casino was contracted by the Museum to host, operate, and run gaming events and games of chance on behalf of the Museum. The Museum did not pay any fees, leases, or rents to make use of the casino's facilities, equipment, and/or staffing resources, and was not involved with the running of the games; the casino collected all gaming revenues, kept the books and records for the charitable gaming days, and remitted the portion due to the Museum in accordance with NH Lottery regulations regarding charitable gaming activities. All net gaming revenues retained by the Museum were used in furtherance of the Museum's exempt activities.

Part I, Line 4aDuring the 2024 calendar year and during the period covered by this Form 990 tax return, Karen Graham served as the Museum's Interim Director and COO. Ms. Graham ended her term of service with the Museum in September 2024. During the 2024 calendar year and as reported within her 2024 Form W-2 wages, Ms. Graham received severance payments of $37,692. Such amounts were paid in accordance with her separation agreement with the Museum, and were subject to the Museum's compensation review and approval procedures. These severance payments have been included within Other Compensation as reported on this Form 990, Schedule J, Part II, Column B(iii).
Part I, Line 7From time-to-time and as deemed appropriate by the Organization's management and its Board of Trustees, the Museum may provide bonuses and other non-fixed payments based on measurable and objective performance metrics.
Form 990, Schedule J, Explanation of Related Organization Compensation:The Currier Museum of Art (the "Museum") was established out of a predecessor organization, the Currier Gallery of Art (the "Gallery," EIN: 02-0223322). During the period covered by this Form 990, the Gallery ceased to conduct any direct operations or activities and transferred all remaining net assets to the Museum, a successor entity organized as a non-profit corporation and recognized by the IRS as a 501(c)(3) public charity. In accordance with IRS Instructions for the Form 990, while this tax return covers the period from July 2024 through June 2025, compensation and benefits have been specifically reported based on Form W-2 and payroll filings for the 2024 Calendar Year. As a result, half of the year's reported compensation was paid by the predecessor-organization, with the other half, starting July 2024, paid by the successor-organization. All compensated individuals continued to serve in materially similar roles within both entities through this transitionary period, with similar responsibilities and compensation review, agreement, and approval processes. Accordingly, while this Form 990, Part VII, and Schedule J each report compensation paid by the Filing Organization and a Related Organization, the total compensation and benefits paid per individual were effectively in return for services rendered on behalf of the Currier Gallery of Art as an institution overall, through this transition period of moving the assets from a Charitable Trust to a Charitable Corporation.

Part I, Line 32b:The Museum uses a third-party broker to process and sell gifts of securities. From time-to-time the Museum may receive tangible gifts-in-kind as part of its charitable fundraising activities, such as prizes for auctions held as part of its annual gala or other events. Such non-cash gifts are recorded as donations received and then simultaneously expensed when disposed, as part of the Museum's fundraising efforts. Such gifts-in-kind do not include gifts of artwork or other artifacts that are retained by the Museum as part of its collections and exhibits.
Part I, Line 33:The dollar value of gifts of artwork is not reported on Form 990, Part VIII, Line 1G, as the Museum does not capitalize its collections or report them as revenue, as allowed under SFAS 116.

Form 990, Part III, Program Services:The Currier Museum of Art (the "Museum") was established out of a predecessor organization, the Currier Gallery of Art (the "Gallery," EIN: 02-0223322). During the period covered by this Form 990, the Gallery ceased to conduct any direct operations or activities and transferred all remaining net assets to the Museum, a successor entity organized as a non-profit corporation and recognized by the IRS as a 501(c)(3) public charity. The Museum, as a newly founded non-profit corporation, will continue the Gallery's charitable mission and programs without interruption, and has maintained all of the Gallery's assets in alignment with their previous charitable purposes. The creation and transition of all assets and operations into the new Museum occurred in July 2024, with the legacy Gallery concluding all administrative and filing wind-down activities effective June 30, 2025. Aside from this organizational and structural transition, this filing Museum advances and promotes the charitable mission and exempt purpose of its predecessor in a materially similar manner as was conducted before the transfer of net assets into this new non-profit corporate entity.
Form 990, Part VI, Section A, line 2Pamela Diamantis and Peter Milnes, who both served on the Museum's Board of Trustees during this tax year, also share a business relationship.
Form 990, Part VI, Section A, line 4During this tax year, the Organization has revised its mission statement as follows: "Our Mission: to be an art museum that is essential to New Hampshire, a source of pride for New England, and a model of innovative experiences."
Form 990, Part VI, Section B, line 11bThe 990 was reviewed and approved approved by the Finance Committee of the Board and the Director/CEO. The full board of trustees receives a copy of the Form 990 prior to filing.
Form 990, Part VI, Section B, line 12cThe museum's conflict of interest policy requires all trustees and officers to disclose any known or potential conflict of interest to the Board President prior to any decision or vote occurring with the potential conflict. Such trustees or officers are not permitted to participate when a decision or vote is taken on the matter. All Trustees are annually required to disclose in writing any conflicts of interest or to certify none exist.
Form 990, Part VI, Section B, line 15The Board of Trustees approves any change in pay of the Director/CEO. The Board of Trustees conducts an annual review of the performances of the Director/CEO. The President of the Board reviews salaries or directors of comparable institutions, found in 990s and the salary survey of the Association of Art Museum Directors, before recommending a change in pay to the full board.
Form 990, Part VI, Section C, line 19Governing documents, the conflict of interest policy, and financial statements are made available to the public upon request.
Form 990, Part XI, line 9:Transfer of assets from predecessor organization 96,969,139.
Form 990, Part XII, Line 2c:The Finance Committee of the Currier Museum of Art meets annually with its independent audit/CPA firm. The audit is completed in accordance with auditing standards generally accepted in the United States of America. The draft financial statements and management letter are presented by the CPA and thoroughly reviewed by the Finance Committee. After review and approval of the audited financial statements and any management letter by the Finance Committee, the final audit is presented to the full board for review and approval. This process has not changed from prior tax years.
