DescMedical, surgical, and various other services. Please see Schedule H.The Catholic Healthcare Trust ("CHT," f/k/a the Catholic Medical Center) was an agency of the Roman Catholic Church and provided health care in a manner consistent with the Ethical and Religious Directives for Catholic Health Care Services as interpreted by the Roman Catholic Bishop of Manchester. Throughout its existence, CHT employed the highest quality health care professionals and the most appropriate technology to deliver an array of services, either directly or through strategic alliances with compatible health care providers. With dignity and compassion, CHT treated the body, mind, and spirit of all who sought or provided care and comfort. Additional details are provided in Schedule H.Additionally, starting in January 2025, the Organization's operations consisted entirely of administrative and wind-down functions, as the majority of its assets and activities were transferred to the Healthcare Corporation of America (HCA), with any remaining net assets being contributed to a charitable foundation dedicated to furthering Catholic health care and human services. It is the position of the Organization that these wind-down procedures will ultimately lead to the more efficient and effective provision of care and health services in the Organization's community, thereby better fulfilling its mission to further Christ's ministry of health.Desc

ExplanationCatholic Healthcare Trust ("CHT") was a member of the New Hampshire Hospital Association (NHHA) and the American Hospital Association (AHA). A portion of the dues paid to these organizations in the fiscal year ending September 30, 2025, may have been available for lobbying expenditures on behalf of CHT in furtherance of its exempt purposes. At the time of filing this Form 990 tax return, the Organization is unable to determine an exact value of dues paid in this fiscal year, nor the portion of such dues used for lobbying purposes. However, based on historic payments and other communications from the Associations, the Hospital estimates that the portion of the dues used for lobbying by the American Hospital Association and the New Hampshire Hospital Association were, at most, approximately $18,000 and $33,000, respectively. Also in this fiscal year, the Organization paid the Diocese of Manchester for lobbying services, which included providing information regarding public policy pending before the legislature. The Diocese participated in the administrative rule-making process with respect to rules concerning the Certificate of Need Board, and it also provided general communication with elected officials on behalf of CHT and other affiliated entities. CHT estimates that, of the total amount paid to the Diocese in this fiscal year, $17,938 was directly or indirectly attributable to such lobbying activities.ExplanationTxt

Part IV, Line 2b:Effective at 12:00 a.m. on February 1, 2025, the Medical Center and certain affiliates completed the sale of substantially all assets to Manchester Health Services, LLC, a wholly-owned subsidiary of HCA, pursuant to the terms and conditions of a certain asset purchase agreement dated June 21, 2024, as amended on December 30, 2024 and January 30, 2025. Significant assets excluded from the transaction included the cash, accounts receivable as of the closing date and its equity interests in the Bedford Ambulatory Surgical Center. The proceeds from the sale and excluded assets were used by the System to pay-off the Medical Center's debt, with all remaining proceeds held to wind down the Medical Center's affairs, including, but not limited to, the management of excluded assets and satisfaction of unassumed liabilities and obligations with the remaining cash. Any net assets remaining after completion of the wind down of the Medical Center's affairs, will be used to fund a charitable foundation called Catholic Health Care Foundation of Greater Manchester (the Foundation) which will continue to support Catholic healthcare in the community. Pursuant to the asset purchase agreement, at least $40,000,000 is to be transferred to the Foundation over a two-year period after the close of the asset sale. This $40,000,000 amount is recorded as distributions to the Foundation in the financial statements and on this Form 990 for the Catholic Healthcare Trust's year ending September 2025. At September 30, 2025, the unpaid funding obligation of $32,000,000 is recorded as a Foundation funding obligation within the Catholic Healthcare Trust's liabilities, as reported on this Form 990, Part X, Balance Sheet, Line 21. The System paid an additional $12,000,000 to the Foundation subsequent to September 30, 2025.
Part V, Line 4:Proceeds from the Organization's endowment funds are used in operations.
Part X, Line 2:The Organization is part of the CHT Healthcare System. The System and all related entities, with the exception of Enterprises, are not-for-profit corporations as described in Section 501(c)(3) of the Code and are exempt from federal income taxes on related income pursuant to Section 501(a) of the Code. Management evaluated the System's tax positions and concluded the System has maintained its tax-exempt status, does not have any significant unrelated business income and had taken no uncertain tax positions that require adjustment to the consolidated financial statements.

Catholic Medical CenterPart V, Section B, Line 5: The Hospital's most recent Community Health Needs Assessment was for the year ending September 30, 2022 (tax year 2021). Subsequent to its affiliation with and integration into HCA, all hospital and healthcare-related services, as previously performed by the Catholic Healthcare Trust ("CHT," f/k/a Catholic Medical Center), are conducted by HCA. Accordingly, effective February 1, 2025, the Medical Center has ceased to directly conduct any hospital or healthcare-related services and has ceased operating as a state-licensed hospital, and exists solely as a holding organization to settle these closing, administrative, and wind-down procedures. Please refer to the disclosures on this Schedule H, Part V, Section B, Lines 4, 9, and 12, for additional information regarding the Organization's historical CHNA/CHIP reports. For the 2021 CHNA, a variety of secondary data sources were utilized. These included, but were not limited to, the Centers for Disease Control and Prevention (CDC), New Hampshire Department of Health and Human Services (NHDHHS), Youth Behavioral Risk Factor Surveillance Survey, City of Manchester data, U.S. Census data, and local municipal data.Representatives from CHT, Elliot Health System (EHS), the Manchester Health Department, and Dartmouth Health interviewed key leaders from towns within the service area to identify the principal health-related issues facing their local communities. The towns included in the interview process were Auburn, Bedford, Candia, Hooksett, Goffstown, Deerfield, and New Boston. Although the overall needs were similar, their prioritization varied among the communities. Common themes identified included substance use, the availability of behavioral health services, transportation challenges (particularly for elderly populations and residents of the more rural communities of New Boston and Deerfield), self-care and management of chronic disease, and access to health care for low-income populations and communities.Communications regarding community needs were collected through discussions with local leaders in the health care field. These leaders included representatives from the Catholic Healthcare Trust (historically known as Catholic Medical Center), Dartmouth Health, the Public Health Department of the City of Manchester, New Hampshire, Elliot Health System, and Community Health & Mission.
Catholic Medical CenterPart V, Section B, Line 6a: The Hospital's most recent Community Health Needs Assessment was for the year ending September 31, 2022 (tax year 2021).Elliot Health System in Manchester, NH, was the sole hospital facility to assist with this prior CHNA.
Catholic Medical CenterPart V, Section B, Line 6b: The Hospital's most recent Community Health Needs Assessment was for the year ending September 31, 2022 (tax year 2021).Manchester Health Department, Dartmouth Health, and Elliot Health System composed the non-hospital facilities to assist with this prior CHNA.
Catholic Medical CenterPart V, Section B, Line 7d: The Catholic Healthcare Trust (f/k/a the Catholic Medical Center) previously maintained "Healthy Living News", the Medical Center's community newsletter, which provided a summary report of the community benefits that the Medical Center supported. The Healthy Living News was distributed to the Center's primary and secondary service areas, approximately 120,000 people. The Hospital also kept physical copies of the CHNA and its Implementation Plan in its archives and records to be provided to the public upon request. Lastly, the CHNA and CHIP are also attached with the Hospital's Form 990 tax filings.
Catholic Medical CenterPart V, Section B, Line 11: Catholic Medical Center (now known as the Catholic Healthcare Trust ("CHT")) addressed the needs identified in the June 30, 2022 CHNA through the implementation of programs and services throughout the Manchester Health Service Area (HSA). Subsequent to its affiliation with and integration into HCA, all care and health services and assessments for this service area, as previously performed by the Organization, came under the responsibility of HCA.Mental illness and violence were often intrinsically intertwined. CHT expanded services within its Behavioral Health Department and developed the Opioid Use/Misuse Resource. This online tool was made available to all CHT staff to create consistency of care in the treatment and recovery of individuals affected by substance use disorder. Health Care for the Homeless (HCH) of CHT provided behavioral health services and substance abuse counseling to homeless individuals throughout the Manchester HSA. CHT also improved the mental health assessment tool utilized in Primary Care, a key component in the early identification and treatment of mental illness. The Doorway of Greater Manchester: In May 2020, CHT assumed leadership of The Doorway Program of Greater Manchester. The New Hampshire Doorway system was launched in January 2019 with funding from the State Opioid Response Grant administered through the U.S. Department of Health and Human Services' Substance Abuse and Mental Health Services Administration (SAMHSA) and was designed to serve as an access point for individuals seeking services for substance use disorder (SUD). SUD continued to be identified as a significant community need in the Greater Manchester Community Health Needs Assessment. Through operation of The Doorway, CHT assisted individuals with SUD by connecting them with clinical treatment and wrap-around services intended to help break the cycle of addiction.Wilson Street Integrated Health: Consistent with its mission of caring for the region's most vulnerable residents, CHT opened Wilson Street Integrated Health (WSIH), located within the Manchester Recovery and Treatment Center (MRTC). Wilson Street Integrated Health was a service of the Health Care for the Homeless Program of Manchester, a collaboration between CHT and the City of Manchester Health Department. The practice offered primary care, social work, counseling, and medication-assisted treatment to vulnerable patients, while also providing convenient access to MRTC partners, including Hope for New Hampshire Recovery, The Willows Substance Use Treatment Center, and the Mental Health Center of Greater Manchester's Mobile Crisis Response Team.Ambulatory care, chronic disease management, including asthma, and aging-related issues were addressed through various initiatives. CHT's Primary Care program implemented the Patient-Centered Medical Home (PCMH) Model, a proactive approach to preventive medicine through the use of care coordinators embedded within primary care practices. Care managers worked with high-risk patients, including those with asthma, diabetes, and COPD, to ensure they understood their medications and follow-up care requirements. The PCMH Model encouraged patients to become more involved and informed participants in their personal care plans. CHT offered free health screenings, chronic disease education programs, and self-management classes to the community. These programs provided opportunities for early detection of chronic disease, referral-based follow-up care, and education regarding healthy lifestyle behaviors, communication with health care providers, problem-solving, and goal setting. To support aging populations, CHT's Parish Nurse Program provided nursing consultations, education, referrals, and health screenings at parishes throughout the Greater Manchester area.To address barriers to health care access related to poverty, including lack of insurance, cost, transportation, limited education regarding health care access, and lack of a medical home, CHT provided comprehensive services to Manchester's underserved and refugee populations. Health Care for the Homeless provided primary medical care and behavioral health services to more than 1,700 homeless patients. CHT's Certified Application Counselors (CACs) provided outreach and enrollment assistance to uninsured members of the community. CACs furnished information regarding Qualified Health Plan (QHP) options and assisted individuals with enrollment through the Affordable Care Act Marketplace.CHT provided shuttle transportation services at no cost to patients attending off-site appointments, including primary care, outpatient physical therapy, and other services unavailable at the hospital campus. CHT also assisted patients through its Medication Assistance Program in obtaining medications they otherwise could not afford and developed a prescription delivery program with Rite Aid Pharmacy to assist patients in securing medications upon discharge.CHT's Poisson Dental Facility expanded access to oral health services for patients of the Pregnancy Care Center and Manchester Community Health Center (MCHC). The Poisson Dental Facility provided examinations, treatment planning, and oral health services for women receiving care through the Pregnancy Care Center, including services during the first postpartum year until completion of the prescribed treatment plan.CHT's Poisson Dental Facility also provided oral health services to nonprofit agencies within the community, including the Mental Health Center of Greater Manchester, Moore Center Services, the Manchester Health Department, and Health Care for the Homeless (HCH). Many HCH patients presented with significant oral health needs. In response to growing demand, CHT expanded dental services to include school-based dental care for underserved children attending elementary, middle, and high schools in Manchester. This initiative was made possible through collaboration with the City of Manchester Health Department and Easterseals NH.CHT's Fertility Education Program provided educational opportunities to teens in local schools and parishes through programs such as The Cradle Within, Ideal Dating, Sexual Risk Behavior, and Conflict Resolution. The program's goal was to equip adolescents with the skills necessary to identify healthy relationships and understand the benefits of choosing risk-avoidance behaviors. The Pregnancy Care Center provided supportive prenatal care to all women, including teens, regardless of ability to pay. Its mission was to improve pregnancy outcomes by serving individuals most in need and those unable to access services in a traditional prenatal care setting. The Pregnancy Care Center expanded its services through the addition of Centering Group Prenatal Care, a multifaceted model integrating health assessment, education, and support. These visits promoted patient engagement, personal empowerment, and community building.Veterans Support: In June 2018, Easterseals and CHT launched a pilot program that provided Easterseals Military & Veteran Services (MVS) care coordination services onsite for veterans, service members, and their immediate family members, including CHT employees at that time. Easterseals MVS provided care coordination services to veterans of all eras regardless of branch of service, active-duty status, length of service, or discharge status. Services included assistance with determining eligibility for military and civilian benefits, securing housing stability, and obtaining employment support. This program was subsequently transitioned to the Manchester VA.Breast and Cervical Cancer Screening: Regular screenings and follow-up care helped prevent or facilitate earlier treatment of breast and cervical cancers. The Let No Woman Be Overlooked Breast and Cervical Cancer Program provided eligible women throughout New Hampshire who lacked access to essential preventive care with free screening services.(Explanation continued in Part V, Facility Information.)
Schedule H, Part V, Section B, Line 16a-16c:Subsequent to its affiliation and dissolution into HCA, The hospital facility and its publication of financial assistance programs fell under the policies and management of HCA. Accordingly, at the time of filing this Form 990 tax return, the Financial Assisstance Policies of the former hospital are no longer applicable or available for current patients.HCA's own charity discount and financial assistance policies can be found online at:https://www.catholicmc.com/patient-resources/patient-financial-resources/financial-assistanceHCA's pricing and financial information can be found online at:https://www.hcahealthcare.com/patients/pricing-and-financial-informationHCA's patient financial support information can be found online at:https://www.hcahealthcare.com/patients/pricing-and-financial-information/patient-financial-supportThe Hospital's historic financial assistance policies and documents are available upon request.
Form 990, Schedule H, Part V, Section B, Lines 7 and 10:On September 26, 2023, the Catholic Healthcare Trust ("CHT," f/k/a the Medical Center), and by association its affiliated entities within the CHT Health System, executed a letter of intent with an affiliate of Healthcare Corporation of America (HCA) which provided a framework for the sale of substantially all the assets of the Medical Center to HCA. New Hampshire's attorney general approved the acquisition on January 6, 2025, and the parties closed and completed the transaction shortly thereafter.Upon the merger and affiliation with HCA, the Hospital's previous website was taken down, and with it the most recently published CHNA reports. As of the time of filing this Form 990, the Hospital is currently working towards uploading the most recent CHNA and Implementation Plan to a new website, to make such reports more widely available. However any such new websites may not be fully ready and updated by the Form 990 filing deadline. Additionally, the Hospital still has physical copies of the CHNA in its records and available to the public upon request.
Form 990, Schedule H, Part V, Section B, Lines 4, 9, and 12:Over the past several years, the Organization has been exceedingly resource strapped from both a financial and a personnel standpoint and has, therefore, not been able to respond to the community needs assessment in the manner to which it has strived in the past. Additionally, the Hospital has not been able to publish a comprehensive implementation strategy in recent years; the Hospital last published updated CHNA and CHIP reports during its fiscal year ending 2022 (tax year 2021).Additionally, In September 2023, the Medical Center began negotiations with an affiliate of Healthcare Corporation of America (HCA) to sell substantially all the Medical Center's assets. The disposition agreement was effectuated as of January 2025, at which time the Organization ceased to operate as a state-licensed hospital, and all patient services and operations were moved into HCA. As of the end of this tax year, the hospitals only remaining going concern is the administration of its final wind-down and termination procedures. While new, formal CHNAs or CHIPs have not been published, in addressing the Hospital's community's significant needs, the Organization continued to operate as a functional hospital through the affiliation with HCA. Furthermore, the association with HCA was deliberately structured so that patient and community services were not interrupted, and so that HCA could continue offering much of the same public benefits previously performed by the Organization directly. Lastly, while the Organization has not published new CHNAs or CHIPs since the previous iterations, such past reports were finalized in June 2022. As the Organization affiliated with HCA in January 2025, and as this affiliation ended the Organizations requirement to publish or update its regular CHNA or CHIP reports (or even file Form 990, Schedule H), the delay in any new reports is likely to have no to only a nominal impact on public health awareness.

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Part I, Line 7:Catholic Medical Center (the Hospital) has several hospital clinical services and hospital-owned physician practices. In accordance with the IRS Instructions for Form 990, Schedule H, Worksheet 6, organizations may include any applicable physician practice that the Hospital subsidizes (i.e., operates at a loss) in the preparation and completion of Schedule H. Therefore, the Hospital has included the following hospital clinical services and hospital-owned physician practices that operate at a loss (i.e., are subsidized by the Hospital) and the associated costs of these practices: a. Provider Based FQHC b. Clinic c. Behavioral Health Services d. Obesity Treatment Center e. Woundcare f. Pain Management Clinic g. Phsyican Private Offices h. Non Provider Based FQHCThe above-listed hospital clinical services and hospital-owned physician practices have a community benefit (i.e. aggregate loss or subsidy from the Hospital) of approximately $1.54 million. In addition, this community benefit does not take into account bad debts, charity care, or contractual adjustments. Thus, this community benefit of approximately $1.54 million is a conservative figure that reconciles to the community benefit information reported on this IRS Form 990, Schedule H, Part I, Line 7g, Column e.Form 990, Schedule H Instructions and guidance contain a template (Worksheet 2) that may be used to determine the overall cost-to-charge ratio that could be applied throughout Schedule H in order to convert care-charges to cost. Where applicable, the Hospital has utilized Worksheet 2 for various calculations. The only areas where Worksheet 2 was not utilized for Part 1, Line 7, were the following:a. Schedule H, Worksheet 6, Subsidized Health Services (the supporting worksheet for Part I, Line 7g): the Hospital did not utilize Worksheet 2 when calculating the percentage used to determine the profit or loss of each hospital clinical service and hospital-owned physician practice. Instead, when compiling the subsidized hospital clinical services and hospital-owned physician practices listed in Line 1c, the Hospital utilized the actual estimated costs on the modified Medicare cost report instead of applying the Worksheet 2 cost-to-charge percentage. b. Schedule H, Worksheet 3, Unreimbursed Medicaid and Other Means Tested Government Programs (the supporting schedule for Part I, Lines 7b and 7c); and Worksheet 6, Medicaid Allowable Costs for Subsidized Health Services, listed in Line 1c above (which is part of the line 7g costs): the Hospital did not utilize the Worksheet 2 percentage when calculating the Medicaid allowable cost. Instead, the Hospital utilized the actual Medicaid filed cost report for the allowable costs.
Part I, Line 7, Column (f):The Bad Debt expense included on Form 990, Part IX, Line 25, Column (A), but subtracted for purposes of calculating the percentage in this column is $ 6,123,552.
Part II, Community Building Activities:While an operating hospital, the Catholic Healthcare Trust ("CHT," f/k/a Catholic Medical Center) participated in a wide range of community building activities, committees, boards, and partnerships to promote the health of the communities it serves, including USNH, Granite United Way, and New Hampshire Catholic Charities, among others. The Medical Center sponsored emergency service efforts through planning hours for emergency preparedness and bioterrorism preparedness safety management.Subsequent to its affiliation and dissolution into HCA, many of the community building activities previously conducted by the Hospital directly are now conducted by HCA or other community groups and organizations.
Part III, Line 2:The Hospital utilized Worksheet 2 from the IRS Schedule H Instructions and guidance to determine the ratio of patient care cost-to-charge (23.47% for fiscal year 2025). The Hospital then multiplied this ratio by the Hospital's total bad debt expense of $6,123,552 to determine the Part II, Line 2, Bad Debt Expense of $1,437,190.
Part III, Line 3:Patients deemed eligible for financial asssistance follow CHT's former charity care policies. Therefore, no bad debt expense related to patients eligible under the Hospital's financial assistance policy is included as a community benefit.Subsequent to its affiliation with HCA, all collection practices for past, ongoing, and future patient services became subject to the oversight and policies of HCA.
Part III, Line 4:See Footnote 2 on Page 11 of the attached audited financial statements.
Part III, Line 8:IRS Instructions and guidance for Form 990, Schedule H, contain a template (Worksheet 2) that may be used to determine the overall cost-to-charge ratio. This ratio may then be applied throughout Schedule H to convert care charges to cost. Where applicable, the Hospital has utilized Worksheet 2 for various calculations. The only areas where Worksheet 2 was not utilized for Part III, Line 8, was in determining Schedule H, Worksheet B, Line 2 & 6, Medicare Allowable Costs and Payments Related to Subsidized Health Services: The Hospital utilized the Medicare cost report estimated cost and payment for these services. The Hospital believes that its hospital clinical services, hospital-owned physician practices, emergency room, and home health agency (as listed on this Schedule H) should be considered a community benefit, as community members benefit by having easy access to these services, facilities, and programs which are both offered and subsidized. These facilities and programs are offered and thus subsidized through the Hospital. The entire Medicare shortfall is reported in our Community Benefit Report to the State of New Hampshire. The Medicare shortfall represents costs incured by the Hospital for providing care to Medicare patients in the Hospital's service area that were not reimbursed by the federal government. The Hospital considers this amount to be a significant shortfall for providing healthcare-related services to these patients which ultimately benefits the community it serves.
Part III, Line 9b:The Catholic Healthcare Trust ("CHT," f/k/a the Catholic Medical Center) was a charitable healthcare organization that treated patients for emergency or medically necessary care regardless of their financial status.Historically, CHT's Collections Policy and Procedures addressed the procedures for patients who chose not to make payment or work with CHT to make payment arrangements for their bills. The policy contained specific language that applied to those patients who qualified for financial assistance. CHT suspended collection activities when a patient submitted a completed financial assistance application. CHT made reasonable efforts to determine whether an individual was eligible for financial assistance under its Financial Assistance Policy (FAP). In order to determine whether a patient was eligible for financial assistance, CHT provided written notice indicating the availability of financial assistance, provided a plain-language summary of the FAP, and attempted to notify the individual orally about the FAP and how the patient could obtain assistance with the application process. CHT also published the policy on its website, at patient registration locations, and provided notice to the community.Subsequent to its affiliation with HCA, all collection practices for past, ongoing, and future patient services became subject to the oversight and policies of HCA.
Part VI, Line 2:The Hospital's most recent Community Health Needs Assessment was for the year ending September 30, 2022 (tax year 2021). Subsequent to its affiliation with and integration into HCA, all care and health services and assessments for this service area, as previously performed by the Organization, were to be conducted by HCA, to the extent HCA was required to do so. The following information therefore pertains to the Hospital's most recent assessments conducted before the affiliation with HCA.In collaboration with the City of Manchester and other health care and social service agencies, the Catholic Healthcare Trust ("CHT," formerly known as Catholic Medical Center) participated in a community needs assessment as required by the New Hampshire Attorney General's Office, Division of Charitable Trusts. As hospitals are required to assess the needs of their communities every three years, CHT completed a 2022 (tax year 2021) Needs Assessment, which was approved by the Board and made widely available to the public during the fiscal year covered by the Hospital's 2021 Form 990. The previous Needs Assessment was completed in fiscal year 2019 (tax year 2018) by CHT and Elliot Hospital of the City of Manchester.Additional information was obtained on an ongoing basis to assist the Organization in evaluating progress toward meeting its goals and identifying new areas of need. This information was collected through community surveys, focus groups and discussions with community leaders, program evaluations, and communications with individuals in the community who interacted with vulnerable populations.
Part VI, Line 3:Patients were notified of the Catholic Healthcare Trust's ("CHT," f/k/a Catholic Medical Center) FAP via notices upon registration, discharge, postings to our website, in the hospital, and physician practices. Signage is posted throughout the Hospital and physician practices highlighting CHT's financial assistance. CHT also communicated the policy to the community via mailings and other postings in relevant local support organizations. CHT also contacted patients verbally to inform them of the programs available.Subsequent to its affiliation and dissolution into HCA, The Hospital's facilities and its publication of financial assistance programs fell under the policies and management of HCA.
Part VI, Line 4:While an operating hospital, the Catholic Healthcare Trust's ("CHT," f/k/a Catholic Medical Center) primary service area consisted of the following towns and cities: Allenstown, Auburn, Bedford, Goffstown, Hooksett, Manchester, and New Boston. Our secondary service area is made up of Amherst, Concord, Derry, Litchfield, Londonderry, Merrimack, Milford, Nashua, Peterborough, Raymond, Salem and Weare.
Part VI, Line 5:the Catholic Healthcare Trust ("CHT," f/k/a Catholic Medical Center) was involved in numerous community initiatives to improve the health outcomes of our community, including, but not limited to the following: - DSRIP 1115 Waiver, N4H a federally funded program with the state of New Hampshire to transform care by integrating primary and behavioral health care to improve health outcomes; - A collaboration with The Manchester Health Department, Easter Seals, and CHT to provide school-based dental care to school-aged children in need, including the following programs: 500 Cities initiative with CHT's Parish Nurse Program and Manchester Health Department to offer assessments and services to high risk populations located within neighborhoods; - Primary care, specialty care and care coordination the homeless population via the HRSA grant; - Medication Assistance Program offering free or reduced cost medication through the pharmaceutical companies and other low cost resources; - And emergency bioterrorism preparedness safety management.Subsequent to its affiliation and dissolution into HCA, many of the community health promotion activities previously conducted by the Hospital directly are now conducted by HCA or other community groups and organizations.
Part VI, Line 6:Prior to its affiliation and dissolution into HCA, the Catholic Healthcare Trust ("CHT," f/k/a Catholic Medical Center) operated as part of CMC Healthcare System (now known as the CHT Healthcare System). Under the System, CHT offered a range of healthcare services to the community. The System included CHT as a licensed, 330 bed full-service, acute care hospital, physician practices, general care surgical capabilities, and advanced care for cardiac needs. The Hospital offered full medical-surgical care with more than 25 subspecialties, comprehensive orthopedic care, inpatient and outpatient rehabilitation services, a 24-hour emergency department, outpatient behavioral health services, and diagnostic imaging. In addition, the Hospital had the Special Care Nursery which was a state-of-the-art neonatal facility designed to meet the distinct needs of our babies and their families. The Hospital was also home to the nationally recognized New England Heart and Vascular Institute (NEHVI), which provides a full-range of cardiac services, and is a pioneer in offering innovative surgical procedures. The Institute is also a national center for advanced clinical trials and cardiovascular rehabilitation and wellness education to help patients recover in a multi-step program of exercise, education, risk factor management, and the development of healthy lifestyles. The System also participated in two joint ventures, Bedford Ambulatory Surgical Center and Alliance Urgent Care Services, through its wholly-owned entity, and Alliance Ambulatory Services through the Granite Health Network.Through its lifetime as an operating hospital, CHT maintained a deeply rooted history of providing care to those most in need through the Community Health and Mission department. CHT reached beyond the walls of the hospital and into the community, assisting underserved individuals with health information and access to care. Community Health and Mission provided a wide variety of education, clinical services and resources for those in our primary and secondary markets. It was the home of the Pregnancy Care Center, the Poisson Dental Facility, the Health Care for the Homeless program, and the Parish Nurse program. We provided medication assistance, breast and cervical cancer screenings, and health screenings.Subsequent to its affiliation and dissolution into HCA, many of the affiliated entities within the CHT Healthcare System have been dissolved, and any remaining patient care-related assets, interests, or activities have been transferred into HCA.

Form 990, Part III, line 3In September 2023, the Organization (f/k/a the Catholic Medical Center) began negotiations with an affiliate of Healthcare Corporation of America (HCA) to sell substantially all the Medical Center's assets. Following due diligence and negotiations, an asset purchase agreement was executed by the Medical Center, certain affiliates of the System, and HCA on June 21, 2024. The required Joint Notice to the Director of Charitable Trusts pursuant to New Hampshire Revised Statutes Annotated (RSA) 7:19-b was filed on June 28, 2024, initiating the State of New Hampshire's 180-day review period. The review period expired on December 24, 2024, but was mutually extended by the Medical Center and the Director of Charitable Trusts to January 9, 2025. In addition to state regulatory approval, the asset purchase agreement contained a number of other conditions to close including, but not limited to, approval by Holy See (granted on December 6, 2024) and approval by New Hampshire's Attorney General (granted on January 6, 2025). Effective February 1, 2025, the Medical Center and certain affiliates completed the sale of substantially all assets to Manchester Health Services, LLC, a wholly-owned subsidiary of HCA, pursuant to the terms and conditions of a certain asset purchase agreement dated June 21, 2024, as amended on December 30, 2024 and January 30, 2025. Significant assets excluded from the transaction included the cash, accounts receivable as of the closing date, and its equity interests in the Bedford Ambulatory Surgical Center. The proceeds from the sale and excluded assets were used by the System to pay-off the Medical Center's debts, with all remaining proceeds held to wind down the Medical Center's affairs, including, but not limited to, the management of excluded assets and satisfaction of unassumed liabilities and obligations with the remaining cash. Any net assets remaining after completion of the wind down of the Medical Center's affairs, will be used to fund a charitable foundation called Catholic Health Care Foundation of Greater Manchester (the Foundation) which will continue to support Catholic healthcare in the community. Accordingly, effective February 1, 2025, the Medical Center has ceased to directly conduct any hospital or healthcare-related services and has ceased operating as a state-licensed hospital, and exists solely as a holding organization to settle these closing, administrative, and wind-down procedures.
Form 990, Part VI, Section A, line 4During the tax year, the Organization filed an Affidavit of Amendment to its Articles of Agreement with the New Hampshire Secretary of State. The amendment resulted in the following significant changes to the Organization's governing documents: 1. Corporate Name Change: The legal name of the Organization was changed to the Catholic Healthcare Trust ("CHT"), and the amendment reflecting the new corporate name was duly filed and accepted by the New Hampshire Secretary of State. 2. Change in Sole Member: The amendment updated the identity of the Organization's sole member as set forth in the Articles of Agreement, to be the CHT Healthcare System. (CHTHS was previously known as the CMC Healthcare System, and CHTHS retains the same rights and responsibilities over CHT that was held by the sole member under its former name. Please refer to the footnotes on this Form 990, Schedule O, Part VI, Lines 7a and 7b for additional information.)
Form 990, Part VI, Section A, line 6The sole member of the Organization is the CHT Healthcare System.
Form 990, Part VI, Section A, line 7aAs put forth in the Catholic Healthcare Trust's ("CHT") current and effective bylaws as of the end of this Form 990 reporting period, CHT Healthcare System ("CHTHS"), as CHT's sole member, reserves certain powers and control over the composition of CHT's governing body, including the following: 1. The appointment of each trustee to the CHT Board of Trustees; 2. The removal of any trustee from the CHT Board of Trustees; 3. While any Trustee may be removed, with or without cause, at any time, by a two-thirds (2/3) vote of those present at a duly called meeting of the Board of Trustees of CHT, such a vote is subject to the review and approval of CHTHS; 4. The CHT Board of Trustees' appointment or reappointment of the CHT President and Chief Executive Officer ("CEO"); 5. CHT's Board Chair shall be appointed by CHTHS, subject to approval by the Bishop; and 6. CHT's Board Vice Chair shall be appointed by CHTHS alone.
Form 990, Part VI, Section A, line 7bAs put forth in Catholic Healthcare Trust's ("CHT") current and effective bylaws as of the end of this Form 990 reporting period, CHT Healthcare System ("CHTHS"), as CHT's sole member, reserves power and control over CMC's governance and operations, including the following: 1. Any repeal, alteration or amendment of the Articles of Agreement or Bylaws of CHT; 2. Any change in the philosophy, objectives or purposes of CHT or its ethical religious standards; 3. Any dissolution or liquidation of CHT; 4. Subject to canonical requirements, the authorization of debt incurred, assumed or guaranteed; the conveyance, sale, purchase, lease of, disposition, mortgage, lien or encumbrance of any real property assets; and/or the authorization of a capital investment in excess of $3,500,000; 5. Any merger with or consolidation of CHT into another entity, or the acquisition by CHT of substantially all of the assets of another entity or the sale or lease of substantially all of the assets of CHT to any person or entity; 6. Any creation of an affiliate or subsidiary organization, or any affiliation of CHT with any other entity for the purpose of the joint conduct of business or other programs, whether in the form or participation in a corporation (either through the holding of stock or membership), partnership, joint venture, co-tenancy or any other form of ownership or control; 7. Subject to canonical requirements, the adoption of the annual capital and operating budgets; and 8. Approval of any strategic plans or material non-clinical programming and marketing plans; including material modifications thereof.
Form 990, Part VI, Section B, line 11bOn September 26, 2023, the the Catholic Healthcare Trust (f/k/a the Catholic Medical Center), and by association its affiliated entities within the CMC Health System, executed a letter of intent with an affiliate of Healthcare Corporation of America (HCA) which provided a framework for the sale of substantially all the assets of the Medical Center to HCA. New Hampshire's attorney general approved the acquisition on January 6, 2025, and the parties closed and completed the transaction shortly thereafter. Through this period, the Organization retained an independent public accounting firm to perform an audit of its financial statements for the periods ending September 30, 2024 and 2025, and to prepare the System and affiliates' annual Forms 990. Additionally, and as was partially reported on prior year tax returns, the Organization's previous Board has now significantly reduced in size. However, those individuals who continue to serve on the Organization's Board and/or who fulfill management and oversight responsibilities remain intimately familiar with the Medical Center's financial and tax reporting obligations. Furthermore, the audit and Form 990 were still subject to the same general level of professional scrutiny and expertise as from before the affiliation agreement, and the audit and Form 990 were still conducted and prepared in coordination with the standing key finance personnel, advisors, and executives, including those overseeing the wind-down and transition processes. Additionally, the Form 990 was made available to the Board of the Catholic Healthcare Trust, the successor charitable entity of the Catholic Medical Center.
Form 990, Part VI, Section B, line 12cOfficers and directors are required to complete a conflict of interest questionnaire annually.
Form 990, Part VI, Section B, line 15Historically, CHT utilized a compensation committee of the Board of Directors to establish compensation levels and determine bonus opportunities for its senior leadership team. The committee was assisted by an independent consultant who surveyed similarly sized and performing institutions to benchmark relevant salary ranges for each position. The consultant's findings were presented to the compensation committee, which considered that external data together with actual performance against a list of pre-established goals for senior leaders in determining compensation levels and bonus amounts. Bonus amounts were determined based on the extent to which an executive achieved a predefined set of goals. These goals generally were tied to the achievement of specific tasks or projects. Some goals were also linked to overall financial performance and mission performance, rather than solely to revenue generation. Effective January 2025, upon the completion of the Catholic Healthcare Trust's and its related entities' affiliation with HCA, the CHT System ceased maintaining any employees, and therefore no longer directly compensates executives or other personnel.
Form 990, Part VI, Section C, line 19The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public as required by applicable law.
Form 990, Part XI, line 9:Pension related changes net of periodic costs 21,483,433. Change in fair market value of perpetual trust -196,454. Net transfers (to)/from affiliates 274,597. Wind-down adjustments to restricted net assets -2,049,893. Net adjustments of due to/from balances -846,747.
Form 990, Part XII, Line 2c:On September 26, 2023, the Catholic Healthcare Trust (f/k/a the Catholic Medical Center), and by association its affiliated entities within the CMC Health System, executed a letter of intent with an affiliate of Healthcare Corporation of America (HCA) which provided a framework for the sale of substantially all the assets of the Medical Center to HCA. New Hampshire's attorney general approved the acquisition on January 6, 2025, and the parties closed and completed the transaction shortly thereafter. Through this period, the Organization retained an independent public accounting firm to perform an audit of its financial statements for the periods ending September 30, 2024 and 2025. As of the year ending September 30, 2025, the Organization and its affiliates are now largely known as the Catholic Health Trust ("CHT") Healthcare System and Subsidiaries, and its operations consist of completing its wind-down and dissolution activities. As a result, the entire System was audited in aggregate for this tax filing year. Furthermore, the audit was still subject to the same general level of professional scrutiny and expertise as from before the affiliation agreement, and the audit was still conducted in coordination with the standing key finance personnel, advisors, and executives, including those overseeing the wind-down and transition processes.
Form 990, Schedule B, Schedule of Contributors:Effective February 1, 2025, the Medical Center and certain affiliates completed the sale of substantially all assets to Manchester Health Services, LLC, a wholly-owned subsidiary of HCA. (Additional details regarding the sale agreement can be found in the other disclosures on this Form 990, on Schedules H, N, and O.) As a result of this sale agreement and the Medical Center's subsequent wind-down of its patient services and other management operations, the majority of the Medical Center's former finance personnel are no longer available or easily contacted, and the majority of the Medical Center's legacy donor datasets and documents are no longer available at the time of filing this Form 990. The Medical Center has made multiple attempts through its wind-down consultants and legal counsel to request major gifts and donor information for the year ending September 30, 2025, to adequately prepare Schedule B for the Complete Copy of this Form 990. However, due to the inherent limitations in the information available to the Medical Center, it is possible that some contributors who donated more than $5,000 in this tax year have been inadvertently excluded from this tax year's Schedule B. The Medical Center has made every reasonable effort to obtain all relevant information to complete this Form 990's Schedule B, and any omission of donors is only due to the limited information available to the Medical as it undergoes wind-down procedures. In due course, as the Medical Center satisfies its own wind-down obligations, all remaining assets within the Catholic Healthcare Trust will either also be transferred into HCA, or donated to the Catholic Healthcare Foundation, a charitable entity designed to advance Christ's ministry of health. Accordingly, it is not anticipated that the Medical Center will have any reportable contributors in future tax years through its wind-down procedures, following this year ending September 30, 2025.
