IdentifierQualified Retirement PlanIdentifier
Return ReferenceSchedule J, Part I, Line 4BReturnReference
ExplanationThe following individuals have an amount included in Schedule J, part II, Column (c) for an amount accrued but not vested under a supplemental retirement plan ("SERP") - Patrick Magoon $322,280 Paula M. Noble $129,159 Edward Ogata, MD $379,048 Donna Wetzler $112,184 Benefits accrued under the SERP are nonvested forms of deferred compensation that fund the employee's eventual retirement benefit. These benefits are provided in exchange for all of the employee's years of service to the organization. The amounts are at risk and will not be paid unless the employee provides substantial future services. Benefits under the SERP vest at age 62. If the employee were to have left the organization voluntarily during the year for which these amounts are being reported, the benefits would not have to be paid (except at the sole discretion of the board, and only if the participant has reached at least age 55 and has 10 years of service). Participants who are less Than age 55 and who voluntarily terminate employment forfeit their entire SERP benefit upon termination. Thomas Sullivan vested in supplemental retirement benefits under the SERP, and therefore had SERP benefits included in his taxable income of $898,309. The vested and taxable amount represents the value of benefits earned over many years of service to the organization, and which became vested and taxable in 2009. These benefits were subject to a substantial risk of forfeiture before 2009. Of the amounts reported on the 990, $669,098 was already reported on prior year forms. This amount is reported in Schedule J-1, column (F).Explanation

Program Service AccomplishmentsForm 990, Part III, Line 4aThe Children's Memorial Foundation ("Foundation"), an Illinois not for profit corporation and an organization described under Section 501(c)(3) of the Code, is responsible for fundraising for The Children's Memorial Medical Center ("Parent")(FEIN 36-3357004), the Foundation's sole corporate member, and the Parent's affiliated tax-exempt organizations. Gifts received by the Foundation are available for distribution to The Children's Memorial Hospital ("Hospital"), Children's Memorial Research Center, and to the other tax-exempt affiliates of the Parent, as appropriate, or as may be designated by the donor. The Foundation seeks to secure the financial resources the Hospital and its affiliates need to remain a leader in pediatric health care, research, education and advocacy. The Foundation's fundraising activities include programs to develop major gifts, leadership gifts, planned giving and annual gifts. The Foundation receives fundraising support from more than 25 fundraising organizations and an active team of volunteers to cultivate and secure contributions that advance the mission of the Hospital and its affiliates. These organizations devote fundraising efforts entirely or in part to the Hospital and its affiliates. Fundraising appeals by such organizations are coordinated with the Foundation's fundraising activities in order to avoid conflicting solicitations and to focus support on identified priorities. In addition to the fundraising efforts described above, in connection with the decision to construct a new state-of-the-art hospital, the Boards of Directors of the Parent and the Hospital unanimously resolved that the Hospital, through the Foundation, undertake a comprehensive fundraising campaign for construction of a new hospital and to support medical research and other programs critical to the Hospital's mission. It is because of this substantial capital campaign that the Foundation's historically modest fundraising expenses have increased accordingly. Contributions and grants received and reported in Part I and Part VIII of Form 990 include unrestricted funds and certain restricted dollars. The restricted dollars reported by the Foundation relate specifically to fundraising events managed by the Foundation on behalf of the Hospital. The Fundraising Event breakdown is reflected on Schedule G of the Foundation return. All other restricted contributions and grants raised by The Children's Memorial Foundation are reported by The Children's Memorial Hospital FEIN 36-2170833. For additional information please see the FY 2010 Form 990 of The Children's Memorial Hospital.
