DescriptionFunding of operations at Providence St Vincent Medical Center and PH&S-Oregon.2010 Projects Supported with Foundation Grants:* Some 2.5 million Americans have atrial fibrillation (a-fib), an irregular heart rhythm that can progressively damage the heart and can cause stroke. Thanks to the vision and generosity of Dick and Jeanie Reiten, the Reiten Family Heart and Vascular Diagnostic Center was completed within Providence Center for the Advanced Treatment of Atrial Fibrillation. The Reiten facility enhances the diagnostic capabilities and patient experience within the a-fib center, located at Providence St. Vincent Medical Center, and helps Providence set the pace in cardiovascular care. * Neurologists from Providence Stroke Center can now be "in the room" with patients who are hundreds of miles away, thanks to telestroke. This novel new technology provides a secure two-way videoconferencing system that should dramatically improve the treatment and outcomes for stroke patients living in Oregon's rural communities. Gifts to Providence Brain Institute have established Providence Telestroke Network in 11 community hospitals, and ambitious plans for expansion are under way.* Thanks to the energy of founders Amy Paterson and Melissa Moore, and generous support from hundreds of donors, the child care center known as My Little Waiting Room opened with much fanfare in April 2010. This innovative drop-in center, located in the East Pavilion lobby, offers free on-site child care as a service to parents receiving medical treatment. Operated by Volunteers of America, My Little Waiting Room provided more than 5,500 hours of child care during nearly 3,000 child visits in 2010. * The Pollock Family Interventional Recovery Unit features a new look and an increased capacity to meet the needs of patients. The compassionate staff provides pre- and post-procedural care for patients undergoing many cardiac procedures, such as angiograms and pacemaker insertions, and consistently receives exceptional patient satisfaction scores. The unit was named in honor of Don and Gail Pollock for their longstanding and generous support of heart programs at Providence St. Vincent Medical Center.Living Our Mission . . .Charity CareThe economy continues to struggle and unemployment is still high. Quality and affordable health care is an essential need for all people. St. Vincent Medical Center experienced an increase from $50 million in charity care in 2008 to $55 million in 2009 - a 10% rise. Despite these challenging trends, we are committed to our Mission to serve the poor and vulnerable of our community, especially during times such as these. We have done so for 154 years and we will continue to do so. Community support for those less fortunate is vital to keeping our Mission alive.Center for Health Care EthicsEstablished in 2000, the Ethics Center strives to promote the fields of clinical ethics and palliative care through development and application of exemplary practices, particularly in the areas of clinical ethics consultation, palliative care education and cross-cultural competencies at the end-of-life. The Center's work has been recognized regularly, setting standards for Health Care Ethics not only at St. Vincent, but statewide, nationally, and now internationally. The work has earned the team the honor of hosting an international Ethics conference in May 2010, when ethicists from 26 countries will convene in Portland. The growing success has lead the Ethics Center team to be called upon more and more for support, increasing the need for staffing, services and foundation funding. A second full-time ethicist joined the regional ethics staff to serve growing needs in June 2010.My Little Waiting Room - Drop-In Child CareA lack of childcare is a major obstacle for many families seeking and receiving timely and professional medical attention. Providence St. Vincent is leading the way in this area, partnering with two dedicated community volunteers to open drop-in child care in early 2010 in the East Pavilion for those here for medical care. The center will allow more patients to make and keep their appointments, offer greater continuity of care and fewer treatment disruptions. We will be the pilot site and serve as a model for similar centers at other medical facilities.Cancer Support ServicesProvidence Cancer Center and its Ruth J. Spear Breast Center want to set the standards for cutting edge and compassionate care for patients and families. We provide free counselors and patient navigators and a "buddy" program linking newly diagnosed patients with survivors. At the same time, we have our eye on the future with an internationally-renowned cancer research program and a Breast Health Registry that measures outcomes and will help connect the care experience for patients and care providers. Preparing for the Future . . .Heart and Vascular InstituteHeart and Vascular treatment continues to evolve at a rapid pace and with Foundation support, the Heart & Vascular Institute intends to be at the forefront of care. * A new minimally invasive surgical procedure that will revolutionize the replacement of failing heart valves is entering clinical trials. With funding, a new Center for Valvular Heart Disease will be launched with a dedicated Medical Director and support staff to provide the training, research and infrastructure needed for success in this hybrid procedure. Estimated $3 million goal over three years.* Arrhythmias (abnormal heartbeat) can seriously compromise quality of life. As one of the Top 100 cardio hospitals in the nation, St. Vincent is a leader in treating patients with this challenging condition. Because of demand on services, we need to expand the Center for the Advanced Treatment of Atrial Fibrillation to more effectively provide a multidisciplinary approach to diagnose, treat and educate patients with arrhythmias. This $3.8 million project needs another $2.1 million in support. * In 2009, we reopened our cardiac rehabilitation center for patients recovering from heart surgeries. The center is outfitted with specially designed exercise equipment and staffed by trained health professionals who plan routines for patients to regain their quality of life. The annual operation need is $300,000.Research & Education . . .Providence Brain InstituteProvidence Brain Institute seeks to expand its research and educational outreach presence with key projects funded by individual support. * Providence Stroke Center is involved in critical research to learn why the incidence of death from strokes is so high in Oregon and to discover new and more effective drug and interventional therapies. * The Providence Telestroke Program will bring primary stroke center care to our medically underserved rural communities: Lives will be saved, patients will stay close to home in their community hospitals and local doctors, nurses and emergency medical teams will receive stroke care education. * Providence Cognitive Assessment Clinic seeks support for an innovative research study to develop a reliable method for diagnosing Alzheimer's disease long before symptoms are present. Early diagnosis is critical as disease modifying drugs in late stage clinical trials must be administered at the earliest opportunity.* Providence Multiple Sclerosis Center continues to develop the Pacific Northwest MS Registry project to improve and standardize care for MS patients. The incidence of MS in the Pacific Northwest is among the highest in the United States. The Registry, now with over 3,500 participants, will accurately estimate the prevalence and geographic distribution of MS patients and collect data for research studies to discover why the incidence of MS is so high. The MS Center is seeking funding for recruitment of Registry participants, ongoing analysis of Registry results, completion of the on-line textbook, and continuing education. The New Providence Institute of Orthopedic ExcellenceMuscle and skeletal conditions cost society more in money and disability than any other health concern. The total estimated costs to society for the care of these conditions in 2004 were $840 billion, according to the American Medical Association. The new Providence Institute of Orthopedic Excellence seeks to create a one-stop medical experience for patients by offering a complete line of services from diagnosis to treatment to rehabilitation. The physicians and researchers will also establish a patient registry to examine past outcomes and use this information to foster rapid adoption of practices nationally that offer best results, cost effectiveness and safety. The Institute will recruit staffing to coordinate all clinical research projects, and establish resident education in orthopedics and the opportunity to train fellows in orthopedic sub-specialties.Description

Form 990, Part VI, Section A, line 6The Corporate Member of the Foundation is Providence Health & Services - Oregon, a not-for-profit corporation.
Form 990, Part VI, Section A, line 7aThe Corporate Member has the power to approve the number of Directors, appoint the Board of Directors of the Foundation and remove such Directors at any time with or without cause.
Form 990, Part VI, Section A, line 7bThe following powers are reserved exclusively to the Corporate Member: * Adopt and amend the Articles of Incorporation and the Bylaws of the Foundation after consultation with the Foundation's Board of Directors * Approve the merger, consolidation, or affiliation of the Foundation with another corporation, organization or program, or the dissolution of the Foundation * Approve any strategic plan of the Foundation * Approve the annual fundraising plan including special events, annual, capital and planned giving activities * Approve the acceptance of any gift that carries conditions or limitations or any gift restricted to services, programs or facilities not currently offered or approved to be offered by the Corporate Member's Board * Develop and implement investment policies and/or guidelines that will be used by the Foundation in determining appropriate investments
Form 990, Part VI, Section B, line 11The Form 990 is prepared internally by experienced staff and reviewed by the internal Director of Taxes and external tax advisors. The Foundation Director and signing Board Officer will review the Form 990 in detail. Once approved, an electronic copy of the Form 990 is emailed to the Board prior to filing with the IRS.
Providence Health & Services maintains a conflict of interest policy that applies to board members and management of all Providence-related organizations. The purpose of the policy is to guide and direct those serving the Providence Health & Services' corporations and other legal entities so they can (1) fulfill their fiduciary responsibilities and exercise stewardship in ways that promote and protect the best interests of Providence and, (2) avoid situations that create a conflict, or the appearance of a conflict, between the interests of an individual associated with Providence and Providence. On an annual basis, each board member and management level employee must complete and submit an updated conflict of interest statement. Conflict of interest disclosures are reviewed by the System Integrity Department working in conjunction with the Department of Legal Affairs. If it is determined that an actual conflict exists, appropriate follow-up action is taken with the individual to rectify the conflict.Form 990, Part VI, Section B, line 12c
It is Providence's intention to make financial information accessible and transparent. Although the filing of Form 990 provides insight into how Providence achieves its Mission, delivers its programs and stewards its finances, deciphering the information directly from Form 990 can be challenging. The following paragraphs provide further information about the process we use to determine compensation for top management, officers and key employees. Providence has a single fiduciary Board, with responsibility for financial oversight associated with fulfillment of the Providence Mission, developing system policies, protecting the assets entrusted to the organization and overseeing the strategic and operational affairs of Providence's legal entities. Providence also maintains a network of community ministry boards with responsibility for quality of care oversight, community relations, advocacy and community needs assessments. Providence has a consistent compensation philosophy for all of its employees, including our senior executives. Salaries for senior executives are determined by the Providence Boards Human Resources Committee and approved by the full Board of Directors, none of whom is a Providence employee. The Board retains an independent consultant each year to review salaries of those in the most significant leadership roles in the organization. Part of the consultants role is to review an extensive array of compensation surveys of large, not-for-profit health care systems in the United States. Providence is one of the larger health systems in the country, and as such, the Board benchmarks executive compensation against other large, not-for-profit health systems whose revenue is similar to that of Providence. Base salaries for Providence executives are set at the median level of the market, as identified by the independent consultant and reviewed with the Human Resources Committee. Performance incentives allow executives to earn additional compensation if they achieve specific organizational and individual goals for furthering Providence operating principles - advancing the Providence Mission and core values, meeting benchmarks for charity care, achieving quality targets, delivering top-rated customer satisfaction, meeting employee satisfaction goals and reaching financial performance objectives. The Board of Directors conducts a thorough process to ensure performance incentives are aligned with appropriate practices for not-for-profit health care systems. The Board's process for executive compensation fully complies with IRS standards and mirrors the best practices recommended in the "Report to Congress and the Nonprofit Sector on Governance, Transparency, and Accountability" submitted to the Senate Finance Committee by the Panel on the Nonprofit Sector. The Foundation Executive Director is compensated by a related organization which uses a market based compensation program utilizing several independent third party compensation market surveys to establish pay ranges for the position. The related organization then establishes the individual rate of pay within the range based on relevant experience, skills and competencies. The rate offered to the Executive Director at the time of hire was determined through discussion between the Regional CEO, Regional Director of HR and the Administrative Director of HR. The ranges and rate of pay are reviewed on an annual basis by Regional HR.Form 990, Part VI, Section B, line 15
Public disclosure of governing documents, conflict of interest policy and 990 filings are made available to the public upon written request. The consolidated financial statements are available on our public Internet site www2.providence.org. All governing policies including the conflict of interest policy, as well as 990 filings are available to employees on the Intranet site.Form 990, Part VI, Section C, line 19
