| Form 990, Part VI, Section B, line 12c | Conflict of Interest Policy - Description of compliance monitoring i. Any NCF Board member or officer or employee who wants to spend or otherwise obligate NCF's resources and who stands to benefit from the resulting transaction, has a duty to first disclose that conflict of interest to the NCF Board of Directors. The disclosure should be made via the Chairman of the Board of Directors, or in his or her absence, via the Vice Chairman of the Board. ii. Following full disclosure of a possible conflict of interest, the Board of Directors shall discuss the matter and determine by vote whether a conflict of interest exists and, if so, the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict in keeping with God-honoring, ethical oversight, and with the goal of protecting NCF's best interests. Both votes shall be by a majority vote, without the presence or the vote of any interested director. iii. No member of the Board of Directors or officer shall participate in any discussion at a Board meeting or vote on any matter in which he or she or a member of his immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. When such a situation presents itself, the board member must announce his or her potential conflict of interest to the Board, disqualify himself or herself, and be excused from the board meeting until discussion is completed and a decision regarding the matter is made by non-biased, disinterested board members. The only exception is that he or she may be called upon by the presiding officer of the Board meeting to provide clarifying information, unless a disinterested board member objects, in which case a decision will be made by majority vote of the Board to exclude or permit the clarifying information. iv. Upon commencement of their service and at upon official adoption of this policy, a copy of this policy shall be given to all Board members and officers and employees who are in a position to make decisions about spending or otherwise managing NCF's resources. At that time, they shall sign and date that they have read and understood the policy and disclose in writing any exceptions to the policy that they are aware of. |
