Form 990, Part VI, Section B, line 11The completed Form 990 is reviewed by the school's Audit Committee. The return is made available to the entire governing body before being filed.
Form 990, Part VI, Section B, line 12cAll officers, directors, trustees, and key employees are required to disclose, at least annually, relationships that could give rise to conflicts. Reporting is done at several times during the fiscal and academic year. Each fall (September) trustees, officers, and key employees disclose any known or suspected conflicts on a written Conflict of Interest Disclosure Form. Forms are collected at a regularly scheduled Board meeting and reviewed (by the audit chair) to identify conflicts. Additionally, several times during the year, trustees are polled at the start of board discussions that relate to executive compensation and other Board matters that might present conflicts of interest. Trustees are polled at the start of these discussions to declare any known or suspected conflicts. Declarations are noted in the Board minutes.
Form 990, Part VI, Section B, line 15The school has created a compensation committee, composed of trustees who have no conflict with respect to compensation and assisted by the school's independent legal counsel, to review executive pay and compensation. Annually, the committee reviews comparable executive salary and compensation data for the school's Head of School and Chief Financial Officer positions. The committee reviews compensation data from independent school databases for National, California, and Bay Area schools. Recommendations for HOS and CFO compensation, with supporting documentation, are presented annually to the governing Board for review and approval, as appropriate.
Form 990, Part VI, Section C, line 19The school makes its governing documents, conflict of interest policy, and audited financial statements available to the public primarily on a by-request basis. Documents and statements are available for viewing in the school's business office. Public inspection copies of the school's audited financial statements are also posted online at Guidestar.com.
