Part V, Line 4:Description of Intended Use of Endowment Funds:Endowment funds are used to further conservation work.
Part X:Description of Uncertain Tax Positions Under FIN 48:WWF adopted the provisions of FASB Interpretation No. 48 (FIN 48), Accounting for Uncertainty in Income Taxes (now codified as ASC 740-10), on July 1, 2007. Under FIN 48, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. The implementation of FIN 48 had no impact on the WWF's financial statements. WWF does not believe there are any material uncertain tax positions and accordingly it will not recognize any liability for unrecognized tax benefits. WWF has filed for and received income tax exemptions in the jurisdictions where it is required to do so. Additionally, WWF has filed Internal Revenue Service Form 990 and Form 990-T tax returns as required and all other applicable returns in those jurisdictions where it is required. WWF believes that it is no longer subject to U.S. federal, state and local, or non-U.S. income tax examinations by tax authorities for years before 2007. No interest or penalties were accrued as of July 1, 2007 as a result of the adoption of FIN 48. For the year ended June 30, 2010, there were no interest or penalties recorded or included in the statements of activities.
Part XI, Line 8 - Other Adjustments:Unrealized loss on interest rate swap: -5336524.
Part XII, Line 2d - Other Adjustments:Unrealized loss on interest rate swap: -5336524.

ExplanationAll grant agreement documents have payment provisions and terms and conditions for use of funds. Payments are made in incremental amounts for grants above $25,000 based on the cash flow needs of the recipient. After the initial payment, all subsequent payments are made after receipt, review, and acceptance of signed financial reports from the grantees. Final payments are made upon receipt and acceptance of final deliverables. All agreements, receipt of deliverables, and payments are tracked using a database designed for tracking of grants. All payments are documented in the accounting system. Grantee can only receive more funding than was in the original agreement budget through the issuance of an amendment document. For all government funded agreements, an expanded financial report is required from the Grantees. This includes monitoring adherence to donor requirements with emphasis on adherence to procurement requirements; use of an equipment, timesheets, and separate bank accounts if required. For high risk grantees, additional monitoring requirements are employed as applicable, such as copies of general ledgers, receipts, bank reconciliations, and site visits. Grantees receiving more than $100,000 are required to submit an annual (outside) audit. Grantees receiving government funding are subject to additional donor requirements, including project audits or expense verifications. If Grantees are subject to an OMB A-133 audit, WWF seeks confirmation of an unqualified audit opinion. If there are findings, a corrective action plan is developed in collaboration with the Grantee and monitored for improvement; documentation is requested as applicable. If issues remain, WWF will need to determine whether the issues can be mitigated. Termination remains the option of last resort and only in consultation with the General Counsel's Office; if action for termination is taken, it will be so noted in the tracking system.Explanation

Part I, Line 1aFirst-class or charter travel provided by WWF: In November 2009, Carter Roberts, President and CEO, was one of several passengers on a roundtrip charter flight from Winnipeg to Churchill. There were no commercial flight options on the date of travel. This trip was part of a field visit by staff and donors to see WWF's work in the Arctic and the impacts of climate change. In May 2010, Tom Dillon, Senior Vice President for Field Programs, was one of several passengers on charter flights within the country of Nepal. This trip was part of a field visit by staff and donors to see WWF's work on tiger conservation and to film footage for fundraising and education. Tax indemnification and gross-up payments: We had one gross-up payment related to relocations. Our Vice President for Human Resources, Jean-Claude Lalumiere, was provided grossed-up reimbursement in the amount of 1,122 for home leave expenses consistent with our international relocation policy.
Part I, Line 4aWWF maintains a 457(b) Deferred Compensation Plan for certain senior staff. Although WWF does not contribute funds to the Plan, employees can voluntarily make contributions from their salary. In FY10, the following employees contributed to the 457(b) plan: Marcia Marsh - COO ($16,500), Michael Bauer - CFO ($16,500), Terence Macko - Chief Marketing Officer ($7,495.44)
Part IIISchedule J-2, Part I: George Knight is the Chief of Party for the Coral Triangle Support Partnership, a consortium of three major NGOs working with USAID to support the Coral Triangle Initiative, a commitment by six governments to safeguard marine resources and ensure income and food security for the millions of people who depend on those resources.Supplemental Information

Form 990, Part VI, Section A, line 2A WWF Board member is a director of a public company that employs another WWF Board member.
Form 990, Part VI, Section A, line 4WWF amended its bylaws this fiscal year to change the name of a standing committee and to update the descriptions of the duties of certain officers.
Form 990, Part VI, Section B, line 11WWF's Finance department gathers information from various departments within the organization and prepares the draft 990 with the assistance of our external auditors. The draft is reviewed by the CEO and Chief Operations Officer. The Chief Financial Officer reviews the 990 with the Chair of the Board's Audit Committee, after which, and prior to filing, the 990 is made available to our full Board of Directors for review.
Form 990, Part VI, Section B, line 12cWWF's Conflict of Interest policy is provided to all new Directors and employees at the start of their association with WWF, and is provided annually to each individual thereafter. It is included in the WWF Board Handbook and in Board and staff orientation materials; is available to all staff on WWF's intranet site; and is featured at periodic trainings by the legal department. All staff must disclose potential conflicts of interest at the earliest possible juncture and before the organization takes action relating to the issue in which there is a potential conflict. In addition, senior staff are required to provide written acknowledgment of the Policy on an annual basis and must note any relationships that may pose a conflict. Potential conflicts involving staff members must be raised with WWF's President, who reviews the facts of each situation and determines, if a potential conflict exists, whether it can be fully and satisfactorily addressed or whether the transaction must be abandoned. Board members also sign an annual acknowledgment of WWF's Conflict of Interest Policy. They are required to disclose any potential conflict of interest to the Chairman of the Board. The Board member with the potential conflict is not present during discussion by the Board (or Executive Committee acting in its stead) and takes no part in decisions relating to the matter.
Form 990, Part VI, Section B, line 15Prior to any increases in salary or payments of additional compensation, such as bonuses, to a "disqualified person", the Executive Committee of the WWF Board of Directors reviews the performance of that individual and the relevant market data for compensation of the position. The board reviews and approves any increases in advance of the increased payment and without the interested individual present. WWF closely observes the IRS' "intermediate sanctions" process in conducting the review. WWF obtains an assessment of compensation from an external compensation professional services firm.
Form 990, Part VI, Section C, line 19The organization makes its Governing documents, Conflict of interest policy, and Financial statements available on its Own website.
form 990, Part XI, Line 2There have been no changes during the year in the process for oversight of the audit of the financial statements.Oversight of Audit
Schedule G, Part I, Line 2The fundraising expenses represent the current year expenditures, but revenues do not reflect the ongoing income from the calls - just year in collections.Fundraising Expenses
Form 990, Part III - GeneralWith 19 priority places, markets activities in several sectors, policy work and climate/forest carbon efforts, the accomplishments are too numerous to summarize here. These selected global accomplishments from the highest priority programs provide a good cross section of the types of successes realized this year. Please see WWF's Website for more information and comprehensive information about programs by area. Amazon For the past six years, the Amazon Headwaters Initiative (AHI) has developed formal agreements for fishery-resources sustainable management in Bolivia's Itenez protected area. The Department of Beni (equivalent to a state government) recently passed a general fisheries regulation, paving the way for legal recognition and implementation of these management plans. Community members are pleased with this advance and are poised to begin implementation of these plans. In addition, WWF is working on several carbon projects in Peru. It has completed the Carnegie/WWF carbon measurement pilot and is finalizing the science and tools for local management. WWF also secured international public sector funding for expanded forest carbon mapping, and to support REDD (Reducing Emissions from Deforestation and Forest Degradation) pilots with local communities in Peru. Arctic WWF has worked tirelessly to protect Bristol Bay, one of the most productive marine ecosystems in the world. It is home to the largest wild sockeye salmon runs, important nursery grounds for red king crab and Pacific halibut, and staging areas and wintering grounds for tens of millions of seabirds. It too is a feeding ground and migration corridor for marine mammals, including five endangered species. Despite its significance as "America's fish basket," Bristol Bay is also an area of interest for offshore oil and gas leasing. In March 2010, WWF applauded U.S. Secretary of Interior Ken Salazar's decision to remove Bristol Bay from the Bush Administration's five-year offshore oil-and-gas leasing plan. WWF is now working with local allies and NGO colleagues to set a strategy to achieve permanent protection of Bristol Bay. Borneo and Sumatra Leveraging the buying power of the world's major forest products importers to stop illegal exploitation is central to WWF's efforts in Borneo and Sumatra. This year, two of WWF's major U.S.-based targets have invested significantly to evaluate their sources and work across the region to ensure they have responsible purchasing plans. Success in-country cannot rely solely on the goodwill of corporate partners, but requires firm commitment of local governments to enforce existing laws. This is also includes the ban wildlife trafficking. The TRAFFIC team worked with representatives from Indonesia, Malaysia and Brunei to train their interagency enforcement networks, laying the groundwork for the cooperation in enforcement and skills- building to accomplish long-term goals. Coastal East Africa Early in the fiscal year, WWF and CARE launched a new partnership focused on developing a vision of 21st-century agricultural development, resource management and poverty alleviation within the Ruvuma landscape of southern Tanzania and northern Mozambique. In this region, human populations on both sides of the border share the distinction of being among the most vulnerable in both countries. Fragile livelihoods remain inextricably linked to the area's natural resources and a new government in Mozambique, recovering from decades of civil strife, has defined its economic trajectory by linking natural resources and human development. Working together, CARE and WWF hope to bring sustainable development to the people and land of the Ruvuma, and to inspire many more successes. Please visit our project blog site at http://primeirasesegundas.net/. Coral Triangle In January 2010, WWF hosted a Business and Industry Summit with the president of the Philippines. The Summit produced an agreement among participating fishing operators and buyers on a number of measures. These include ensuring fish are not sourced from illegal, unregulated and unreported (IUU) operations; implementing catch and trade documentation schemes to ensure traceability; using third-party certification schemes such as MSC to promote sustainability; reducing bycatch by adopting bycatch-appropriate technology and techniques; and the promotion of low-carbon fish production methods and trade practices. In addition, WWF's Fishery Improvement Plans (FIPs) are now underway in five of the six Coral Triangle countries (Timor Leste is the exception). The FIPs will lead to policies to protect spawning areas and juvenile tunas and will help specific fisheries across the Coral Triangle reach benchmarks that will lead to Marine Stewardship Council certification. Eastern Himalayas A new survey released on July 29, 2010 indicates that adult tiger numbers in and around Chitwan National Park now stand at 125 instead of the 91 found in a 2009 survey. The new survey was conducted in a 1,261 square kilometer area including previously unexplored habitats in and around the Park and was a combined effort of the Nepalese Department of National Parks and Wildlife Conservation, WWF and the National Trust for Nature Conservation. WWF provided technical and financial support to complete the tiger population monitoring. The findings were released on the first Tiger Day, which was celebrated in Nepal as a run- up to the November 2010 International Tiger Conservation Forum held in St. Petersburg, Russia. WWF, along with government, private sector and NGO partners, organized nationwide mass awareness events that saw the participation of hundreds of students, the media and the general public. In addition, WWF facilitated an historic Memorandum of Understanding (MOU) signed between the governments of China and Nepal on June 3, 2010 to jointly enforce wildlife trade laws along major Sino-Nepalese border routes. Mexico The State of Sinaloa shrimp fishery is one of the most significant and influential fisheries in the Gulf of California. WWF has been working to transform the fishery by establishing rights-based management, new fishing technologies and new access to international markets. Currently, Sinaloa's artisanal shrimp fishery is entering the second season under rights-based management and the government of Mexico has reaffirmed financial support for monitoring and enforcement. This fiscal year, the National Fisheries Commission implemented a bold decision to assign total allowable catch limits and to place over 250 new enforcement employees in 184 landing sites for the Sinaloa shrimp industry. Namibia Over the past 16 years, WWF has assisted Namibian partners with the conception and development of one of the most innovative community conservation initiatives in the world. Nambia's communal conservancy movement continues to grow and demonstrates increasing impacts annually. Significant momentum has been gained around the sharing of best practices between Namibia and counterpart entities. WWF in Namibia, WWF Zambia and two other partner organizations have been asked by the Zambian Wildlife Authority to introduce Community Based Natural Resource Management (CBNRM) and community livelihood initiatives in the southwest corner of Zambia, bordering on Namibia's Caprivi Strip. In addition, CBNRM best practices/models have been replicated in 25 communities and one national park in Zambia, Angolan NGO staff completed a study tour to learn from the Namibian model, and WWF in Namibia trained Botswana's Moremi Game Reserve staff on the Management Oriented Monitoring System. Northern Great Plains In October 2009, WWF was part of an historic event to reintroduce 34 black-footed ferrets into Canada. This significant event marked the return of the ferret to all three countries of its historic range. This past spring's monitoring efforts found 12 animals, and biologists were pleased, as survival rates can be as low as 10 percent. In July, the first litter of wild-born kits was observed, another cause for celebration. WWF's efforts have resulted in 54,000 acres of annual grazing leases being retired in the Charles M. Russell National Wildlife Refuge (CMR). The result is a functional corridor for wildlife - and some day bison - from one American Prairie Reserve holding to another through the CMR.FY10 Results
Form 990, Part III - General (continued)Tigers February 14, 2010, marked the first day of the Chinese New Year - the Year of the Tiger. On this date, WWF, with colleagues across the Network, launched a powerful Year of the Tiger Initiative and made a commitment to double the tiger population by 2022, the next Year of the Tiger. Over the course of the year, the Save Tigers Now campaign, a collaboration with Leonardo DiCaprio, has drawn major attention, helping to lay the groundwork for important financial commitments at the International Tiger Conservation Forum held in November. WWF had several successes during the Year of the Tiger. At the forum, all 13 countries that still have wild tigers adopted the Global Tiger Recovery Programme, committing to double the population in the next 12 years. WWF scientists were part of a study that found doubling tiger numbers is not only possible, but can be exceeded if Asian tiger reserves are managed as large-scale landscapes. WWF and TRAFFIC helped establish the South Asia Wildlife Enforcement Network that will strengthen anti-poaching and wildlife trade law enforcement efforts in Bangladesh, Bhutan, India, and Nepal. WWF also coordinated a corporate declaration by internationally known companies like HP and Tetra Pak affirming their support for tiger conservation. Market Transformation In 2010, WWF worked to advance the sustainability of the forest, agricultural, fisheries, aquaculture and international finance sectors worldwide, both at the global level and in key regions as described above. Key to this, WWF forged partnerships with more than 15 companies including Cargill, McDonald's, Kroger, Starbucks, Kraft and Sodexo over the past year. These partnerships range from helping individual companies think through how to minimize their carbon emissions to helping retailers develop step-by-step strategies for sourcing sustainable seafood to sell at grocery stores nationwide. In Brazil, WWF's Global Forest & Trade Network (GFTN)-Brazil saw forward movement in combating illegal logging and associated trade in the Brazilian Amazon, with the seizure of 1,100 m3 of illegal wood (about 1 truck load every 3 business days) and US $1.2 million in fines issued to trade companies in the last half of the year in Sao Paulo. At the same time, GFTN continues to build markets for responsibly produced forest products in the Amazon, with purchasing offers of more than $12 million this past year. Finally, WWF completed multi-stakeholder dialogues for four aquaculture species - abalone, bivalves, pangasius, and tilapia - a key step in setting global standards to lead to certification as sustainable products, like wild-caught fish (Marine Stewardship Council) and forest products (Forest Stewardship Council).FY10 Results (continued)
