NO BENEFIT INURES TO THE FOUNDATION IN CONNECTION WITH THIS ARRANGEMENT (I.E. MANAGEMENT FEES, PERCENTAGE OF REVENUES) - THESE ACCOUNTS ARE STRICTLY CUSTODIAL IN NATURE AND ARE OFF-SET BY A CORRESPONDING LIABILITY ON THE FOUNDATION'S BOOKS.
