| Explanation | PACE GNO was organized as a nonprofit corporation under the laws of the State of Louisiana on December 15, 2003. PACE GNO is exempt from Federal income tax under Section 501(c)(3) of the Internal Revenue Code, and qualifies as an organization that is not a private foundation as defined in Section 509(a) of the code. PACE GNO applies a "more-likely-than-not" recognition threshold for all tax uncertainties. This approach only allows the recognition of those tax benefits that have a greater than fifty percent likelihood of being sustained upon examination by the taxing authorities. PACE GNO has reviewed their tax positions and determined there were no outstanding or retrospective tax positions with less than a 50% likelihood of being sustained upon examination by the taxing authorities. PACE GNO's tax returns for the years ended June 30, 2009, 2008 and 2007, remain open and subject to examination by taxing authorities.
