DescriptionPublic Health Sciences ("PHS") The goal of the Public Health Sciences Division is to identify strategies that would ultimately reduce the incidence of and mortality from cancer and other diseases. Using large populations as their "laboratory," PHS researchers look for links between cancer and its possible triggers, from diet and lifestyle to environmental and genetic factors. Identifying such cancer causes can lead to better cancer-detection methods and new ways to help people adopt healthier lifestyles to minimize or avoid their risk of getting the disease in the first place. This prevention-oriented research also extends to other diseases, including HIV/AIDS, cardiovascular disease, diabetes, and fractures. The PHS Division has statistical, epidemiological and prevention projects that include studies around the world. PHS Division scientists have expertise in coordinating national trials for cancer and acquired immune deficiency syndrome ("AIDS") treatment and prevention, including serving as a coordinating center for one of the nation's largest public health research programs, the Women's Health Initiative. More recently, the PHS Division has gained national stature in genetic epidemiology and in the development of novel methods for the early detection of cancer, including the use of plasma proteomic biomarkers.Description

DescriptionClinical Research Division From laboratory bench to bedside, the Clinical Research Division works to develop and analyze new treatments for cancers and other diseases. Researchers seek new or improved ways to cure cancer. Foremost among their contributions has been the development of bone marrow transplantation, a technique that is now saving tens of thousands of lives worldwide annually. In 1990, Dr. E. Donnall Thomas, director emeritus of the Clinical Research Division, received the Nobel Prize in physiology or medicine for his pioneering work developing this technique. Through clinical research, Center scientists continue to refine the techniques of transplantation and extend its use. Once exclusively used for treatment of leukemia, lymphomas and similar diseases, bone marrow transplantation is now being successfully applied to a growing number of diseases, including breast, ovarian and kidney cancer, sickle cell disease and autoimmune disorders such as multiple sclerosis and scleroderma. Other avenues of research being conducted in the Clinical Research Division include immunotherapy, antibody therapy and cancer vaccines. Approximately 450 patients from all over the world receive transplants at the Seattle Cancer Care Alliance coordinated by researchers from the Center's Bone Marrow Transplant Program. The Seattle Cancer Care Alliance, established in 1998, unites the adult and pediatric cancer-care services of the Hutchinson Center, UW Medicine and Seattle Children's. A major focus of SCCA is to speed the transfer of new diagnostic and treatment techniques from the research setting to the patient bedside while providing premier, patient-focused cancer care. Thousands of other cancer patients will be able to receive similar treatment in their local hospitals as a result of the knowledge shared by Clinical Research Division scientists with physicians around the world. Because of the Center's training efforts, many hospitals throughout the United States now perform bone marrow transplants. Scientists in the Center's Clinical Research Division have recorded several "firsts" in cancer research and treatment: Showing that patients with acute leukemia who have failed chemotherapy can be cured with bone marrow transplantation. Showing that bone marrow transplantation is the best form of initial therapy for patients with acute myelogenous leukemia, a disease that affects approximately 15,000 Americans each year. Showing that bone marrow transplantation can cure chronic myelogenous leukemia, a disease that is otherwise incurable and affects approximately 3,000 Americans each year. Developing the first FDA-approved antibody-targeted chemotherapy, making chemotherapy less toxic and more effective. Pioneering the first antibody-targeted therapy against a marker specific to non-Hodgkins lymphoma, an approach now used to treat thousands of people each year. Developing a "tumor paint" that will help surgeons see where a tumor begins and ends more precisely by illuminating the cancerous cells. The tumor paint, derived from scorpion venom, was developed in collaboration with researchers at Seattle Children's Hospital Research Institute. The high quality of the research conducted in the Center's Clinical Research Division is matched only by the quality of care provided to patients receiving treatment.Description

DescriptionVaccine and Infectious Disease Division ("VIDD") The Center established VIDD first as an Institute in 2007 and as a scintific division in 2010, toaddress the growing need for treatment and prevention strategies for infectious diseases worldwide. By integrating biometric, laboratory, and clinical science, the researchers at VIDD aim to develop novel vaccines for infectious diseases that threaten global health, to shed light on the workings of the human immune system, and to develop novel treatment and prevention strategies to lessen the burden of infectious diseases and cancers caused by infection, particularly in the immunocompromised host. VIDD research focuses on a wide range of infectious pathogens, including HIV, Herpes Simplex viruses, cytomegalovirus, infectious fungi, and cancer-associated infections such as human herpesvirus-8, among others. Research areas concentrate on treatment and prevention of infectious diseases by studying immune responses to these pathogens, the course of infection, and pursuing various vaccine development strategies. Many of these infections are especially devastating in immunocompromised people, such as HIV positive persons or transplant patients. The HIV Vaccine Trials Network (HVTN), a global network of researchers searching for a safe and effective HIV vaccine, is also headquartered at VIDD. The growing recognition of the importance and challenges of global health research have spurred VIDD scientists to initiate new research directions and collaborations focusing on infectious disease research around the world, including: The Uganda Program on Cancer and Infectious Disease, which is a collaboration between VIDD and the Uganda Cancer Institute to research the 22 percent of cancers worldwide that are caused by infections, to help treat and prevent those cancers, and to train Ugandan doctors in these areas. In part due to high levels of HIV and other infectious viruses that increase risks for various cancers, Uganda, an East African country of more than 27 million people, has among the highest rates of cancer in the world, but only two practicing oncologists; The Discordant Couples project, which encompasses studies of approximately 1,200 couples in Kampala, Uganda and Soweto, South Africa, in which one partner is HIV positive and one is HIV negative. In Africa, the majority of HIV transmissions occur in stable, heterosexual couples via unprotected sex. Thus, studying discordant couples offers the best opportunity to directly measure biological factors influencing the sexual transmission of HIV, as the risk of the uninfected partner contracting HIV is high (between 3 and 10% per year); The China Initiative, which is a collaboration between VIDD, the University of Washington, Seattle Biomedical Research Institute, and several research institutes in China, including the China Center for Disease Control (CCDC) in Beijing and The Institute of Translational Medicine (ITM) at the Sun Yat-sen University in Guangzhou. The goal of the collaboration is to focus on infectious diseases that threaten global health and combine the best resources of each country to enable early identification of infectious disease outbreaks, as well as to accelerate the development of therapeutics to control these diseases. Examples of resources to be shared are scientific datasets, statistical analysis methods, clinical research protocol development and operation, and cross training of our scientific staff. In the future, the dream of VIDD researchers is to find a working HIV vaccine and to make significant contributions in ameliorating the suffering and mortality caused by infectious diseases worldwide. In the short term, VIDD faculty and staff strive to increase knowledge about poorly understood infectious pathogens to inform better treatment, prevention, and vaccine development strategies.Description

SchD_P03_S00_L03eSchedule D, Part III, Line 3ePer donor restriction, must maintain until 2030.
SchD_P03_S00_L04Schedule D, Part III, Line 4The QTIP Trust of the 1993 Kullman Family Trust donated to the Center a collection of forty black and white photographs with an appraised value of $710,646. The Artwork Donation Agreement requires the Center to display the Artwork as a collection at its main campus in Seattle, Washington for at least twenty years. The Artwork Donation Agreement states that "the Center shall have the right to use and display the Artwork in the manner that best serves the interest of the Center." At the end of the required twenty year display period, the Center will determine if opportunities exist that may allow the value of the donated artwork to fund the Center's research.
SchD_P05_S00_L04Schedule D, Part V, Line 4Spending Policy The Center's spending policy for endowment funds is to appropriate for distribution each year 5% percent of the endowment fund's average fair value over the prior three years, provided that the fair value of the endowment fund exceeds the corpus. For a portion of the Center's Board-designated investments, the Center does not appropriate for distribution any amount of investment return as all of the return earned is held to grow the fund for future repayment of long-term debt. For the remaining board designated investments, the Center makes all investment return available for expenditure on programmatic initiatives. In establishing these policies, the Center considered the long-term expected returns on its endowment and Board-designated investments.
SchD_P10_S00_L00Schedule D, Part XN/A.

IdentifierIdentifierReturn ReferenceReturnReferenceExplanationExplanation
SchF_P01_S00_L02Schedule F, Part I, Line 2Schedule F, Part I, Line 2 - Procedure for Monitoring the Use of Grant Funds Once the notice of award has been received and the Center project ID activated, the subaward can be set up. The structure of the subaward will depend on how the Prime is set up. Generally at the Center, a new PO is requisitioned for each subaward for each year of a project. This allows the RC to closely monitor subaward invoices and encumbrances. For our Subrecipients, it means a separate budget ID and final invoice each year. Carryover between years is not automatic. There are 5 primary steps. 1) Step one is within OSR. The Grant Specialist notifies the Contract Specialist that a grant which includes a subaward has been funded, and provides to the Contract Specialist a copy of the award, the signed subaward application (if available) and any special instructions. A signed subaward application is important because it shows that the Subrecipient organization has reviewed and approved the budget and scope of work. 2) The Research Coordinator (RC) sends the Contract Specialist a Subcontract Acquisition Form (SAF). This form provides authorization for the Contract Specialist to issue the subaward, and included a scope of work, budget and pertinent subrecipient information. It is necessary to provide the scope of work and budget on the SAF as these items may have changed from what was originally submitted in the subaward application. 3) The Contract Specialist requisitions the subaward PO, which the RC must approve. An e-mail is sent to the RC notifying them that the requisition is pending and requires approval. Because OSR does not have funds commitment authority the RC is required to approve all requisition. 4) OSR collects information required to correctly set up the subaward. These items include IRO and IACUC approval dates, confirmation of subaward F&A rates and A-133 Audit reports, review of Prime special terms and conditions to determine flow-down, confirmation that the Subrecipients is not debarred, and other similar regulatory and administrative requirements. While much of this information is collected by OSR, the RC may, in addition to completing the SAF, be asked to assist in the collection of some of the documentation. 5) OSR writes the subaward agreement, and mails it to the Subrecipients for signature. Some agreements can be signed by OSR before mailing, while others will be sent unsigned. This is determined by the Contract Specialist based on the terms of award and status of administrative and regulatory requirements. A copy of the initial subaward is sent to the RC. Once the subaward has been fully signed, a copy is sent to the RC for their files. No invoices should be approved by the RC until they have received a fully executed agreement.
SchF_P03_S00_L00Schedule F, Part III(1) The data presented is employee incurred foreign travel costs which we believe meet the IRS Schedule F, Part III's request for grants and other assistance to "U.S. individuals for foreign activity." As such, column (c)'s request for "the number of recipients that received the type of assistance in that region" does not appear to apply foreign travel cost incurred by U.S. individuals. The accrual method of accounting was used to prepare the form 990 and the organization's financial statements.

ExplanationProcedures for Monitoring the Use of Grant Funds: Once the notice of award has been received and the Center project ID activated, the subaward can be set up. The structure of the subaward will depend on how the Prime is set up. Generally at the Center, a new purchase order (PO) is requisitioned for each subaward for each year of a project. This allows the Research Coordinator (RC) to closely monitor subaward invoices and encumbrances. For our Subrecipients, it means a separate budget ID and final invoice each year. Carryover between years is not automatic. There are 5 primary steps. 1) Step one is within Office of Sponsored Research (OSR). 2) The RC sends the Contract Specialist a Subcontract Acquisition Form (SAF). This form provides authorization for the Contract Specialist to issue the subaward, and includes a scope of work, budget, and pertinent subrecipient information. Because OSR does not have funds commitment authority the RC is required to approve all requisitions. 4) OSR collects information required to correctly set up the subaward. These items include Institutional Review Office (IRO) and Institutional Animal Care and Use Committee (IACUC) approval dates, confirmation of subaward Facilities and Administrative (F&A) rates and A-133 Audit reports, review of Prime special terms and conditions to determine flow-down, confirmation that the Subrecipient is not debarred, and other similar regulatory and administrative requirements. While much of this information is collected by OSR, the RC may, in addition to completing the SAF, be asked to assist in the collection of some of the documentation. 5) OSR writes the subaward agreement, and mails it to the Subrecipient for signature. No invoices should be approved by the RC until they have received a fully executed agreement.Explanation

F990_P06_S0B_L00Form 990, Part VI, Section BLine 11A - Under the Center's bylaws, the Finance Committee is responsible for reviewing and investigating financial transactions of FHCRC including responsibility for internal and external auditing and for making recommendations to the Board concerning these matters. FHCRC's Vice President of Finance & Chief Financial Officer and his staff works closely with the outside accounting firm FHCRC engages to review the Form 990. The draft of the Form 990 is also reviewed by the Controller, the Executive Vice President & Chief Operating Officer and the Vice President & General Counsel prior to providing it to the Finance Committee. The Finance Committee consults with the Chief Operating Officer, Chief Financial Officer, General Counsel and Controller and such other persons as the Finance Committee may designate to review the draft Form 990. The Finance Committee also meets with the accounting firm hired to assist with preparation of the Form 990. Subsequent to its review, the Finance Committee reports to the Board regarding its oversight of the Form 990. The final draft is provided to the full Board prior to filing the return.
F990_P06_S0B_L11Form 990, Part VI, Section B, Line 11The final draft is provided to the full Board prior to filing the return.
F990_P06_S0B_L12cForm 990, Part VI, Section B, Line 12cThe Executive Committee of the Board is responsible for monitoring conflicts of interest involving trustees or the President & Director of the Center. The President & Director of the Center is responsible for monitoring conflicts of interest involving other officers, scientific staff and other key personnel designated by the President & Director. Under the FHCRC Conflict of Interest Policy and the related Guidelines, an annual conflict of interest disclosure document aimed at determining family and business relationships and transactions that constitute a conflict of interest under the policy, is distributed to and must be completed by all covered persons. Disclosures by trustees and the President & Director are reviewed by the Office of the General Counsel who reports any conflicts to the Executive Committee with recommendations on appropriate terms for a conflict management plan. Conflict management plans for trustees or the President & Director are reviewed and approved by the Executive Committee and signed by the person with the conflict of interest and the Chair of the Board. Disclosures by members of the scientific staff, officers other than the President & Director and other key personnel designated by the President & Director are reviewed by the Office of the President & Director, the Office of the General Counsel, and the Director of the division in which the person has his or her primary appointment or responsibilities. If a conflict is determined to exist under the policy a written conflict management plan is recommended by the Office of the General Counsel and approved and signed by the Office of the Director, the Office of the General Counsel and the Division Director as well as the person who has the conflict. Conflict management plans are designed to manage, reduce or eliminate conflicts to prevent bias, improper influence, or misuse of FHCRC or government resources. The conflict management plans for trustees usually require the affected trustee to recuse himself or herself from voting on any matters involving the affected transaction or relationship although he or she is allowed to provide factual information if requested by the Board or Executive Committee. All transactions requiring Board or committee approval must be approved by a majority of disinterested persons. Conflict management plans involving scientific staff, officer or other key personnel usually impose one of more of the following conditions or restrictions: (i) public disclosure of the interest; (ii) monitoring of research by independent reviewers; (iii) modification of the research plan; (iv) disqualification from participation in all of or a portion of the research by the person with the conflict of interest; (v) divesture of the interest; (vi) severance of the relationship creating the conflict of interest.
F990_P06_S0B_L15Form 990, Part VI, Section B, Line 15Line 15a & 15b - Compensation for the President & Director is determined and approved by the Board Compensation Committee. The compensation of other officers and key personnel at FHCRC is determined by the President & Director subject to ratification by the Compensation Committee. The Compensation Committee has developed, consistent with the organization's philosophy and principles, guidelines for determining compensation and benefits. The Compensation Committee also hires a qualified independent compensation specialist ("independent expert") to review, analyze and provide benchmarking data for the total compensation packages of all officers and key employees. Appropriate comparability data is obtained from the independent expert. No person with a conflict of interest may participate in determining or approving any executive compensation. Meetings of the Compensation Committee are documented in minutes which are approved at the next committee meeting. The above process was last undertaken in 2010 for the following positions: Sr VP & Dir, Clin Res Div; VP Shared Resources; Sr VP & Dir, Basic Sci; Sr VP & Co-Dir, VIDI; VP External Affairs & Comm; Sr VP & Deputy Dir, FHCRC; President & Director; VP & Chief Financial Officer; VP Industry Rel & Tech Transfer; VP Human Resources; Sr VP & Dir, PHS; VP Information Tech; Sr VP & Dir, Basic Sci; VP Operations & Facilities; VP General Counsel; Exec VP & COO; Sr VP & Dir, Human Biology; and VP and Dir of Development.
