SCHEDULE D, PART V, LINE 4Investment income earned on the NEH endowment funds is to be used for support of humanities activities in education, public programming, scholarly research, and preservation and is temporarily restricted until used for that purpose. Investment income earned on the Mellon endowment fund is to be used for general unrestricted purposes.
Schedule D, Part X, Question 2Effective for fiscal year 2010, IREX adopted new guidance that creates a single model to address uncertainty in tax positions and clarifies the accounting for income taxes by prescribing the minimum recognition threshold a tax position is required to meet before being recognized in its financial statements. Under the requirements of this guidance, organizations could now be required to record an obligation as the result of tax positions they have historically taken on various tax exposure items. The impact of the adoption of this guidance did not have a material effect on the financial statements of IREX. Prior to the adoption of this guidance, the determination of when to record a liability for a tax exposure was based on whether a liability was considered probable and reasonably estimable in acordance with guidance concerning recording contingencies.FIN 48 Footnote

ExplanationIREX requires programmatic reporting from all grantees. Periodic financial reporting is required from all grantees who receive cost reimbursable awards. Programmatic reports are reviewed by IREX to ensure planned activities are undertaken and that all work is within the scope of the award. Financial reports are reviewed to ensure that grant funds are used for the purposes intended. Site visits by IREX staff are encouraged and taken whenever practical. Additional oversight measures including more frequent reporting, audits, physical evidence of performance, etc., are employed when normal oversight indicates areas of concern.Explanation

IdentifierIdentifierExplanationExplanation
Schedule J, Part I, Question 1aHousing allowances are provided to expatriate employees located in IREX overseas field office programs. The provision of the housing allowance is consistent with or lower than what is commonly provided by the US government and other international development agencies when placing employees in overseas locations. Housing allowances are determined on a case by case basis. Factors considered include the cost of housing in the specific country, US government housing allowance guidelines and negotiations with the expatriate employee to be assigned to the location. Three of the highest compensated employees listed on the compensation schedule received housing allowance benefits which were included in their reported compensation. No housing allowance benefits are provided to directors, officers, or key employees. IREX also paid the initiation fee and yearly dues for the President to conduct business and board meetings at a local social club. All IREX business related expenses incurred by the President at the social club are reviewed and authorized before reimbursement is made to the President. Only business related expenses are reimbursed by IREX.
Schedule J, Part I, Question 1BAs stated, housing allowances are determiend on a case by case basis. Other Expense reimbursements are subject to review and compliance with IREX travel and expense reimbursement policies.

General Explanation GeneralExplanation (12 entries)

IdentifierIdentifierReturn ReferenceReturnReferenceExplanationExplanation
Part I, Line 1 and Part III, Line 1Organization's MissionInternational Research & Exchanges Board (IREX) promotes positive lasting change globally. IREX enables local individuals and institutions to build key elements of a vibrant society: quality education, independent media, and strong communities. To strengthen these sectors, IREx's program activities also include conflict resolution, technology for development, women and youth. With more than 40 years of experience, IREX is guided by its enduring values and is committed to organizational excellence, measurable impact and thought leadership. IREX employs field-tested methods and innovative uses of technologies to develop practical and locally-driven solutions with our partners. Part I, Line 5 & Part V, Line 2 a The number of employees listed (156) only reflects the employees paid out of the headquarters office. IREX is an international organization with over 450 total employees in 50 offices throughout the world. The majority of employees are located in IREX country offices. Only eighty employees are located in the headquarters office in Washington, DC.
Part III, Line 4aExempt Purpose AchievementIREX's work with local partners advances media professionalism, sustainability, sound media laws, and the local institutions that support independent media and journalists. We work across all media - television, radio, online, print, and mobile. Recognizing the shift to interactive and multiplatform media and the role of citizen journalists, IREX works to provide and integrate new technologies that democratize the flow of information. IREX research in media development, including the Media Sustainability Index, helps inform policymakers, academics, and media practitioners throughout the world as they seek ways to expand citizens' access to information.
Part III, Line 4bExempt Purpose AchievementCivil society development engages people, organizations, and government bodies to work in partnership to improve their communities and foster good governance. IREX adapts its approach and training to meet the specific local needs of a community so that stakeholders can better serve their constituents. IREX integrates targeted activities for underrepresented populations, which include women, youth, ethnic minorities, individuals with HIV/AIDS, and people with disabilities. Of note this year, the U.S. Government requested that IREX convene a meeting of Russian and American thought leaders in Washington, DC in June to discuss common challenges and best practices in areas including education, technology, youth, and new media, among others. The Civil Society to Civil Society Summit took place in parallel to the work of the Bilateral Presidential Commission, part of the summit between Russian President Dmitry Medvedev and U.S. President Barack Obama. A highlight of the event was an address by Secretary of State, Hillary Rodham Clinton. New, low-cost technologies are lowering the threshold for people to improve their lives and be leaders in their communities. While the technologies become more common, skills in applying them effectively for social issues often lag behind. For almost 20 years, IREX has been pioneering the integration of appropriate technology into development activities. Using simple technology, IREX has developed networks of young women leaders in Turkmenistan, helped health organizations send SMS medication reminders to those living with HIV/AIDS in Ukraine, worked with professional and citizen media to use blogs in the Middle East, and brought libraries in Romania and Ukraine into the 21st century.
Part III, Line 4cExempt Purpose AchievementEducation supports economic development, social reform, and civic participation within a society and provides the foundation for tomorrow's leaders. IREX works with individuals, institutions, and governments to expand access to and improve the quality of education worldwide. IREX designs programs and provides consulting to support lifelong learning starting at the primary and secondary levels, continuing through higher education, and including continuing professional training. Program areas include Basic Education Development, Higher Education Development, International Education and Research Support.
Part V, Line 4bFinancial Accounts in Foreign CountriesIn the calendar year 2009, IREX had bank accounts in the following countries: Armenia Azerbaijan Georgia Iraq Jordan Kazakhstan Kosovo Kyrgyzstan Moldova Romania Russia Rwanda Serbia Tajikistan Turkmenistan Ukraine
Part VI, Section A, Line 4Changes to Organizatonal DocumentsThe IREX Board of Governors completed a review of the institutional by-laws. The following is a summary of the amendments: Section 3 of the Bylaws allows the IREX president to set up offices outside of the United States. This change was required since other countries often read our Bylaws to ensure the president has such authority. Section 7 of the Bylaws regularizes the membership process of the Board. Each year one third of the Board members' terms would expire. Each Board member would serve a maximum of two consecutive terms with governors eligible to serve three. Section D is added to avoid penalizing current members of the Board. Section 8 previously provided for the election of governors at the "annual" meeting. This was changed to either of two annual meetings, with neither meeting having significance over the other. This change conforms to the current meeting practice of the board. Section 9 changes reflect simple alterations in good order, constituting a quorum of Board members if 1/3 are present, "unless required by law, the Certificate of Incorporation, or these Bylaws" (the last two added in current suggested change). Section 13 changed from making a Vice Chair obligatory to optional. Section 14 changed from making an Executive Committee required to optional. Sections 15 & 16 establish that the Board Chairperson is always a member of standing committees. Section 23 clarifies language that the President is an Ex-officio member of the standing committees and has the right to open offices overseas.
Part VI, Section B, Line 11AProcess of ReviewForm 990 was reviewed thoroughly by the organization's Treasurer in initial draft and final form prior to filing. The Board of Directors have authorized the members of the Finance Committee to review the final copy of the return. The review by the Finance Committee was conducted prior to filing the Form 990. The Form 990 was made available electronically to all members of the Board of Directors before it was filed with the IRS.
Part VI, Section B, Line 12CConflict of Interest PoliciesThe Board of Governors at their November, 2010 meeting adopted an annual conflict of interest submission disclosure requirement for each Governor. A similar requirement is also being developed for officers and key employees. IREX does have an existing written conflict of interest policy covering employees.
Part VI, Section B, Line 15 and Part VII, Section AThe President's annual salary increase and award are determined by the Chairperson of the Board of Governors in consultation with the members of the Executive Committee. For 2010 the President elected not to accept any annual salary increase due to his relatively short tenure with IREX. The President assumed his position with IREX in November, 2008. Annual salary increases and awards for other officers and key employees are determined by the President based on the established institutional salary increase ranges for all DC paid employees. Any officer or key employee awards are determined by the President within the parameters of an employee award plan adopted by the Board of Governors. Finally all other officer and key employee salary increases and awards (if any) are reviewed by the President with the Chairperson of the Board.
Part VI, Section C, line 19The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Professional exchanges in the fields of education and journalism were provided also to over 350 professionals. In carrying out program activities IREX works extensively in partnerships with other organizations. Over 42% of IREX 2010 total expenditures were devoted to educational, professional exchanges and partnership activities plus the staff and travel costs directly related to supporting these activities.
