| F990_P06_S0A_L06 | Form 990, Part VI, Section A, Line 6 | All members in good standing of the Society of Jesus who are members of the Jesuit Community of Loyola University New Orleans and who hold full-time or part-time positions at Loyola University New Orleans and who have held such positions for one (1) academic year shall be eligible for membership in the Corporation. Membership in the Corporation shall consist of not fewer than ten (10) nor more than twenty-five (25) persons who fulfill the aforementioned qualifications. The sole rights and duties of members shall be (a) to elect annually such members of the Board of Trustees; (b) to receive annually a report from the President; (c) to determine the dissolution of the Corporation and the distribution of its assets; (d) to amend the Articles and By-Laws of the Corporation; and (e) to fix and determine by majority vote the number of Trustees who shall constitute the whole Board of Trustees. The composition of the Board of Trustees shall be at all times such that more than thirty-three and one-third percent (33 1/3%) of the total membership of the Board of Trustees, but not more than sixty percent (60%) of the said Board, shall be composed of members in good standing of the Society of Jesus. |

Each member of the compensation-setting body is a disinterested party. Jesuit members of the Executive Committee recuse themselves from the salary deliberations. Salary data obtained from the Association of Colleges and University Personnel Administrators, the Association of Jesuit Colleges and Universities and an executive search firm database is used to determine compensation comparability. The decision of the compensation-setting body including terms of the compensation, the date approved, members of the compensation-setting body present during the discussion of the compensation and voting members, comparability data relied on and the source of the data and an affirmation that all members were free of any conflict of interest is documented and retained by the Secretary of the Board of Trustees. Key Employee Compensation Upon Hiring - The university President or Provost (depending on the organizational status of the key employee) makes a salary determination with the party involved. The President or Provost uses salary data obtained from the Association of Colleges and University Personnel Administrators, the Association of Jesuit Colleges and Universities and an executive search firm database to determine compensation comparability. On a regular basis the Executive Committee of the Board of Trustees reviews the compensation of key employees. Compensation adjustments - All compensation adjustments such as merit increases are documented in the Performance Evaluation and reviewed for reasonableness and industry comparability via budget analysis. |
