MANAGEMENT ALSO PROVIDED INPUT ON VARIOUS ISSUES INCLUDING HEALTH CARE REFORM AND IMPORTANT ISSUES SUCH AS DRUG SHORTAGES LEGISLATION. FORM 990 PART VI SECTION A, LINE 4 In December 2011, an Affiliation Agreement was entered into between the Fox Chase entities and Temple University Health System. The Affiliation Agreement was contingent on a number of conditions, including among other things, Fox Chase reaching a Forbearance Agreement with its lenders, and TUHS securing the funding for the transaction through a bond offering. The Affiliation Agreement, which became effective as of July 1, 2012, provided TUHS with the ability to appoint the majority of the Board of Directors of the various Fox Chase entities, with the exception of Fox Chase Cancer Center corporation. As part of the agreement, The Fox Chase Cancer Center corporation changed its name to the Fox Chase Cancer Center Foundation. All permanently restricted assets of the Institute FOR CANCER RESEARCH and Hospital were transferred to the Foundation and the Foundation will use such assets to exclusively support the Institute For Cancer Research and The American Oncologic Hospital. Also as part of the Affiliation Agreement, the fixed assets and all employees of Health Services of Fox Chase Cancer Center became part of Fox Chase Medical Group, a newly formed corporation controlled by TUHS.
