Form 990, Part VI, Line 12c	Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts	Each of the directors shall have the continuing, affirmative duty to report any personal ownership, interest, or other relationship that might affect such person's ability to exercise impartial, ethical, and business-based judgements in fulfilling responsibilities to the Chapter. Directors are required to complete annually (or as otherwise scheduled by the Board) a disclosure form regarding any conflict of interest. The disclosure statement shall be in such form as may be prescribed by the Board and may include information regarding a person's participation as a director, officer, trustee, committee member, or employee of any other nonprofit organization (whether or not such organization is a Conflict Person). The Board shall be responsible for oversight of all disclosures or failures to disclose, and for taking appropriate action in the case of any conflict of interest transaction.

Any revisions are discussed and corrected by the tax preparer. The final form is then received by the executive manager who is responsible for verifying the changes, signing the form, and mailing the form in a timely manner.

The Board of Directors meets on a quarterly basis to discuss the welfare of the chapter and has the authority to act on all matters, through board resolutions or motions, passed by a two-thirds majority vote of the members present.

Any regular member in good standing may be nominated for membership on the Board of Directors. Nominations shall be made from the floor and the election shall be by secret ballot. Each member in good standing shall have the following number of votes: 1) One vote from one to the first 75,000 manhours; 2) One additional vote for any manhours in excess of 75,000 up to and including 150,000 manhours; 3) One additional vote for any manhours in excess of 150,000 manhours. Members of the Board of Directors shall serve for a period of two years, or until their successors are elected. They shall serve without remuneration and shall be eligible for re-election.
