| Explanation | WECC has been recognized by the Internal Revenue Service as a not-for profit corporation as described in Section 501(c)(6) of the Internal Revenue Code and, as such, is not subject to federal or state income taxes on exempt purpose income. WECC recognized no unrelated business income tax benefit in the years ended December 31, 2012 and 2011. WECC has identified and evaluated its significant tax positions for which the statute of limitations remain open. The open tax years are the years ended December 31, 2009 through December 31, 2012 for federal tax purposes and Utah tax purposes. WECC applied the more likely than not criteria to all tax positions and determined no material unrecognized tax benefits or liablity should be recognized. In addition, there have been no material changes in unrecognized benefits as December 31, 2012, and it is not expected that there will be a material change in the 12 months following December 31, 2012. Any organization may become a member of WECC as long as eligibility criteria have been met as outlined in the bylaws. There are 7 Classes of members based upon the activities of the member organization. Members of WECC have the right to elect and remove Directors, amend Bylaws and to review and rescind any Board amendment of the Bylaws as well as the right to attend and participate in meetings and committees. |
