| ACQUISITION OF FOOD RESOURCES, INC. | During the year ended June 30, 2012, the Organization entered into a merger agreement with Food Resources, Inc. (Food Resources), a Maryland nonprofit food warehouse and distribution center servicing Western Maryland, whereby the Organization would acquire all of the assets, assume all of the liabilities and continue the operations of Food Resources. Effective April 1, 2012, Food Resources was acquired by the Organization and Articles of Merger were filed with the state of Maryland. Under the Articles of Merger, Food Resources was officially dissolved. As a result of this transaction, the Organization received and recognized as contribution revenue $1,088,577, which represents the fair value of all of the assets, net of any liabilities of Food Resources as of April 1, 2012. | |
