The Committee is comprised of 6 Directors who are independent of management and VNSNY and free of any conflicts of interest that would interfere with their exercise of independent judgment. Prior to making compensation decisions, the Committee obtains and relies upon appropriate data as to comparability. The Committee retains an independent compensation consultant and utilizes local and national compensation surveys to assist in setting compensation levels. The Compensation Committee adequately and on a timely basis documents the basis for setting compensation with the making of the determination. |
