DescRosen House, Gardens and Estate - See Schedule OAnother significant achievement for Caramoor in 2024 was the strong debut of Focus Tours at the Rosen House. These tours are conducted to further our mission to provide arts education to the public. Jessa Krick the Director of Interpretation, Collection, and Archives at the Rosen House, curates a new tour each year which highlights timely themes and revelations uncovered by invigorated research - mining the rich archives of the Rosen House. The Focus Tours breathe fresh life into historical art and objects, uncovering hidden narratives, forgotten contexts, and evolving interpretations that resonate with modern audiences. The 2024 Focus Tour magnified the significant number of works at Caramoor by and about women artists, many of whom Walter and Lucie Rosen considered friends. The docent-led tours taught visitors about the artists including painters, sculptors, and performers and their work revealed by new, fascinating research gleaned from Mrs. Rosen's diaries and correspondence. The Rosen House attracted 4,000 visitors in 2024.Desc

DescEducation/Mentoring - See Schedule OCollaborations with local organizations strengthened our commitment to inclusivity, ensuring Caramoor remains a place where audiences from diverse backgrounds feel welcomed and inspired. Educational programs like Evnin Rising Stars, Schwab Vocal Rising Stars, and Terra Quartet's residency, nurtured emerging talent and children's concerts introduced young listeners to the joy of live music. Caramoor continues to enhance cultural vibrancy and create meaningful artistic experiences for the public. Caramoor's mentoring program provides opportunities for emerging talent to learn from established professionals, cultivating creativity, career growth, and artistic innovation. Since its founding in 1992, our mentoring program has been at the heart of our mission, providing young professional musicians with the opportunity to develop their artistry, gain invaluable performance experience, and engage with audiences in meaningful ways. Each year, the program brings these emerging artists to the stage, offering them the platform and guidance needed to refine their craft, expand their professional networks, and prepare for successful careers in the music industry. Through thoughtfully curated public performances, we not only share exceptional music with our audiences but also ensure that the legacy of musical excellence continues to thrive for future generations. In the 2024 season, we continued Caramoor's tradition of mentoring young artists through various programming and performances. One example is the Ernst Stiefel String Quartet-in-Residence: one up-and-coming string quartet is chosen each year to complete a year-long residency at Caramoor. This year's quartet, the Terra String Quartet, has visited ten schools as part of our Student Strings program. The quartet also performed concerts at the schools and at Caramoor. Approximately 700 students were served by Caramoor's Education program in 2024.Desc

Part III, Line 4:The historic Rosen House, with its period rooms and collections, is open to the public for tours. In addition, the archival materials are a great source of humanities research in a number of fields. One example is the documentation relating to the Rosens' patronage of Leon Theremin and championing of his early electronic music instrument. This material has been a source of study for theremin researchers, including Robert Moog, who began building theremins in the 1950s as a high school student and later went on to design the Moog synthesizer and Albert Glinsky, Theremin's biographer and the author of Theremin: Ether Music and Espionage. The Rosen House collection demonstrates a tremendous breadth of art objects, furniture, and archival material. The art and furniture encompass over 1,000 cataloged objects, including European furniture from the 16th-19th centuries; European medieval and Renaissance paintings, sculpture, textiles, and decorative objects; and Asian statuary. There are also approximately 100 light fixtures and decorative elements by Edward F. Caldwell and Company dating from the 1930s. Other categories include photographs, textiles, early 20th-century costumes, and musical instruments. In addition, there is a wealth of ephemeral material relating to the Rosens, the development of the Caramoor campus, and the establishment of the Summer Music Festival. Objects from the collection displayed in the Music Room of the Rosen House - including a wooden 16th-century Italian ceiling, French and Swiss 16th-century-stained glass, Renaissance tapestries, and 17th-century furniture - create an incomparable setting for chamber music performances. The collection also provides primary material for Caramoor's arts-in-education programs. Students participate in guided tours and are encouraged to use the collection as inspiration for their own writing, drawing, and music-making.
Part V, Line 4:Caramoor maintains various donor-restricted endowment funds and board-designated quasi-endowment funds whose purpose is to provide long-term support for its charitable programs.
Part X, Line 2:Caramoor recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that Caramoor had no uncertain tax positions that would require financial statement recognition and/or disclosure.

Form 990, Part I, Line 1:Caramoor Center for Music and the Arts is a vibrant 501(c)(3) nonprofit cultural arts center located on an 81-acre estate in Katonah, NY. Established in 1946 by founders Lucie and Walter Rosen, Caramoor was envisioned as a center for music and art. Today, it continues to honor that legacy while evolving into a dynamic 21st-century destination for exceptional music, captivating programs, and inspiring experiences. Our combined activities enabled Caramoor to provide enriching cultural experiences to audience members across a diverse range of musical genres. Many attendees shared that they were drawn to Caramoor's programming because of its celebration of cultural heritage with events like the Juneteenth Celebration featuring Charles Turner & Uptown Swing and the Hispanic Heritage Month performance by People of Earth fostering a sense of connection and representation. Free programs like Soundscapes further expanded access to the arts.
Form 990, Schedule O Narratives:The information contained in the return is relevant through December 31, 2024 and does not reflect any activity in 2025.
Form 990, Part I, Question 5, and Part V, Question 2A:The Organization contracted with a professional employer organization (PEO) for services, including but not limited to, payroll, timekeeping, employee benefits, HR administration and workforce regulatory compliance needs. As the employer of record for tax purposes, Forms W-2 and W-3 are issued by the PEO and filed under the PEO's Federal EIN. In this co-employment arrangement, the Organization is the common law employer and, accordingly, compensation is reported on Form 990, Part VII, Section A and Part IX, Lines 5-10.
Form 990, Part III, Line 4a:In 2024, Caramoor welcomed audiences of 35,000 to experience world-class performances by over 500 musicians and artists. Highlights included Wynton Marsalis, The Knights with Aaron Diehl, the Owls and Calidore Quartet, Sutton Foster, Apollo's Fire, the Orchestra of St. Lukes and the Abdullah Ibrahim Trio. Our commitment to artist development flourished through mentoring programs like Evnin Rising Stars, Schwab Vocal Rising Stars, and our string quartet-in-residence, Terra Quartet. Free events engaged the community, from Soundscapes and our Juneteenth Celebration featuring Charles Turner & Uptown Swing to People of Earth's Hispanic Heritage Month performance. We also engaged young audiences with three concerts tailored for children, including the Mariel Bildsten Trio, Grammy winner Lucy Kalantari, and percussionist Gabriel Globus-Hoenich. These programs enriched our community and advanced Caramoor's mission to inspire through music and culture.
Form 990, Part VI, Section A, line 4In 2024, the organization amended its By-Laws to: (i) establish trustee term limits of three consecutive three-year terms, with a required one-year break before re-election; (ii) update provisions on board meetings, notices, quorum, and annual reports to conform with the New York Not-for-Profit Corporation Law (N-PCL); (iii) clarify that officers of the board are limited to the Chair, Vice Chair(s), Secretary, and Treasurer (unpaid, elected annually, without voting authority), while the CEO is designated as an officer of the corporation; (iv) reclassify and simplify board and corporation committees to better align with their functions; and (v) streamline provisions on related party transactions, conflicts of interest, and whistleblowers by referencing N-PCL requirements.
Form 990, Part VI, Section B, line 11bThe prepared Form 990 is reviewed by senior management, the members of the Audit Committee, and then provided to the Board of Trustees prior to filing. Management, the Audit Committee members, and the independent auditors review and discuss the return. If necessary, the independent auditors submit an updated Form 990 to the CFO. The CFO confirms that the updates are accurate and posts the final draft to Drop Box. The URL address for the Drop Box file is circulated to the Board. Comments from the Board are collected and reviewed by the Audit Committee. Final edits, if any, are made and the Form 990 is filed.
Form 990, Part VI, Section B, line 12cCaramoor followed its conflict of interest policy. A conflict of interest disclosure statement shall be furnished annually by each trustee and each covered employee disclosing any anticipated or possible conflict situations. Covered employees shall be senior employees and other employees who have a decision-making role in hiring or contracting. Each new trustee shall be advised of the policy and furnished a disclosure statement upon undertaking the duties of such office. When any conflict of interest may be involved in a transaction requiring action by the Board of Trustees or committee of the Board, the interested person shall call it to the attention of the Board of Trustees or such committee and the trustee concerned shall not vote on the matter. Moreover, the person having a conflict shall retire from the room in which the Board or committee is meeting and may not participate in the final deliberation or decisions regarding the matter under consideration. However, that person may provide the Board or committee with any and all relevant information before retiring. The minutes of the meeting of the Board or committee shall reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion or vote and did not vote. When there is a doubt as to whether a conflict of interest exists, the matter shall be resolved by the Board of Trustees excluding the person whose situation will be discussed. When any conflict of interest may be involved in a matter involving an employee, such employee shall notify the Board of Trustees and the Chief Executive Officer of Caramoor. Form 990, Part VI, Section B, line 15Caramoor has a formal Compensation Committee which annually reviews salaries, bonuses, and benefits for all Caramoor employees. The Committee pays special attention to the positions of CEO, AD, CDO, and CFO. Annual reviews include an assessment by the employee, the employee's supervisor, and recommendations from the CEO. Minutes of the Committee's deliberations and decisions are forwarded to the CFO to be carried out and filed. The last meeting of the Compensation Committee took place on December 13, 2024.

Form 990, Part I, Line 6:Volunteers Through their generous commitment of time, enthusiasm, and expertise, Caramoor benefits from the contributions of volunteers throughout the year. In a typical year, the number is determined by the scope of Caramoor's presenting activities and educational programs, in addition to the availability of the volunteers themselves. The majority of volunteers act as ushers at Caramoor's year-round music presentations. They are often the public face of Caramoor, acting as greeters, helping audience members to their seats, and helping to ensure the visiting public's safety and comfort. They also provide guidance during public tours of the Rosen House as well as performing clerical duties and undertaking cataloging projects. Board of Trustees Caramoor's Board of Trustees is responsible for the organization's governance, long-term strategy, and fiduciary oversight, while the senior staff is responsible for the day-to-day operation of Caramoor, including management and recommending annual budgets to the board. The board and staff work collaboratively in setting priorities for the organization's future. Caramoor's 28 board members come from diverse backgrounds and bring a wide range of professional expertise. By serving on various committees, including Finance, Building, Marketing, Development, and more, our board members act as fully engaged stewards of Caramoor's mission. One hundred percent of the board participates personally by making major contributions to support annual operating costs as well as fundraising for Caramoor. Additionally, individual board members support the organization through the establishment of endowment funds and contributions toward capital improvements and acquisitions. Advisory Council Established in 2013, the Advisory Council is comprised of members who have demonstrated a deep commitment to furthering Caramoor's mission and impact. The group, comprised of 23 members in 2024, formally meets twice a year, once with the Board of Trustees for Caramoor's Annual Meeting, and once on their own. Members also serve as members of committees of the organization, are involved in special initiatives/projects, and in advisory roles to various staff members. Individuals are selected by the Governance Committee from among our dedicated ticket buyers and donors for renewable terms of three years. Some Advisory Council members have moved up to serve on the Board of Trustees after service on the Advisory Council. The engagement of the Advisory Council continues to be an important element of Caramoor's success in engaging the broader community and undertaking a larger volume of initiatives with success.
