Form And Line ReferenceSchedule D, Part X, Line 2 FIN 48 (ASC 740) footnoteFormAndLineReferenceDesc
ExplanationSchedule D, Part X, Line 2 requires that the organization provide the text of the footnote to the organization's financial statements that reports the organization's liability for uncertain tax positions under ASC 740. ASC 740 addresses the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a threshold of more-likely-than-not for recognition and derecognition of tax positions taken or expected to be taken in a tax return. The adoption of ASC 740 by Bon Secours Mercy Health, Inc. on September 1, 2007 did not have a material impact on BSMH's consolidated financial statements. As the organization does not conduct a separate audit of its financial statements, below is the related statement from the Bon Secours Mercy Health, Inc. consolidated audited financial statements: The Company and most of its subsidiaries (including certain joint venture entities) are exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended. Their related income is exempt from federal income tax under Section 501(A). Some of the subsidiaries are taxable entities, and some of the income of the tax-exempt entities is subject to taxation as unrelated business taxable income. The Company and its subsidiaries file U.S. federal income tax returns, and they also file in various state and foreign jurisdictions. The Company accounts for uncertain tax positions in accordance with ASC Topic 740, Income Taxes. The Company accounts for uncertainty in income tax positions by applying a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The Company has determined that no significant unrecognized tax benefits or liabilities exist for the years ended December 31, 2024 and 2023.ExplanationTxt

Schedule H, Part V, Section B, Line 5 Facility A, 1Facility A, 1 - MERCY HEALTH - SPRINGFIELD REGIONAL MEDICAL CENTER. Springfield Regional Medical Center participated in a regional Community Health Needs Assessment (CHNA) process through participation with the Health Collaborative and Greater Dayton Area Hospital Association as well as a local Community Health Needs Assessment (CHNA) process coordinated by the Clark County CHNA/CHIP Stakeholder Group ("Stakeholder Group "Group"). Because the regional assessment included Cincinnati, Dayton, Springfield, and Urbana, we wanted to make sure the data collected, and priorities selected had the appropriate mix of localized data and health prioritization. As part of our regional CHNA data collection process, The Health Collaborative supported in providing tools for community input. Utilizing these tools, the needs assessment used a mixed-method approach to data collection, including secondary quantitative data and primary quantitative (Regional CHNA community and provider surveys) and qualitative (focus groups and interviews) data. Secondary data collection, beginning in January of 2021, sought to understand the greatest health conditions of the region, including prevalence and impact on community members. These results informed the creation of survey items that were organized around a set of cocreated research questions. Each data collection strategy adhered to a recruitment plan to ensure a representative sample of community members, voices of marginalized populations, and providers across the health and social services sectors were captured. All results are summarized for the region, which includes the Cincinnati Metropolitan Statistical Area (MSA), Dayton-Kettering MSA (including Clark County, which is not part of the Dayton MSA but is similar in that it borders the Dayton MSA and is not a rural county), and other rural counties in the geographic service area that are predominately rural and not included in other MSAs. Overall, the scope of data collection included 8,321 community surveys available in five languages, 859 provider surveys, and 5 focus Groups. The community surveys represented 26 counties, males, females, ages 18-65+, Black/African American, Multiracial, Asian, American Indian, Alaskan Native, White, and Hispanic/Latino populations. The provider surveys represented behavioral health, education, emergency medical services, faith-based organizations, federally qualified health centers, justice/corrections, medical care (adult, geriatric, pediatric), oral health, organizations addressing health related social needs and social determinants of health, pharmaceutical, and public health departments. The focus Groups were facilitated by the Clark County Combined Health District with sessions held with Latino Coalition, Springfield Promise Neighborhood, Family youth initiatives, and Restored Life Ministries. Schedule H, Part V, Section B, Line 20 Facility A, 1Facility A, 1 - BON SECOURS MERCY HEALTH HOSPITALS. Bon Secours Mercy Health hospitals take all reasonable efforts to notify an individual about its Financial Assistance Policy before initiating Extraordinary Collection Actions (ECAs) pursuant to IRC Section 501(r)-6(c)(4), including but not limited to, providing the individual with a written notice that indicates financial assistance is available for eligible individuals, identifies the ECAs that the hospital (or other authorized party) intends to initiate to obtain payment, and states a deadline after which such ECA may be initiated that is no earlier than 30 days after the date that the written notice is provided. During the annual internal audit of Bon Secours Mercy Health (BSMH) hospitals which was completed on October 28, 2024, the internal audit team identified an error to properly notify the patient about the extraordinary collection actions (ECAs) that the hospital intends to initiate to obtain payment and provide the patient with no less than 30 days for payment before initiating such ECAs. The error was the result of a systematic change made by a third party engaged to generate patient account statements. The change was made in January 2024 and inadvertently removed the ECA notification on the statements that contained more than one episode of care. Any statements with only one episode of care were not impacted. The statements were corrected in October 2024, and all statements after that date include the proper ECA notification language. At the time the error was identified, BSMH identified 317 accounts during the period of January 23 - October 2, 2024, that received adverse credit reporting and did not receive the proper written notification required under IRC Section 501(r)-6(c)(4). In March 2025, BSMH notified the applicable collection agencies to reverse the adverse credit reporting and put a hold on any further collection actions. BSMH will not pursue any additional collections on the open balances totaling $354,089 for the identified dates of service for those patients, and any open balances will be written-off. BSMH issued the letter notifying the patients of the corrective action taken, no additional actions are needed by the patient, and the balances for those identified episodes of care have been resolved. This letter was mailed to the respective recipients in June 2025. BSMH will continue to perform an internal audit on a regular and continuous basis at least once per year to ensure compliance. We do not believe the error to be considered "willful or egregious BSMH has performed internal research to identify how the minor oversight occurred and taken additional steps to ensure compliance going forward.

Schedule H, Part I, Line 7g Subsidized Health ServicesCOMMUNITY MERCY HEALTH PARTNERS (CMHP) OPERATES THE DPM REACH PROGRAM SUBSTANCE ABUSE AND COPD CLINIC. THE AMOUNT OF SUBSIDIZED HEALTH SERVICES ATTRIBUTABLE TO THE PHYSICIAN CLINIC IS $430,618.
Schedule H, Part I, Line 7 Bad Debt Expense excluded from financial assistance calculation17955666
Schedule H, Part I, Line 7 Costing Methodology used to calculate financial assistanceCost of financial assistance at cost was calculated with a cost to charge ratio using worksheet 2. The cost related to Medicaid patients was determined using Bon Secours Mercy Health's cost accounting system and included both inpatients and outpatients for traditional Medicaid and Medicaid managed care plans. For subsidized services Bon Secours Mercy Health's cost accounting system used to determine cost related to the specific service excluding traditional Medicaid and Medicaid managed care patients. Costs for charity and bad debt accounts are deducted using a ratio of cost to charge specific to that subsidized service. Costs for other programs reflect the direct and indirect costs of providing those programs.
Schedule H, Part II Community Building ActivitiesCommunity Mercy Health Partners (CMHP) addresses various community concerns including health improvement, poverty, workforce development, and access to health care. CMHP hospitals conduct community health education and support groups, health fairs and screenings for the communities served. CMHP hospitals work with state and local leadership to address community needs and provide healthcare services to the poor and underserved. CMHP is committed to addressing the social determinants of health (SDOH) and social needs for patients and communities throughout our footprint. With a deep understanding of both areas, the team is working systematically across the ministry and in our local communities to ensure we respond holistically and impactfully. CMHP addresses SDOH through its Community Health Needs Assessment (CHNA), Community, investment strategy, advocacy/public policy partnerships, and cross sector solutions. CMHP addresses social needs through SDOH patient assessment, health education/promotion programs, capacity building of local community resources, and closed loop referral system. Additional detail regarding CMHP's community building activities and the promotion of health of its communities can be found in the 2024 Community Health Annual Report prepared by Bon Secours Mercy Health available at https://www.mercy.com/about-us/mission/giving-back.
Schedule H, Part III, Line 2 Bad debt expense - methodology used to estimate amountTHE PROVISION FOR BAD DEBTS IS BASED UPON MANAGEMENT'S ASSESSMENT OF HISTORICAL AND EXPECTED NET COLLECTIONS CONSIDERING HISTORICAL BUSINESS AND ECONOMIC CONDITIONS, TRENDS IN HEALTH CARE COVERAGE, AND OTHER COLLECTION INDICATORS. NET PATIENT ACCOUNTS ARE REDUCED BY AN ALLOWANCE FOR DOUBTFUL RECEIVABLES BASED UPON BON SECOURS MERCY HEALTH'S (BSMH) HISTORICAL COLLECTION EXPERIENCE ADJUSTED FOR CURRENT ENVIRONMENTAL RISKS AND TRENDS FOR EACH MAJOR PAYOR SOURCE. SIGNIFICANT PROVISION IS MADE FOR SELF-PAY PATIENT ACCOUNTS IN THE PERIOD OF SERVICE BASED ON PAST COLLECTION EXPERIENCE. BSMH'S CONCENTRATION OF CREDIT RISK RELATED TO NET PATIENT ACCOUNTS IS LIMITED DUE TO THE DIVERSITY OF PATIENTS AND PAYORS. NET PATIENT ACCOUNTS CONSIST OF AMOUNTS DUE FROM GOVERNMENTAL PROGRAMS (PRIMARILY MEDICARE AND MEDICAID), PRIVATE INSURANCE COMPANIES, MANAGED CARE PROGRAMS AND PATIENTS THEMSELVES. NET PATIENT SERVICE REVENUE FOR SERVICES PROVIDED TO PATIENTS WHO HAVE THIRD-PARTY PAYOR COVERAGE IS RECOGNIZED BASED ON CONTRACTUAL RATES FOR SERVICES RENDERED. BSMH RECOGNIZES A SIGNIFICANT AMOUNT OF PATIENT SERVICE REVENUE AT THE TIME SERVICES ARE RENDERED EVEN THOUGH IT DOES NOT ASSESS THE PATIENT'S ABILITY TO PAY. AS A RESULT, THE PROVISION FOR BAD DEBTS IS PRESENTED AS A DEDUCTION FROM PATIENT SERVICE REVENUE (NET OF CONTRACTUAL PROVISIONS AND DISCOUNTS). AMOUNTS RECOGNIZED ARE SUBJECT TO ADJUSTMENT UPON REVIEW BY THIRD-PARTY PAYORS. FOR UNINSURED PATIENTS THAT DO NOT QUALIFY FOR CHARITY CARE, BSMH RECOGNIZES REVENUE WHEN SERVICES ARE PROVIDED. BASED ON HISTORICAL EXPERIENCE, A SIGNIFICANT PORTION OF BSMH'S UNINSURED PATIENTS WILL BE UNABLE OR UNWILLING TO PAY FOR SERVICES PROVIDED. THUS, BSMH RECORDS A SIGNIFICANT PROVISION FOR BAD DEBTS RELATED TO UNINSURED PATIENTS IN THE PERIOD THE SERVICES ARE PROVIDED. ANY DISCOUNTS APPLIED TO SELF-PAY PATIENTS WOULD BE DEEMED EITHER CHARITY OR A CONTRACTUAL ADJUSTMENT. BAD DEBT WOULD BE BASED ON THE BALANCE AFTER THE CHARITY OR CONTRACTUAL ADJUSTMENT THAT IS DEEMED UNCOLLECTABLE FOLLOWING A REASONABLE COLLECTION EFFORT.
Schedule H, Part III, Line 3 Bad Debt Expense MethodologyThe hospital's financial assistance policy does not permit the cost of patients who are uncooperative or unable to be located to be reclassified from bad debt to financial assistance. The hospital's financial assistance policy requires an application and supporting documentation. The hospital also utilizes available resources (e.g. technology solutions, service organizations, etc.) to obtain such information as credit score to assist in determining whether a patient is presumed eligible for financial assistance pursuant to the BSMH Financial Assistance Policy. Therefore, zero dollars are being reported on Part III, Line 3 as amounts included in bad debt that could be attributable to patients eligible under the hospital's financial assistance policy. The hospital follows the Catholic Health Association of the United States policy document, Community Benefit Program, A Revised Resource for Social Accountability ("CHA guidelines") for determining community benefit. The CHA guidelines recommend that hospitals not include bad debt expense as community benefit.
Schedule H, Part III, Line 4 Bad debt expense - financial statement footnoteBON SECOURS MERCY HEALTH'S (BSMH) AUDITED FINANCIAL STATEMENTS DO NOT CONTAIN A FOOTNOTE THAT DESCRIBES BAD DEBT EXPENSE. BAD DEBT EXPENSE IS REFLECTED AS A DEDUCTION FROM REVENUE RATHER THAN AS AN OPERATING EXPENSE. NOTES TO CONSOLIDATED FINANCIAL STATEMENTS, 2. SIGNIFICANT ACCOUNTING POLICIES, (d) NET PATIENT ACCOUNTS AND NET PATIENT SERVICE REVENUE (PAGES 9 & 10) STATES Patient receivables are recorded at net realizable value based on certain assumptions determined by payor class. For third party payors including Medicare, Medicaid, and commercial insurance, the net realizable value is based on the estimated contractual reimbursement percentage, which is based on current contract prices or historical paid claims data by payor. For self-pay receivables, which includes patients who are uninsured and the patient responsibility portion for patients with insurance, the net realizable value is determined using estimates of historical collection experience. These estimates are adjusted for estimated conversions of patient responsibility portions, expected recoveries and any anticipated changes in trends.
Schedule H, Part III, Line 8 Community benefit & methodology for determining medicare costsA cost to charge ratio is applied to the organization's Medicare gross charges to calculate Medicare costs, which are then compared to Medicare payments received, to determine a Medicare Gain or Loss. BON SECOURS MERCY HEALTH AND ITS MEMBERS follow the Catholic Health Association (CHA) Guidelines for determining community benefit. CHA Community Benefit reporting guidelines suggest that a Medicare shortfall (Loss) is not treated as community benefit, even though the hospital has incurred losses in providing care to Medicare patients. Therefore, none of the amount on Line 7 is treated as community benefit.
Schedule H, Part III, Line 9b Collection practices for patients eligible for financial assistancePATIENTS KNOWN TO QUALIFY FOR CHARITY CARE OR FINANCIAL ASSISTANCE ARE NOT SENT TO A COLLECTION AGENCY. THE ORGANIZATION REPEATEDLY OFFERS PATIENTS ACCESS TO FINANCIAL HELP DURING THEIR HOSPITAL STAYS AND AFTER, AS WELL AS WITH EACH BILLING NOTICE. BILLS ARE SENT TO A COLLECTION AGENCY AS A LAST RESORT AND ONLY: WHEN PATIENTS HAVE THE ABILITY TO PAY SOME PORTION OF THEIR HEALTHCARE EXPENSES BUT REFUSE TO DO SO; WHEN PATIENTS REFUSE TO WORK WITH THE ORGANIZATION TO DETERMINE IF THEY QUALIFY FOR FREE OR DISCOUNTED CARE VIA FEDERAL, STATE, LOCAL OR HOSPITAL ASSISTANCE PROGRAMS; WHEN THE ORGANIZATION IS UNABLE TO LOCATE THE PATIENT OR PERSON RESPONSIBLE FOR THE BILL. Patients that are presumed to be eligible for financial assistance based on individual life circumstances will be provided 100% financial assistance. Patients determined to have presumptive financial assistance eligibility will not be required to meet income criteria, asset eligibility criteria, or fill out a financial assistance application. BSMH utilizes available resources (e.g. technology solutions, service organizations, etc.) to obtain information such as credit scores to assist in determining a patient's presumed eligibility.

Schedule H, Part VI, Line 4 Community informationTHE COMMUNITY FOR EACH HOSPITAL IN THE BON SECOURS MERCY HEALTH (BSMH) SYSTEM IS DEFINED BOTH BY MISSION AND GEOGRAPHY. THE GEOGRAPHIC COMMUNITY IS DEFINED BY EACH HOSPITAL'S IMMEDIATELY CONTIGUOUS AREAS AS WELL AS BY THE BROADER SURROUNDING COUNTIES/REGIONS WHERE THE MAJORITY OF DISCHARGED PATIENTS RESIDE. ADDITIONALLY, THE COMMUNITY INCLUDES PATIENTS WHO REQUIRE THE EXPERTISE AND SPECIALIZED SERVICES OF A BSMH HOSPITAL. Community Mercy Health Partners' (CMHP) primary service area includes Clark and Champaign counties, which have a total population of approximately 175,000. The residents of the CMHP primary service area are generally older, poorer and have worse health statistics than state and national averages. Unemployment has also risen in our community during the last several years, and we serve a growing number of uninsured and underinsured patients. CMHP owns two of the three hospitals in this geographic area. The third hospital (not owned by CMHP) is a limited-service for-profit hospital that specializes in outpatient and short-stay surgery, and it does not have an emergency department. Springfield City Proper is predominantly a manufacturing community with jobs still rooted in that industry today. As a county the primary demographics are comprised of residents who are: White, Non-Hispanic (84.1%), African American (8%), Hispanic (3.4%) and Two or more races (3.6%). 47% of our residents are married while 29% have never married or are Divorced at 13.7%. 45% of our married households have families while 14% are Single, female parent families. 28.9% of our residents are individuals living alone. Clark County has higher than average health risk factors and higher averages of individuals with disabilities, sexually transmitted diseases, and chronic diseases. Additionally, babies in Clark County are more likely to be born below average birth weight and pre-term in comparison with the state averages. Nearly 20% of Clark County women who are pregnant smoke during their pregnancy and only about 66% of Clark County women receive adequate (or better) prenatal care. Champaign County is home to the City of Urbana. Access to care is an issue here as in many rural counties, with low numbers of primary care, mental health, and preventable hospital stays are higher than the Ohio average. The percentage of adults who smoke and the number of poor physical and mental health days are also higher than the U.S. and Ohio averages. Champaign County has community strengths, as well. Among these strengths are their socio-economic standing with positive high school graduation rates aligned with the state average, lower unemployment than the state average, and higher median household income than the state average. This also translates to generally lower behavioral risk factors across the board. ADDITIONAL DETAIL REGARDING THE COMMUNITY SERVED BY COMMUNITY MERCY HEALTH PARTNERS CAN BE FOUND IN EACH HOSPITAL'S CHNA AT THE FOLLOWING LINK: https://www.mercy.com/about-us/mission/giving-back/community-health-needs-assessment

We exist to benefit the people living in the communities it serves. Through all of the services offered to the community, the mission is "to bring compassion to health care and to be good help to those in need, especially those who are poor and dying. As a System of caregivers, we commit ourselves to help bring people and communities to health and wholeness as part of the healing ministry of Jesus Christ and the Catholic Church." This organization and related organizations share the BSMH Vision. We at BSMH are committed to improve the health of the communities by seeing health broadly though a lens of equity. This allows the Ministry to be recognized as a national leader in addressing the root causes of health disparity through intentional engagement, comprehensive investment and impactful program delivery. To achieve this goal of improving the health of our communities, our work is guided by the BSMH Community Health Strategic Plan. This strategic plan is broken down into four pillars, each with a corresponding focus area. We believe these pillars will allow us to expand upon our already existing commitment to the communities we serve. Pillar 1: Improve Health and Well-Being - Targeted interventions on focused populations that reduced utilization, enhanced well-being, and increased access to care. Pillar 2: Expand Community Development Principles - Clarity and focus on system wide fundraising strategy for community health priorities. Pillar 3: Partner to Build Scale - Work with partners of local, regional, and national prominence and excellence in addressing root causes of health and well-being. Pillar 4: Cultivate Investment and Business Development in the Social Determinants of Health - Test and develop new ventures in the community health worker arena. Please see Schedule R for listings of the related organizations. Each of the reported entities play a role in achieving the vision of BSMH and the SQP (Strategic Quality Plan). System-wide community benefit for 2024 per the audit footnote is as follows: Total 2024 Community Benefit: $524.3 Million Benefits to the Broader Community: $164.9 million Unreimbursed Care for Those Who Are Poor and Qualify for Medicaid: $217 million Cost of Care for Those Who Could Not Afford to Pay: $142.4 million

ExplanationBon Secours Mercy Health (BSMH) has a long-standing history of providing philanthropic support to community-based organizations that advance our Mission and support our health care priorities. BSMH Hospital sponsorship and donations support broad-reaching, health-related charitable causes that contribute to the direct health and wellness of the citizens in our community. Preference is given to donations and sponsorships for health and wellness for the community, supporting a community service or program, supporting programs that advance the mission of BSMH, and support for organizations with good standing and positive community image. The application process and requirements vary by BSMH hospital The Sponsorship Committee and executive leaders of each BSMH hospital or region will review all requests for sponsorship and donations on a monthly or quarterly basis. Communication via letter or email is provided to the community partners and awardees regarding the use and intent of the funding. Awardees may be required to report back on how the funds were used in their subsequent application for funding. BSMH has a financial assistance program that includes charity care, which provides free or discounted medically necessary care to eligible patients who cannot afford to pay. Eligibility is typically based on factors like income and lack of insurance, with specific criteria often found on their billing or patient financial assistance website. Based on the aforementioned eligibility criteria, some services such as medical transportation, durable medical equipment and outpatient prescriptions are separate from hospital charges and may be eligible for financial assistance.ExplanationTxt

Form 990, Part VI, Line 12c Conflict of interest policyBSMH maintains a written and board approved Conflict of Interest Policy. The policy requires board members, officers, directors and key employees to annually disclose interests that could give rise to conflicts. The Integrity and Stewardship Committee (ISC) of the BSMH Board has the ultimate responsibility for Conflict of Interest, including the Policy implementation, compliance monitoring, and enforcement. Through the ISC, the Policy establishes the annual and ongoing requirement to make disclosures. BSMH Compliance Department reviews all Conflict of Interest disclosures to determine if a disclosed matter constitutes a potential Conflict of Interest requiring management intervention. The review constitutes an independent evaluation of all available facts and circumstances by a disinterested party. Potential Conflicts are shared with the disclosing individual's board chair or supervisor ("Leader"), and in collaboration with the BSMH Compliance Department, the Leader will conclude if an actual conflict exists and, if so, determine how it will be managed. Depending on the facts and circumstances, resolutions may include, but are not limited to, ongoing disclosure, recusal from board or committee deliberations and decision, or removal of the conflict. Upon the completion of the annual review process and review with the individual's Leader, the BSMH Compliance Department reviews all potential and actual conflicts and how they will be managed with the ISC Chair for input prior to submission to the ISC.
