Part V, Line 4:The Foundation is a community foundation that provides grant and loan assistance to nonprofit organizations and to students. The intended use of the various endowment funds is based on donor instructions at the time each fund was established. Purposes vary and include education, environment, health, arts & humanities, community building, and human services.
Part X, Line 2:The Foundation and its wholly-owned LLC are exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The consolidated Corporation accounts for income taxes under the liability method in accordance with provisions of Accounting Standards Codification Topic 740, Income Taxes (ASC 740). Under the liability method, deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the consolidated financial statement carrying amounts of existing assets and liabilities and their respective tax bases and operating loss carryforwards. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. The consolidated Corporation maintains a valuation allowance for deferred tax assets for which recovery is uncertain. The Corporation also accounts for uncertain income tax positions under ASC 740. ASC 740 prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return and also provides guidance on de-recognition, classification, interest and penalties, disclosure and transition. Generally, the Corporation's preceding three years are open for examination by federal and state taxing agencies. In addition to being subject to U.S. and various state taxes, the Corporation is also subject to tax in foreign jurisdictions. The affiliated corporation accounts for uncertain tax positions using a "more-likely-than-not" threshold for recognizing and resolving uncertain tax positions. The evaluation of uncertain tax positions is based on factors that include, but are not limited to, changes in tax law, the measurement of tax positions taken or expected to be taken in tax returns, the effective settlement of matters subject to audit, new audit activity and changes in facts or circumstances related to a tax position. Management has evaluated the Foundation's tax positions and concluded that the Foundation has maintained its tax-exempt status, does not have any significant unrelated business income and has taken no uncertain tax positions that require adjustment to the financial statements.

Part I, Line 2:Activities outside the United States relate to the Neil and Louise Tillotson Fund and the Tillotson Coaticook Fund, both donor advised funds, which make grants to organizations in Canada, and the Tillotson Guatemala Fund, a donor advised fund which makes grants to organizations in Guatemala. In addition, grants are made from a donor advised fund to a public charity in Utah that supports a charitable school in Ecuador. There is also a designated fund which benefits Foret Hereford in Canada. Procedures for the Neil and Louise Tillotson Fund: 1. Organizations are required to submit a full written application stating the purpose for which the funds will be used. 2. Depending on the size of the request, New Hampshire Charitable Foundation (NHCF) staff review the application and interview the applicant as well as leaders in the field regarding the purpose of the grant applications or the full application goes to a grantmaking committee ("Local Grants Committee") for committee review. 3. The Neil and Louise Tillotson fund advisory committee or the Local Grants Committee of the fund makes award recommendations for Canadian applicants. 4. All grant awards specify the purpose for which the funds will be used. 5. In many cases, NHCF contracts with The Resource Foundation of New York to review and manage the applicant status and project purposes for compliance with the Internal Revenue Service requirements for international grantmaking. 6. The Resource Foundation assumes all responsibility for the due diligence and management of the international compliance process. This includes the expenditure responsibility process inclusive of bi-annual reporting with each recommended grantee. 7. NHCF awards a grant to The Resource Foundation, as fiscal agent, representing each approved grantee organization. 8. In a few cases, NHCF has partnered with a Canadian charity that has U.S. equivalency status to manage the applicant and compliance process. 9. NHCF maintains final grant reports from The Resource Foundation and/or grantee organizations. 10. All grant recommendations from the advisory committee or local grants committee are ultimately determined and approved by NHCF staff or board. Procedures for the Tillotson Guatemala Fund: 1. Organizations are required to submit a full written application stating the purpose for which the funds will be used. 2. The Tillotson Guatemala Fund Advisory Committee makes award recommendations for Guatemala grant applicants. 3. All grant awards specify the purpose for which the funds will be used. 4. In many cases, NHCF contracts with The Resource Foundation of New York or the International Community Foundation in California to review and manage the applicant status and project purposes for compliance with the Internal Revenue Service requirements for international grantmaking. 5. The intermediary assumes all responsibility for the due diligence and management of the international compliance process. This includes the expenditure responsibility process inclusive of bi-annual reporting with each recommended grantee. 6. NHCF awards a grant to the intermediary, as fiscal agent, representing each approved grantee organization. 7. In a few cases, NHCF has partnered with a U.S. or Guatemalan charity that has U.S. equivalency status to manage the applicant and compliance process. 8. NHCF maintains final grant reports from the intermediary and/or grantee organizations. 9. All grant recommendations from the advisory committee are ultimately determined and approved by NHCF staff or board. Procedures for the Tillotson Coaticook Foret Hereford Fund and/or pass through grants: 1. The Tillotson Coaticook Fund Advisory Committee makes grant recommendations based on a bi-annual application and committee process. In turn, NHCF makes bi-annual grant distributions to the Coaticook Regional Country Municipality (MRC) of Coaticook, which has U.S. equivalency status and makes grant awards to each of the recommended organizations based on committee vote. The MRC of Coaticook assumes all responsibility for due diligence and management of the Canadian organizations awarded grants from the Tillotson Coaticook Fund. The Foret Hereford Fund is a designated fund at New Hampshire Charitable Foundation. A grant award is made annually via the MRC of Coaticook.

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Form 990, Part VI, Section A, line 7aThe Foundation has electors who elect the members of the governing body. Electors include members of the governing body and regional advisors.
Form 990, Part VI, Section A, line 7bThe following decision of the governing body is subject to approval by the electors: changes to the by-laws.
Form 990, Part VI, Section B, line 11bA copy of the Form 990 is provided to and reviewed by the audit committee. After review and finalization, a copy is provided to each board member prior to filing the final form.
Form 990, Part VI, Section B, line 12cAll Board Members and staff receive the written conflict of interest policy which clearly defines what constitutes a conflict. Each person is asked to document and sign a statement recording his or her personal conflicts. These forms are updated annually. In addition, during grant making discussions, those who have a conflict with the organization being discussed are asked to remind others of their conflicts. Those with a declared conflict are not eligible to discuss or vote on grant making for those organizations with which they have a conflict.
Form 990, Part VI, Section B, line 15The process for determining compensation for the Foundation's President includes an annual review by the Board of the President's performance. The Executive Committee of the Board reviews comparability data including survey information provided by an independent compensation consultant. The Committee presents a recommendation to the Board. The Board discusses the President's performance as well as the compensation recommendation. After deliberation, there is a board vote. The Chair of the Board prepares contemporaneous documentation of the discussion and vote. The members of the Board as well as the Executive Committee are independent. The process for determining compensation for senior management of the Foundation includes an annual performance review by the President. The President reviews comparability data including survey information provided by an independent compensation consultant and makes compensation decisions within the compensation program and structure as approved by the Board. The President prepares contemporaneous documentation of the discussion which includes the written and signed performance evaluation and compensation form showing salary range.
Form 990, Part VI, Section C, line 19The Foundation's Form 990 and audited financial statements are available to the public on the Foundation's website. They are also available upon request. The by-laws and conflict of interest policy are available to the public upon request.
Form 990, Part VIII, Line 3:The Foundation invests in several commingled funds and limited partnerships. Most of these funds and partnerships report income net of fees and the Foundation follows the same practice. As a result, some of the fees paid to investment managers are reflected as a reduction of investment income and not shown on the investment fees line (Part IX, Line 11f).
Form 990, Part X, Line 25Deferred Compensation Accrual: The Foundation adopted a 457(b) deferred compensation plan during 2010 for certain key employees. The purpose of the plan is to provide supplemental retirement income and the retention of key employees by offering benefits comparable with similar organizations. The Board of Directors approves set annual contributions and the cost is expensed when each contribution is made. The total cost of the plan charged to operations amounted to $27,750 and $29,000 in 2016 and 2015, respectively. At December 31, 2016 and 2015, $136,702 and $103,918, respectively, was accrued for this obligation. Total compensation including the deferred compensation plan is evaluated and approved annually by the Board. This process is documented in the Board minutes.
Form 990, Part XI, line 9:Change in Value of Split Interest Agreements 162,557.
Form 990, Part XII, line 2c:The audit committee oversees the audit of the financial statements and selects an independent auditor. The process has not changed from the prior year.
