DescThe Swedish Cancer Institute: Thanks to the generous support of our community, among our most significant accomplishments of 2016 was the opening of the Robert and Jean Reid Family Innovative Therapeutics and Research Unit which allowed us to greatly expand our clinical trials and research programs, giving our patients access to more groundbreaking treatments and technologies to better treat their cancer. We were also able to open the Michelle Sloan Family Kitchen, which provides a soothing space where patients, families and caregivers can access nutritious meals and snacks and consult with an on-site dietitian.Desc

DescSwedish Neuroscience Institute. Thanks to the support of our community, we were able to advance initiatives in four major programs. In the Swedish Multiple Sclerosis Center, the support of our community helped us conduct research and provide supportive care services for patients with multiple sclerosis including fitness and wellness classes, support groups, educational events and adventure and recreation programs. Most notably, donations in 2016 allowed us to launch our first Adventure Program, which helps patients with MS experience activities like skiing, kayaking and cycling. In the Ivy Center for Advanced Brain Tumor Treatment, donations helped to advance the Ivy Center's research to improve care, and ultimately extend lives for patients with brain cancer. With the Swedish Spinal Cord Research Platform, support of our community helped us launch a program to accelerate research and the pace of innovation so we can offer better treatment options to patients with paralysis. And finally, because of the support of the community, we were the first institution in the Northwest able to offer focused ultrasound to patients living with essential tremor. Because of these clinical trials, we are now able to offer this non-invasive treatment that dramatically improves the quality of life for patients with this common neurological disorder.Desc

DescSwedish Heart and Vascular Institute: Because of the support of our community we were able to continue expanding the Swedish Navigation Program for Advanced Cardiovascular Care, which brought "nurse navigators" -specialized nurses who work to improve patient outcomes by helping patients navigate complex treatment and testing protocols - to five specialty areas. The Navigation program also allowed Swedish to develop new patient education materials so that patients can better understand their treatment plan and supported clinical trials to test new treatment options for advanced cardiovascular disease. Finally, thanks to the support of the community, the Heart and Vascular Institute was able to install new high-tech monitors in our exam rooms to display calming animated artwork by local artist Catherine Mayer. In addition to providing a calming environment, these monitors also allow patients to review their health information with their physician to help them better understand their condition and empower them to take charge of their care.Desc

ExplanationThe Swedish Foundation's mission is to support Swedish Health Services. In the event that a grant is to be made outside of Swedish and its affiliates, the original donor agreement/gift in question is reviewed. The grant may be made if the original gift agreement allows for a change of purpose or to transfer to another organization if the original intent can no longer be met by Swedish. The Foundation will reach out to the donor (or surviving spouse if the donor is deceased) to inform them of our intention to re-direct a gift. Any payment to an outside organization will be accompanied by a letter from the Foundation President explaining the reason for the transfer along with the original intent of the gift.ExplanationTxt

Part I, Line 1aThe reporting organization did not provide any of the benefits listed in Part I, Line 1a. However, as part of the related organization's philosophy of transparency, the narrative that follows relates to the compensation and benefits provided by the related organization. Swedish executives adhere to the Providence Expense Reimbursement Procedures which include the following policies. Tax Indemnifications or Gross-Up Payments - Relocation Swedish follows the federal and state taxation laws related to relocation expenses paid to the employee or to a third party on the employee's behalf. They are considered income and are therefore subject to payroll taxes. Based on the way Swedish has chosen to pay the relocation expenses, Swedish reports reimbursements and payments to vendors as income and these expense payments are reflected on the executive's Form W-2. Swedish will gross-up the relocation benefits to offset the personal tax burden to the employee for IRS allowable expenses. During 2016, there was 1 Officer receiving gross-up payments. The amounts reported for these gross-up payments are included on Schedule J, Part II, Column B (iii) - Other Reportable Compensation on the Form 990. Housing Allowance or Residence for Personal Use Swedish provides housing allowances for purposes of relocation assistance only. Swedish may pay temporary living expenses for the employee up to a maximum of 90 calendar days. Covered expenses are rent (excluding "rent" which may be paid in order to occupy a new permanent residence until the title clears) and utilities, including heat, electricity, gas, water, local internet and local telephone and garbage services. The EVP, CAO PSJH may approve temporary housing assistance for up to six months when family relocation is delayed to accommodate the school year or equivalent circumstances. Only in extenuating circumstances is housing extended beyond this six month period. During 2016, there was 1 Officer receiving relocation/housing program payments. The amounts reported for these relocation/housing payments are included on Schedule J, Part II, Column B (iii) - Other Reportable Compensation on the Form 990.
Part I, Line 4bNONQUALIFIED RETIREMENT PLANS A) SERP = Supplemental Executive Retirement Plan 1) Anthony Armada a) SERP Earned but not Vested- $285,866 b) SERP Interest Credit - $30,610 2) Dan Harris a) SERP Interest Credit - $38,182
Part II - COMPENSATION OF INDIVIDUALSJohn L. Petersen, Betsy Vo, Dan Harris and Anthony Armada are paid employees of a related organization. They are not compensated for serving as trustees or officers by the Foundation.
FORM 990, SCHEDULE J, PART II - EXECUTIVE INCENTIVE PROGRAMSwedish executives participate in the Providence Executive Incentive Program which provides a lump sum award annually as a percent of the executive's base pay. Percent opportunities are aligned with our total compensation philosophy as outlined in Part VI, Section B, Line 15 (Process for determining compensation of top management, officers & key employees). The performance award is based on the level of accomplishment of annual system and functional (or regional) objectives. In 2016, 60 percent of the participant awards were based on pre-determined organizational goals consistent with Providence's strategic priorities. The remaining 40% was based on a robust set of function specific goals designed to align critical mission and business drivers. In 2016 the percent allocation for each of these strategic priorities was as outlined below: System Goals: First-year Turnover - 10% Inpatient Experience - 5% Patient Experience - 5% Medical Group Patient Experience - 5% Community Benefit - 10% Clinical Excellence - 15% Free Cash Flow - 10%

Form 990, Part VI, Section A, line 7aElection of members of the Board of governors is subject to the approval of Swedish Health Services.
Form 990, Part VI, Section A, line 7bThe following decisions by the governing body are subject to approval by Swedish Health Services, the sole member Swedish Medical Center Foundation: A. Appointment of the Chair and Vice-Chair. B. Delegation of the power or duties of an officer or administrator to any other officer or any director or other person. C. The filling of vacancies in the office of Chair or Vice-Chair. D. The appointment of other officers or agents appointed to exercise powers and duties on behalf of the Board of governors. E. The Chair or Vice-Chair may be removed at any time, with or without cause, by the affirmative vote of a majority of the whole board of governors or by the member. F. The bank or banks, trust company or trust companies holding the moneys of the corporation. G. The process for withdrawal of the moneys of the corporation. H. Additions, alterations, amendment, repeal of bylaws.
Form 990, Part VI, Section B, line 11bThe Form 990 is prepared internally by experienced Providence Health & Services staff and reviewed by the PH&S Director of Taxes and external tax advisors. The Foundation President reviewed the Form 990 in detail. Once approved, an electronic copy of the Form 990 is emailed to the Board prior to filing with the IRS.
Form 990, Part VI, Section B, line 12cThe Swedish Medical Center Foundation is subject to the conflict of interest policy of Swedish Health Services, its sole member. Management employees are covered by the Swedish Health Services conflict of interest policy. Board members and covered persons are required to complete a conflict of interest questionnaire annually and disclose any affiliations, interest or relationships and/or any transactions the individual and/or his or her family members have engaged in that might give rise to an actual, apparent or potential conflict of interest. The policy defines family members and describes what constitutes conflicts of interest. It requires individuals to report to the appropriate committee chair any further financial interest, situation, activity, interest or conduct that may develop before completion of the next annual questionnaire. Potential conflicts of interest with physician board members with financial interests in businesses that compete with the foundation are addressed, as well as appropriate disclosures, evaluation and resolution of said conflicts. The conflict of interest questionnaire includes an annual statement that board members and covered persons (a) have received a copy of the policy, (b) have read and understood the policy, (c) agree to comply with the policy, (d) understand that the policy applies to committees and subcommittees, (e) understand that the organization is a charitable organization that must engage primarily in exempt activities, (f) agree to report to the appropriate manager or committee chair any change to matters previously disclosed on the conflict of interest questionnaire, (g) state that the information provided in the conflict of interest questionnaire is true and accurate to the best of his or her knowledge and belief. The purpose of the policy is to ensure board members and covered persons are independent and able to perform their duties in an impartial manner, free from any bias created by personal interests, to protect the interests of the foundation, to clarify the duties and obligations of the board members and covered persons in the context of a potential conflict (and to provide a method for disclosing and resolving said conflict) and to supplement (not replace) any applicable state laws governing conflicts of interest applicable to charitable, non-profit corporations. Swedish Medical Center Foundation will not engage in any contract, transaction or arrangement involving a potential conflict of interest unless it is determined that appropriate safeguards protect the charitable mission of the Foundation have been implemented. The Executive Committee of Swedish Health Services will review all conflict of interest questionnaires for board members. The Executive committee will make a finding as to whether an actual, apparent or potential conflict of interest exists and will take actions as it deems appropriate. The conflict of interest committee governs the policy and questionnaire related to all other covered persons. The minutes of meetings will identify any person attending the meeting who has a conflict of interest with respect to any matter before the board or committee and the action taken to address the conflict of interest (e.g., the individual left the room during the discussion of the matter giving rise to the conflict of interest and the individual did not vote on such matter).
Form 990, Part VI, Section B, line 15It is Swedish's intention to make financial information accessible and transparent. Although the filing of Form 990 provides insight into how Swedish achieves its Mission, delivers its programs and stewards its finances, deciphering the information directly from Form 990 can be challenging. The following paragraphs provide further information about the process we use to determine compensation for top management, officers and key employees. Providence has a single fiduciary Board, which also covers Swedish officers and key employees, with responsibility for financial oversight associated with fulfillment of the Providence Mission, developing system policies, protecting the assets entrusted to the organization and overseeing the strategic and operational affairs of Providence's legal entities. Providence and Swedish also maintains a network of community ministry boards with responsibility for quality of care oversight, community relations, advocacy and community needs assessments. Providence has a consistent compensation philosophy for all of its officers, including our senior Swedish executives. Salaries for senior executives are reviewed by the Providence St. Joseph Health Committee and approved by the full Board of Directors, none of whom is a Providence or Swedish employee. The Board retains an independent consultant each year to review salaries of those in the most significant leadership roles in the organization. Part of the consultant's role is to review an extensive array of compensation surveys of large, not-for-profit health care systems in the United States. Providence is one of the larger health systems in the country, and as such, the Board benchmarks executive compensation against other large, not-for-profit health systems whose revenue is similar to that of Providence. Additionally, Providence's labor market continues to spread across health care and into general industry. Because of this, Providence also takes into consideration general industry for-profit market data, where applicable. Base salaries for Providence executives are generally targeted to the median level of the market, as identified by the independent consultant and reviewed with the Executive Compensation Committee. Performance incentives allow executives to earn additional compensation if they achieve specific organizational goals for furthering Providence operating commitments and strategic objectives. The Board of Directors conducts a thorough process to ensure performance incentives are aligned with appropriate market practices. The Board's process for executive compensation fully complies with IRS standards and mirrors best practices. The Foundation President/Chief Development officer is compensated by a related organization which uses a market based compensation program utilizing several independent third party compensation market surveys to establish pay ranges for the position. The related organization then establishes the individual rate of pay within the range based on relevant experience, skills and competencies. The rate offered to the President/Chief Development Officer at the time of hire was determined through discussion between the Regional CEO, Regional Director of HR and the Administrative Director of HR. The ranges and rate of pay are reviewed on an annual basis by Regional HR.
Form 990, Part VI, Section C, line 19Copies of the Swedish Medical Center Foundation's governing documents, conflict of interest policy and financial statements are available upon request.
