Schedule D, Part IIIThe Society received contributions of artwork valued at $62,411 during the current year (see Schedule M). Since the Society does not prepare audited financial statements in conformity with U.S. Generally Accepted Accounting Principles and is therefore not subject to SFAS 116, the Society has left Schedule D, Part III blank. Schedule D, Part IV, Line 2a The Society has an agreement with the BC Healthy Living Alliance to be its fiscal agent (effective since March of 2013). BC Healthy Living Alliance receives funding from various sources to support healthy living initiatives and to promote physical activity. The Society reports these funds held in trust on its balance sheet (both as an investment asset) and as a liability on Part X, Line 21.
Schedule D, Part V, Line 4The Society has established an endowment fund to help supplement and support the Society's tax-exempt healthcare mission. Endowments funds are restricted according to donor wishes and may only be used to support specific charitable programs. Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
FORM 990, PART I, LINE 5THE ORGANIZATION IS REPORTING NO EMPLOYEES ON PART I, LINE 5 AND PART V, LINE 2A BECAUSE THE QUESTION ASKS FOR THE NUMBER OF EMPLOYEES ON THE ORGANIZATIONS'S W-3. THE ORGANIZATION HAS NO U.S. REPORTING REQUIREMENTS AS IT HAS NO EMPLOYEES OUTSIDE OF CANADA; ACCORDINGLY, THE ORGANIZATION IS NOT SUBJECT TO U.S. PAYROLL REPORTING REQUIREMENTS AND DOES NOT FILE A W-3. NEVERTHELESS, FOR THE YEAR ENDING, JANUARY 31, 2017, THE ORGANIZATION IS DISCLOSING THAT IT HAD 1,391 EMPLOYEES. FORM 990, PART V, LINE 1A, 1B AND 1C THE ORGANIZATION IS NOT A U.S. DOMICILED CORPORATION AND HAS NO U.S. EMPLOYEES, THEREFORE, IT DOES NOT FILE FORM 1096 OR FORM W2-G. AS SUCH, IT IS ALSO NOT REQUIRED TO COMPLY WITH IRS BACKUP WITHHOLDING RULES. Form 990, Part VI, Section A, Line 6 The Society has Members as defined by its bylaws. Membership is comprised of 23 to 31 Members drawn from: 1. The Board of Directors 2. Members of the National Council who are the Provincial Board chairs but who are not Directors; and 3. One other member(s) chosen by her/his Provincial Board when the Provincial Board Chair is a Director. Form 990, Part VI, Section A, Line 7a The Societys bylaws authorize the Members to remove from office any Director or Directors at any time with or without cause by ordinary resolution passed at a special meeting of the Members called for the purpose. Members may elect a replacement Director or replacement Directors to hold office for the remainder of the term of office of the Director or Directors so removed. Form 990, Part VI, Section A, Line 7b The Societys bylaws reserve certain powers to the Members, including, the powers to amend the Societys Bylaws and appoint an external auditor to audit the Societys financial statements.
Part VI, Section A, Line 4The Society amended its bylaws on two separate occasions in 2016 to effectuate changes to the Board of Directors' structure and composition. Representative changes made include: 1. Elimination of the past chair position 2. Criteria for membership was updated, thereby reducing the number of Society members. 3. The quorum requirement for Members meetings was changed 4. The concept of regions was introduced to facilitate the selection and nomination of regional directors (necessitated by the new board structure/composition). Part VI, Section B, Line 11b The Societys Form 990 is prepared by an internationally renowned accounting firm in conjunction with the Societys financial and management team. The Society has historically not shared a copy of the Form 990 with the full board of directors.
Part VI, Section B, Line 12cThe Society has a conflict of interest policy in place to ensure that officers, directors and key-employees observe best business practices and act in the best interest of the Society (rather than to advance their own personal end). The Society will conduct its business in such a manner that the personal interests of employees do not interfere with good judgment or decision-making. Employees shall not knowingly take advantage of or benefit from information that is obtained in the course of their official duties and responsibilities; shall avoid situations in which their personal interests conflict, or may conflict, with their duties to the Society; and shall disclose any conflict of interest. If a conflict of interest is identified, the Society will take the necessary precautionary measures to ensure that the best interests of the organization are safeguarded.
Part VI, Section B, Line 15a & 15bThe Society takes its responsibility of determining the compensation for both its President and other officer class very seriously. The Society undertakes a thorough and detailed process to ensure that the compensation it pays is commensurate with other institutions in its peer class. The Society commissions a compensation study from an independent third party to determine the President's compensation. This study is used as the foundation for determining her compensation. The Board deliberates on the appropriate compensation and its decision is documented in committee minutes. The compensation procedure for the remainder of the officer class follows a similar process, with the Board utilzing externally prepared compensation surveys to arrive at fair compensation benchmarks for the year.
PART VI, SECTION C, LINE 19THE SOCIETY MAKES ITS FORM 990 AVAILABLE TO THE PUBLIC BY RETAINING A COPY AT ITS PLACE OF BUSINESS. THE FORM 990 IS LIKEWISE PUBLISHED ON THE INTERNET AT WWW.GUIDESTAR.ORG. THE SOCIETY'S FINANCIAL STATEMENTS, GOVERNING DOCUMENTS AND CONFLICT OF INTEREST POLICY ARE NOT ORDINARILY MADE AVAILABLE TO THE PUBLIC, BUT, IF REQUESTED, WILL BE PROVIDED AT MANAGEMENT'S DISCRETION. Form 990, Part VII The compensation reported for Interim President & Ceo, Anne Vezina, represents payments made for services rendered both as an independent contractor and in her capacity as interim President & CEO. These payments were made to a corporate entity owned by Ms. Vezina. Form 990, Part VIII, Line 11(a) - Lodging/Travel Accommodations People diagnosed with cancer face many challenges. Traveling to a distant location for treatment away from family and friends can be particularly overwhelming. With more than 30 years of experience, the Canadian Cancer Society has found that a welcoming, caring environment helps meet the practical and emotional needs of those in treatment for cancer away from home. The Canadian Cancer Society operates seven reasonably priced lodges in close proximity to cancer treatment centres in four provinces: Quebec, Nova Scotia, NewFoundland, and BC. Guests have the opportunity to meet others on a cancer journey. It is a safe, supportive environment where guests understand what others are going through and can share experiences. Form 990, Part VIII - Lottery Revenue The Society derives a substantial amount of revenue from lotteries; this is a permissible activity that is commonly engaged in by Canadian charitable organizations. The Charity Intelligence Canada governmental agency monitors and oversees charitable gaming activities and produces an annual report to provide the general public with an understanding of how lottery proceeds are used to support mission. The Canadian Cancer Society dedicates 100% of the net proceeds from its main lottery to research into all types of cancer, benefiting people all across Ontario. The proceeds from the Wheels of Hope 50/50 Raffle are dedicated to the Transportation Program at the Canadian Cancer Society, providing cancer patients with rides to their treatment appointments. Proceeds from the new Cash for Kids Calendar Lottery are dedicated to funding research into childhood cancers.
