THE MDC RETIREE HEALTH CARE TRUST WAS ADMINISTERED BY THE PLAN SPONSOR IN ACCORDANCE WITH THE TERMS OF THE TRUST AGREEMENT AS SUCH THE VEBA DID NOT HAVE A GOVERNING BODY THAT EXERCISES DISCRETION.
