This information is then compiled, and recommendations for all officers and key employees, as well as a general percentage increase for all other employees, are submitted to the compensation committee. The compensation committee reviews, discusses, has the ability to change recommendations, and then approves the submission, which in turn is brought to the full board by way of recommendation of the compensation committee. The full board then takes the recommendation, has further discussion if necessary, and then approves the recommendation from the compensation committee. Compensation committee members (and any family members on the board) who are also compensated officers are excused from the part of the meeting that would cover any discussion over compensation or bonuses. The decisions regarding compensation are then documented in the minutes. |
