Explanation	American Friends of the University of Calgary ("AFC") received an unusual grant of $1,000,000 in 2014. The grant was attracted by reason of the publicly supported nature of AFC, was unusual or unexpected with respect to the amount of the grant, and could, by reason of its size, adversely affect AFCs status as an organization described in section 170(b)(1)(A)(vi). The following favorable factors (as set forth in Treas. Reg. 1.170A-9(f)(6)(ii) and 1.509(a)-3(c)(4)) demonstrate that the grant should be treated as an unusual grant: 1. The grant was not made by a person (or related person) who created AFC, was a substantial contributor to AFC before the grant, or who was in a position of authority, such as a foundation manager, with respect to AFC. 2. The grant was in the form of cash or readily marketable securities. 3. Prior to the receipt of the grant, AFC (a) carried on an actual program of public solicitation and exempt activities, and (b) was able to attract a significant amount of public support. 4. AFC could reasonably be expected to, and did in fact continue to, attract a significant amount of public support after the grant. 5. Prior to the year in which the grant was received, AFC met the section 170(b)(1)(A)(vi) public support test without the benefit of any unusual grant exclusions. 6. Neither the contributor of the grant, nor any person related to the contributor, exercised or exercises any control over AFC. 7. AFC has a governing body representative of the public interest. 8.
