| Pt VI, Line 15a | The Executive Director was recruited effective March 14, 2022. The Board followed a rigorous process for his recruitment and the determination of his compensation as follow: -A written job description was developed based on other foundations executive job descriptions, adjusted for the specific needs and mission of GNF. This job description for reviewed by all board members and amended accordingly per any comments made. -The Board received the pro-bono support of an HR recruiting Director of Axogen to source candidates and further benchmark the compensation package, based on what other, similarly focused Foundations offer (review of their IRS filings as an example). Candidates 'expectations were also taken into consideration to determine final offer. -Every board member interviewed the top candidate following an initial screening by the Axogen HR director and the Board President. -The Board discussed the candidate at their February 17th, 2022, Board meeting and unanimously approved the compensation proposed in the offer letter. This approval from the board was "ratified" by a written action fully executed by all board members. -The Offer letter was sent by the President of the Foundation, as an authorized Officer of the Foundation. |
