Form 990, Part VI, Section B, line 11bThe Form 990 is prepared by an independent CPA firm and is reviewed in detail by the Controller and the President/CEO. Then it is reviewed by board members and the finance committee prior to filing with the IRS.
Form 990, Part VI, Section B, line 12cAnnually, officers and board members sign a conflict of interest statement. The finance committee reviews significant transactions throughout the year. The President/CEO and Controller regularly and consistently monitor and enforce compliance with the conflict of interest policy. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.
Form 990, Part VI, Section B, line 15The independent board discusses then approves the President's salary and benefits, and uses survey materials from ECFA and other independent compensation surveys to compare his compensation with compensation paid to other non-profit officers in the area. This process is documented in the minutes of the board of directors.
