The donations to these stores are all considered clothing and household goods for purposes of Schedule M. The method of determining income is a method using historical sales of similar inventory less the cost of processing associated with bringing the donated inventory to sales to determine the fair market value of the donated merchandise. Form 990, Part VI, Section A, line 1a Easter Seals Goodwill ND, Inc has an Executive Committee that can act on behalf of the board as follows: A. Appointment. The Executive Committee shall consist of the officers of the board and up to three (3) other board members appointed annually by the Chair. The President/CEO shall serve as staff liaison. B. Responsibilities: The Executive Committee shall meet at the call of the Chair. It shall have authority to act on behalf of the Board on non-policy and emergency matters between board meetings, provided that such authority shall not operate to circumvent the responsibility and authority vested in the Board and its other committees by these bylaws. Any action taken by the Executive Committee shall be ratified by the Board at its next meeting. Form 990, Part VI, Section B, line 11b Upon receipt of the final draft Form 990, the organization will forward a copy to each board member for their review. Form 990, Part VI, Section B, line 12c Board of directors, officers, and all employees are covered. Determination for employees is made at the executive level. Board and officers are made at the Board level. We have not had any, but they would be reviewed at the executive level for employees, at the board level for board members. A questionnaire is sent out each year to Board members. Board members are unable to vote on issues involving a conflict of interest.
